Dear Mr. Settles:

During the 2012 negotiations there was discussion around how the company would handle the pay and Health Care benefits of the current Ford, DAS and ACH employees at the Saline Plant.

It is jointly agreed that all Ford employees that will be hired by Faurecia will be hired at the top pay rate and that there will be no waiting period for Health Care benefits. They will all receive 80 hours of vacation.

It was also jointly agreed that all DAS and ACH employees that will be hired by Faurecia will be hired at their current rate and that there will be no waiting period for Health Care benefits. These employees with 1 year or more will receive 80 hours of vacation and those employees with less than I year will receive 40 hours of vacation. January 1st of2013 all the employees covered by this letter will receive 80 hours of vacation. Sincerely,
