By-Laws

ARTICLE I: NAME
The name of the organization shall be the Hawaii Island Young Democrats (hereinafter referred
to in the by-laws as HIYD)

ARTICLE II: PURPOSE
The HIYD shall strive to:
Stimulate, in young people, an active interest in governmental affairs;
Promote the involvement of young people in the political process;
Increase the political strength of young people;
Educate young voters and people who will become eligible to vote; and
Advocate the highest degree of justice, social welfare and equal opportunity for Hawaiis
people,

ARTICLE III: MEMBERS AND AFFILIATIONS
Section 1: Membership Qualifications:
Any resident of Hawaii Island no younger than eighteen (18) years of age, and who have not
yet reached the age of thirty-six (36), who professes and demonstrates allegiance to the
principles of the Democratic Party, shall be eligible for membership, provided he or she has not
registered as a member of another political party.

Section 2: Non-Discrimination
The HIYD, and any of its chapters shall not discriminate in any manner on account of race,
religion, color, national origin, gender, or sexual orientation.

Section 3: Affiliations
The HIYD shall be affiliated with the Young Democrats of Hawaii and the Young Democrats of
America. Neither the Young Democrats of Hawaii nor the Young Democrats of America shall
be liable for the debts or actions of the HIYD.

Section 4: Liability

Members of the HIYD shall not be liable for the debts or actions of the organization, nor shall
HIYD be liable for any unauthorized acts of any of its officers unless so ratified by the HIYD
Executive Committee.

ARTICLE IV: CONVENTIONS AND GENERAL MEETINGS
Section 1: Purpose and Time of Island Wide Convention
The HIYD shall assemble in an island wide convention biennially, during election years, for the
purpose of guiding the island wide activities of the organization. In doing so it shall formulate a
HIYD Legislative Platform, adopt appropriate resolutions, consider amendments to the bylaws
and elect a new HIYD Executive Committee; the new Chair and Treasurer shall be responsible
to transfer the HIYD bank account from the previous years signatories to the duly elected
Treasurer and Chair. To effect said transfer, the sitting Treasurer shall bring a new signature
card and all financial materials to the Convention and the sitting Secretary shall produce a
signed copy of the minutes of the proceedings to the duly elected Treasurer and Chair within ten
days of the convention.

Section 2: Credentials Committee
A Credentials Committee of up to three members approved by the Executive Committee shall
be appointed 30 days prior to Convention. The Committees responsibility shall be to certify
attendees to the HIYD biennial convention.

Section 3: Voting at the HIYD Island wide Convention
A. Each HIYD member shall be allocated one delegate vote.
B. Voting shall be conducted by secret ballot unless agreed to by unanimous consent.
C. If a candidate is running unopposed, he/she shall be duly elected via acclamation.
D. Only HIYD members shall be allowed to vote on HIYD matters.

Section 4: General Meetings
A. Meetings of the general membership shall be convened by the Chair or Executive
Committee at least once a quarter. All qualified members of HIYD are eligible to
attend and encouraged to participate in general membership meetings. Members
may participate in meetings by videoconference, teleconference, or online
conference.

B. Notice of a general meeting shall be given to the membership of HIYD by email or
other suitable method at least ten (10) days before a general meeting. This notice
shall be sent by the Secretary.

ARTICLE V: OFFICERS AND EXECUTIVE COMMITTEE
Section 1: Executive Committee
A. Officers. There shall be the following officers of HIYD: Chair, Vice-Chair I,
Vice-Chair II, Vice-Chair III, Secretary, Treasurer, Communication Director, County
Committee Male and Female Representative, and any appointed Directors.
B. Responsibilities of Officers. The following shall be the responsibilities for each officer:

Chair
The Chair shall be the Chief Executive Officer of the organization and shall be
responsible for the following;
o Preside over all meetings;
o Establish administrative procedures not otherwise provided for by the
Constitution or By-Laws of this chapter;
o Act for and on behalf of HIYD;
o Coordinate the agenda for each meeting of HIYD;
o Shall maintain correspondence with national, state and other local levels of
Young Democratic organizations and Democratic Party organizations; and
o Assign duties and responsibilities as necessary.

Vice-Chair I
The Vice-Chair I shall be responsible for the following;
o Act as Chair Pro-Tempore in the absence of the Chair;
o Assist the Chair; and
o Where the Chairs office becomes vacant, the Vice-Chair I shall assume the
Chairmanship and all powers, duties, and responsibilities associated with that
position. The position of the Vice-Chair I shall then be vacant. The Chair shall
appoint a Vice-Chair I with the approval of the Executive Committee to serve the
remainder of the term/until the next HIYD island wide convention.



Vice-Chair II & Vice-Chair III
The Vice-Chair II & III shall be responsible for the following:
o Assist the Vice-Chair I in performance of duties;
o Develop and administer programs related to membership outreach; and
o Perform such other duties as may be assigned by the Chair.

Secretary
The Secretary shall be responsible for non-financial records of HIYD, including but
not limited to;
o Record and maintain accurate minutes of all chapter meetings (both General and
Executive Committee meetings). The minutes shall mirror those of Appendix A
(sample Minutes). The minutes shall then be approved at the next regular
meeting. The minutes will then be certified by signature of both the Chair (or
designee) and the Secretary (or designee);
o Maintaining a binder with hard copies of the minutes of every meeting and digital
files via secured server. This binder and the server login/password information
shall be transferred to the next duly elected Secretary at the next HIYD Island
wide Convention;
o Coordination of general membership correspondence;
o Notifying members of each meeting and/or event; and
o Maintaining a contact list of the HIYD membership; the list should include name,
phone number, email, mailing address, birthdate and social media handles.

Treasurer
The Treasurer shall be the Chief Financial Officer of the organization and keep
accurate account of all financial accounts and transactions of the organization. The
Treasurer shall be responsible for the following;
o Oversee the receipt and disbursement of all funds of the organization and ensure
accordance with all federal, state and local laws and regulations;
o Managing any bank accounts of the HIYD;
o Coordinating the filing of any financial paperwork with the Democratic Party of
Hawaii's Treasurer; and
o Maintaining a binder/online record with the following items: budget and expense
report; balance sheet; receipts and accompanying reimbursement forms; monthly

bank statements; HIYD checkbook and debit card, and any other necessary
financial matters.

Communication Director
The Communication Director shall be an official spokesperson for HIYD and be
responsible for the following:
o Working with the Executive Committee to develop HIYD brand, messaging and
outreach strategies;
o Drafting and distributing press releases and external communication pieces;
o Providing media relations;
o Tracking issues related to HIYD mission and platforms, and sharing information
with Executive Committee as well as HIYD membership; and
o Maintaining HIYD social media platforms.

County Committee Male & Female Representatives
The duties of the representatives to the County Committee of the HIYD shall be to
serve as liaisons between the HIYD and the Hawaii County Democratic Party. They
shall attend the County Committee meetings and report back at the next scheduled
HIYD meeting.

C. Additional Officers. The Chair shall have the authority to appoint up to five directors
to help carry out the mission of the HIYD. These directors shall have a vote on the
Executive Committee.
D. Term of Office. The HIYD Executive Committee shall take office at the close of the
Island wide Convention at which they were elected and shall serve until the close of
the next convention, unless removed by the Chair for cause.
E. Vacancies. The Chair, with the approval of the HIYD Executive Committee may, at
his or her discretion, appoint acting or temporary officers to fill vacancies occurring
for any reason whatsoever.
F. Removal. Officers are subject to removal from office for good cause by the
Executive Committee.
G. Qualifications. Officers shall be registered members of the HIYD.



Section 2: Meetings of the Executive Committee
A. Meetings. The first meeting of the HIYD Executive Committee shall be held
immediately after, and at the same place as, the HIYD Island wide Convention. No
notice other than this reference need be given. The HIYD Executive Committee may
determine the time and place for the holding of additional regular meetings. Members
may participate in meetings by videoconference, teleconference, or online
conference.
B. Quorum. At any meeting of the HIYD Executive Committee, a 2/3 majority of officers
and directors shall constitute a quorum.
C. Reports. At each HIYD general membership and Executive Committee meeting, the
Treasurer shall report on the organization's finances.
D. Finances. The Executive Committee shall approve the financial reports of the
Treasurer.

ARTICLE VI: AMENDMENTS
These by-laws may be amended at any HIYD Executive Committee meeting. Adoption of
amendments shall require a majority vote of seated members of the Executive Committee.

ARTICLE VII: DISSOLUTION
HIYD may be dissolved at any time by majority vote of the HIYD Executive Committee. In event
of such dissolution:
All funds of HIYD remaining after satisfaction of all outstanding liabilities shall remain in
trust, the trustees of which shall be the last duly elected Executive Committee.
The last duly elected Chair, or his/her designee, shall notify the President of the Young
Democrats of Hawaii and the Chair of the Democratic Party of Hawaii County in writing
of such dissolution.

ARTICLE VIII: MISCELLANEOUS
A. Policy Statements: HIYD may adopt formal policy statements or resolutions as
appropriate, (i.e. stances on issues) via a majority vote by the HIYD Executive
Committee. Such statements or resolutions may serve as the basis for Letters to the
Editors, campaign issues, and legislative testimony. These statements and resolutions
shall be approved via a majority vote at a General Membership meeting.
B. The Rules contained in the current edition of Roberts Rules of Order Newly
Revised shall govern the HIYD in all cases to which they are applicable and in which

they are not inconsistent with the charter and any special rules of order the HIYD may
adopt.
