m#*, 5eal Player, $indo"s 9edia and other a.dio files&
/& 4illing and ,ees2 The S.!contractor "ill s.!mit an itemi:ed statement setting forth the
services rendered& S.!contractors "ill !e #aid for "or; #erformed no later than 07 days
from the date of the invoice&

+& (nde#endent 'ontractor2 4oth the 'om#any and the S.!contractor agree that the
S.!contractor "ill act as an inde#endent contractor in the #erformance of its d.ties .nder
this contract& This Agreement shall not constit.te or !e constr.ed as a #artnershi#,
em#loyer<em#loyee relationshi#, franchisee<franchisor relationshi#, 1oint vent.re or
agency agreement !et"een the #arties& S.!contractor shall have the right to enter into
agreements "ith other clients #rovided s.ch agreements do not adversely im#act
S.!contractor3s #erformance .nder this agreement&

Accordingly, the S.!contractor shall !e res#onsi!le for #ayment of all ta=es incl.ding
,ederal, State and local ta=es arising o.t of the s.!contractor>s activities in accordance
"ith this contract, incl.ding !y "ay of ill.stration !.t not limitation, ,ederal and State
income ta=, Social Sec.rity ta=, ?nem#loyment (ns.rance ta=es, and any other ta=es or
!.siness license fee as re8.ired&

(n addition, !eca.se yo. are re#resenting yo.rself to TTE as an inde#endent contractor
and the #arties !elieve they are creating an inde#endent contractor relationshi#, if at a
later date, the (5S, E, or any other ta=ing a.thority determines yo.r classification as
an inde#endent contractor "as incorrect, yo. agree to indemnify TTE for all ta=es,
interest, and #enalties #aid !y TTE as a res.lt of a reclassification of yo.r em#loyment
stat.s&
@o "or; acce#ted !y the s.!contractor can then !e s.!contracted o.t to another
individ.al or overseas to an individ.al or overseas agency6service&

A& 'onfidential (nformation2 The S.!contractor agrees that any information received d.ring
any f.rtherance of the s.!contractor>s o!ligations in accordance "ith this contract, "hich
concerns the #ersonal, financial or other affairs of the 'om#any "ill !e treated !y the
s.!contractor in f.ll confidence and "ill not !e revealed to any other #ersons, firms or
organi:ations&

The S.!contractor "ill .se !est efforts and reasona!le diligence to2

(a) ?se s.ch 'onfidential (nformation only for internal !.siness #.r#osesB

(!) Protect s.##lied 'onfidential (nformation in the same manner as the
S.!contractor #rotects its o"n 'onfidential (nformationB

(c) @ot ma;e co#ies of any s.ch 'onfidential (nformation or any #art thereof "itho.t
the "ritten consent C#ermissionD of the 'om#anyB

(d) @ot disclose to others any s.ch 'onfidential (nformation or any #art thereof
"itho.t the "ritten consent C#ermissionD of the 'om#anyB

(e) To reasona!ly limit dissemination of s.ch 'onfidential (nformation to #ersons "ithin the
'om#any organi:ation "ho have a need to ;no" or .tili:e s.ch 'onfidential
(nformation&

E& A!sent a se#arate "ritten agreement regarding o"nershi#, in entering this agreement, yo.
here!y grant to TTE all rights, titles and interest in the "or;s conceived or first #rod.ced
!y TTE or its clients and any material #rod.ced !y yo. or yo.r em#loyees .nder this
Agreement, and yo. agree that s.ch materials are "or;s made for hire e=cl.sively for
TTE or its clients .nder the co#yright la"s of the ?nited States&

(n the event that any s.ch "or; shall not !e a "or; made for hire .nder said co#yright
la"s, yo. here!y assign to TTE or its clients all rights, titles, and interest in s.ch "or;
and to e=ec.te "hatever assignment of co#yright or other doc.ments "hatsoever as may
!e re8.ired or a##ro#riate to transfer and confirm e=cl.sive title in s.ch "or; to the
co#yright therein to TTE&

)0& @on<Solicitation and @on<'om#ete2 S.!contractors "ill not directly or indirectly em#loy
or recr.it for em#loyment any em#loyee or s.!contracted #erson of TTE d.ring the term
of this Agreement and for three (*) years thereafter "itho.t #rior "ritten consent of TTE&
(n the event an em#loyee or s.!contracted #erson is hired "itho.t #rior "ritten consent,
d.ring the time s#ecified, s.!contractor "ill #ay TTE an amo.nt e8.al to 00F of the
gross yearly "ages of the em#loyee or s.!contracted #erson as li8.idated damages, not
as a #enalty&

S.!contractor agrees that d.ring the term of this Agreement and for three (*) years
thereafter, S.!contractor "ill not directly or indirectly solicit any c.rrent or #ros#ective
c.stomers for the #.r#oses of esta!lishing any !.siness relationshi# to #rovide services
contem#lated !y this Agreement& ,.rther, d.ring the term of this Agreement and for
three (*) years thereafter S.!contractor "ill not esta!lish a !.siness directly com#etitive
"ith TTE, "hich incl.des !.sinesses in the field of transcri#tion, "ithin territory services
!y TTE&

))& This agreement may !e terminated !y either #arty "ith or "itho.t ca.se and for any or no
reason .#on thirty (*0) days "ritten notice to the other #arty& This agreement may !e
terminated !y either #arty for ca.se .#on three (*) days "ritten notice !y the other #arty&
'a.se for termination incl.des, !.t is not limited to, violation of the covenant not to
com#ete, violation of the confidentiality cla.se, any other material !reach of this
Agreement, or if yo.r "or; #rod.ct is !elo" the standard relative to the normal 8.ality of
"or; #erformed !y TTE&

)2& Assignment and S.!contracting2 S.!contractor shall not assign any right or interest .nder
this agreement or delegate or s.!contract any "or; or other o!ligation to !e #erformed or
o"ed .nder this agreement "itho.t the #rior "ritten consent of 'om#any&

)*& 4enefits2 'om#any does not offer !enefits of any ;ind to the S.!contractor&

)0& (ns.rance2 .ring the term of this Agreement, S.!contractor shall !e solely res#onsi!le
for maintaining ade8.ate health, a.to, "or;ers> com#ensation, .nem#loyment
com#ensation, disa!ility, lia!ility, commercial lia!ility, a.tomo!ile and any other ty#e of
ins.rance, as is re8.ired !y la" or as is the common #ractice in the ind.stry&
S.!contractor agrees to indemnify and hold TTE harmless against any claims relating to
S.!contractor3s fail.re to #rovide s.ch ins.rance&

given if in "riting and either sent !y e<mail, facsimile transmission or hand delivered or
de#osited "ith an e=#ress co.rier service #re#aid addressed to S.!contractor or TTE, as
the case may !e, at the address set forth !elo", or to s.ch other address as the #arties may
direct !y notice as herein #rovided&
