BYLAWS
of the
MARY DESHA CHAPTER
of the
NATIONAL SOCIETY OF THE DAUGHTERS OF THE
AMERICAN REVOLUTION


ARTICLE I
Name

The name of this chapter shall be the Mary Desha Chapter of the
National Society of the Daughters of the American Revolution. It was
named to honor one of the four founders of the National Society.


ARTICLE II
Objects

The objects of this chapter shall be to promote the objects of the National
Society of the Daughters of the American Revolution, hereinafter referred
to as National Society.

1. To perpetuate the memory and spirit of the men and women who
achieved American independence, by the acquisition and protection of
historical spots and the erection of monuments; by the encouragement of
historical research in relation to the Revolution and the publication of its
results; by the preservation of documents and relics, and of the records
of the individual services of Revolutionary soldiers and patriots; and by
the promotion of celebrations of all patriotic anniversaries;

2. To carry out the injunction of Washington in his farewell address to the
American people, to promote, as an object of primary importance,
institutions for the general diffusion of knowledge, thus developing an
enlightened public opinion, and affording to young and old such
advantages as shall develop in them the largest capacity for performing
the duties of American citizens;

3. To cherish, maintain and extend the institutions of American freedom;
to foster true patriotism and love of country, and to aid in securing for
mankind all the blessings of liberty.

ARTICLE III
Members

Section 1. Eligibility. Any woman is eligible for membership in the
National Society of the Daughters of the American Revolution who is not
less than eighteen years of age, and who is lineally descended from a
man or woman who, with unfailing loyalty to the cause of American
Independence, served as a sailor, or a soldier or civil officer in one of the
several Colonies or States, or in the United Colonies or States or as a
recognized patriot, or rendered material aid thereto, provided an
applicant for chapter membership is personally acceptable to the
chapter.

Section 2. Admission. An applicant for membership through this chapter
shall be endorsed by two members of the chapter who are in good
standing and to whom the applicant is personally known. The chapter
may not discriminate against the applicant on the basis of race or creed.
The acceptability of the applicant for chapter membership shall be by a
majority vote by ballot of the chapter at a regular meeting. Within one
year, unless granted extension by the chapter, the applicant shall submit
to the chapter all required documents, prepared in accordance with
instructions established and distributed by the National Society, and
accompanied by the prescribed fees and dues. [NSDAR Bylaws Article

Section 3. Transfers. A member desiring to unite with the chapter by
transfer, either from another chapter or from member-at-large, shall be
proposed and accepted by the chapter in the same manner as a new
member.

Section 4. Resignations. A member desiring to resign shall present her
resignation in writing to the chapter registrar, who shall immediately
report the resignation to the Office of the Organizing Secretary General.
A member whose dues are delinquent shall not be entitled to resign from
membership. [NSDAR Bylaws Article IV. Section 2 (e) (4)]

Section 5. Associates.
a. Upon the written recommendation of two members, the chapter
by a majority vote by ballot may accept as an associate member,
a member of another chapter, providing that any member so
accepted shall be a chapter member in good standing and may
be an associate member in not more than two chapters in a state
at the same time.

b. An associate member shall not be counted toward
representation or have a right to vote or to hold office in the
chapter.
c. An associate member has the right to serve as a member of a
committee or as the chairman of a committee.

Section 6. Honorary Chapter Regent. In recognition of valuable
service to Mary Desha Chapter a member who has served as Regent
may, upon her retirement from office, be elected Honorary Chapter
Regent for life at a Regular Meeting. Election may be by voice vote.


ARTICLE IV
Fees and Dues

Section 1. Application Fees. The application fee to the National Society
shall be as determined by the Continental Congress. [NSDAR Bylaws
Article IV, Section 1 (a)]

Section 2. Dues. The annual chapter dues shall be the amount
determined by the chapter from time to time plus the amount required by
the National Society and the District of Columbia, payable in advance on
or before October 1 of each year. [NSDAR Bylaws, Article IV, Section 2
(a) & (b).] Additionally, members shall include with their dues payments
the amount requested for the President Generals Project Annual
Assessment.

Section 3. Crediting Dues. Dues for a member admitted or reinstated at
the October National Board of Management meeting shall be credited for
the upcoming dues year, which begins December 1.

Section 4. Delinquent Dues. On Nov. 1, the chapter treasurer shall
notify all members whose dues have not been paid that their dues are
delinquent and that such member is ineligible to vote. The National
Society will automatically terminate membership if dues are not received
showing a Federal postal Service, or other carrier, cancellation date no
later than the last day of February. [NSDAR Bylaws Article IV, Section 2
(f)]

Section 5. Dues Statements. The annual national dues for each
member shall be sent by the chapter treasurer to the Office of the
Organizing Secretary General, payable to the Treasurer General,
showing a Federal Postal Service or other carrier cancellation date no
later than the first day of December for the ensuing calendar year.

Section 6. Readmission. The dues and fees for readmission of a
resigned member and of a member dropped for non-payment of dues
shall be as prescribed by the Bylaws of the National Society. [NSDAR
Bylaws Article IV, Section 4]

Section 7. Associate Membership. The annual dues of an associate
member shall be $10.00 payable in advance on or before October 1 of
each year with the evidence of her membership in good standing in
another chapter. She shall pay no national or state dues through this
chapter.

Section 8. Life Membership. A life membership (costing $1,000.00) in
NSDAR is available to members who have attained the age of 65 as
prescribed in the Bylaws of the National Society. The state
reimbursement to the chapter shall suffice as chapter dues for life
members.


ARTICLE V
Officers

Section 1. Officers. The elected officers of the chapter shall be a
Regent, First Vice Regent, Recording Secretary, Treasurer, Registrar,
Corresponding Secretary, Chaplain, Historian and Librarian. Each
chapter shall have these eight officers, and no member shall hold two of
these offices, except in chapters with (30) thirty or fewer members. No
one member in any chapter shall hold the office of Chapter Regent and
Chapter Treasurer at the same time. [These officers are required in
NSDAR Bylaws, Article XIII, Section 6 (a)]

Section 2. Nomination. A nominating committee of 3 members shall be
elected at the Regular Meeting in December preceding the election the
following March. It shall be the duty of this committee to nominate a
candidate, whose consent to serve has been obtained, for each office to
be filled. Additional nominations shall be made from the floor, provided
the consent of the nominee shall first have been obtained.

Section 3. Eligibility. To be eligible for the office of Regent or Vice
Regent, a member shall have belonged to the chapter for one continuous
year preceding her election to office. [NSDAR Bylaws, Article XIII,
Section 6(b)]

Section 4. Term of Office. Officers shall be elected by ballot for a term
of 2 years or until their successors are elected. A majority vote shall
elect. If there is only one nominee for any office, the election for that
office may be by voice vote. The term of office shall begin at the close of

the Mary Desha Chapter Annual Meeting. However, since the former
Regent and previously elected delegates are still the chapters
representatives to the State Board of Management Meeting and
Continental Congress, they will remain said representatives until
following Continental Congress. No member shall serve more than three
consecutive terms in the same office except Regent, Treasurer and
Registrar. A member who has served more than half a term in any office
shall be considered to have served a term.

Section 5. Vacancies. In case of a vacancy in the office of Chapter
Regent, the Vice Regent shall become Regent. Vacancies in other
offices shall be filled by the Executive Board until the next Regular
Meeting when the chapter shall fill the vacancy for the unexpired term.


ARTICLE VI
Duties of Officers

Section 1. The officers shall perform the duties prescribed by these
bylaws, by the Bylaws of the National Society, the District of Columbia
Daughters of the American Revolution (DCDAR), by the parliamentary
authority and such other duties as shall be ordered by the chapter.

Section 2. The Regent shall:
a. preside at all meetings of the chapter and of the Executive Board
and shall have general supervision of the affairs of the chapter;
b. be the chief executive officer of the chapter;
c. appoint all committees except the nominating committee;
d. appoint a Parliamentarian;
e. be ex-officio a member of all committees except the nominating
committee.

Section 3. The Vice Regent shall:
a. perform the duties and responsibilities of the Regent in her
absence or inability to serve;
b. serve as the Chairman of the Program Committee and, as such,
will develop chapter programs for the year.

Section 4. The Chaplain shall:
a. conduct such religious services as required;
b. communicate, whenever possible, with members who are ill or in
distress;
c. plan memorial services for deceased members;
d. notify the State Chaplain of the death of any chapter member.

Section 5. The Recording Secretary shall:
a. record the proceedings of the meetings of the chapter and
b. Executive Board, including attendance;
c. be custodian of all records;
d. notify officers of their election;
e. notify committees of their appointment;
f. notify officers and chairmen of votes affecting their duties;
g. keep a roll of members of committees and of the chapter.

Section 6. The Corresponding Secretary shall:
a. send notices of meetings;
b. conduct correspondence as requested by the Regent or required
by action of the chapter or the Executive Board.

Section 7. The Treasurer shall:
a. receive all funds of the chapter and deposit them in a bank or
banks as may be designated by the chapter or the Executive
Board;
b. be one of two names on the bank account, the other required
name being that of the Chapter Regent;
c. disburse funds as directed by the chapter or Executive Board,
and pay only those bills authorized by the Regent;
d. remit national dues to the Office of the Organizing Secretary
General, Membership Services Department, prior to the first day
of December, and state dues to the State Treasurer by Dec. 1, of
every active member;
e. prepare the accounts for auditing at the Annual Meeting, held in
May;
f. provide members (postmarked by Sept. 1) of dues notification;
g. be prepared to report the bank balance at each Regular Meeting.

Section 8. The Registrar shall:
a. furnish application papers to candidates whose acceptability has
been favorably acted upon by the chapter;
b. see that these papers are in the proper form and accompanied
by the applicants personal check, made payable to the chapter
for application fees and national dues, before turning them over
to the Chapter Treasurer for mailing;
c. provide the State Registrar, for her records, any new members
or change in status of members of the chapter including name,
address, name and rank of ancestor, national number, date of
acceptance to membership in the National Society, transfer,
resignation or reinstatement, marriage, divorce and death;
d. notify the Regent, Recording Secretary, Corresponding
Secretary, and new member of acceptance to membership;

e. upon transfer out of the chapter, send the required papers in
accordance with instructions of the National Society;
f. report to the Office of the Organizing Secretary General,
Membership Services Department, in writing, all changes in
membership, marriage, divorce, deaths, resignations, transfers
and changes of address as they occur;
g. Encourage membership development.

Section 9. The Historian shall:
a. direct such historical work as may be requested by the chapter in
accordance with the historical program of the National Society
and of the DCDAR;
b. be custodian of historical and biographical papers which the
chapter may acquire.

Section 10. The Librarian shall:
a. cooperate with the State Librarian in securing books for the DAR
Library in Washington, DC;
b. provide other library work as the National Society and the
DCDAR may authorize.


ARTICLE VII
Meetings

Section 1. The regular meetings of the chapter shall be held on a
monthly basis, unless otherwise ordered by the chapter or Executive
Board.

Section 2. The regular meeting in May shall be known as the Annual
Meeting of the Mary Desha Chapter and shall be for the purpose of
receiving reports of officers and committees and for any other business
that may arise.

Section 3. The chapter may hold regular and special meetings in or
outside of the District of Columbia. The chapter may conduct a meeting
by means of the Internet or other electronic communications technology
in a fashion pursuant to which the members have the opportunity to read
or hear the proceedings substantially concurrently with their occurrence,
vote on matters submitted to the members, pose questions, and make
comments.

Section 4. Special meetings may be called by the Regent or by the
Executive Board and shall be called upon the written request of 5
members. Except in cases of emergency, 5 days notice shall be given.

The business transacted at any special meeting shall be limited to that
stated in the call to the meeting.

Section 5. Any action required or permitted to be taken at a meeting of
the members may be taken without a meeting if the action is taken by a
quorum of the members entitled to vote on the action. The action shall
be evidenced by one or more consents in the form of records bearing the
date of signature and describing the action taken, signed by the
members entitled to vote on the action, and delivered to the chapter for
inclusion in the minutes or filing with the chapter records.

Section 6. Three members of the chapter shall constitute a quorum.
There shall be no proxy voting.


ARTICLE VIII
Executive Board

Section 1. The officers of the chapter shall constitute the Executive
Board.

Section 2. The Executive Board shall have general supervision of the
affairs of the chapter between its meetings and shall make
recommendations to the chapter. The board is subject to the orders of
the chapter and none of its acts shall conflict with action taken by the
chapter.

Section 3. Meetings of the Executive Board shall be at the call of the
Regent, or upon written request of four members of the Executive Board.

Section 4. A majority of the members of the Executive Board shall
constitute a quorum.

Section 5. With the consent of the members of the Executive Board, the
Regent may invite Chapter Chairmen to attend meetings of the Executive
Board and to participate in discussion. Chapter Chairmen shall neither
make motions, second motions, or vote.


ARTICLE IX
Committees

Section 1. A Program Committee, with the Vice Regent as Chairman and
appointed by the Regent, shall plan the programs for the year subject to
approval by the Executive Board.

Section 2. A finance committee consisting of the Treasurer and 2
members, appointed by the Regent shall consider requests for funds,
prepare a budget, and submit it to the chapter for approval at the
February meeting.

Section 3. Such other committees, standing or special, shall be
appointed by the Regent as the chapter may authorize or as the National
Society or the DCDAR may require.


ARTICLE X
Representation

Section 1. The representation of the chapter at Continental Congress
shall be as provided in the Bylaws of the National Society.

Section 2. The representation of the chapter at meetings of the DCDAR
shall be as provided in the Bylaws of the DCDAR.

Section 3. The chapter shall elect delegates and alternates for
Continental Congress, State Conference, and the State Board of
Management at the May meeting.


ARTICLE XI
Parliamentary Authority

The rules contained in the current edition of Roberts Rules of Order
Newly Revised shall govern the chapter in all cases to which they are not
inconsistent with the bylaws or any rulings of the National Society of the
Daughters of the American Revolution, or any special rules of order of
the DCDAR, or of this chapter.


ARTICLE XII
Amendment to Bylaws

Section 1. These bylaws may be amended at any regular meeting of the
chapter by a two-thirds vote, provided the proposed amendment has
been submitted in writing at the previous meeting. Unless otherwise
provided prior to its adoption or in the motion to adopt, an amendment
shall take effect immediately upon its adoption.

Section 2. Any amendment adopted by the National Society, or by the
DCDAR affecting the work of this chapter shall become the law of the

ARTICLE XIII
Dissolution

Although the period of duration of the chapter is perpetual, if for any
reason the chapter is to be dissolved or otherwise terminated, no part of
the property of the chapter or any of the proceeds shall be distributed to
or inure to the benefit of any of the officers or members of the chapter.
Upon the dissolution of the chapter, assets shall be distributed by the
Executive Board to and only to the state organization.

CONFLICT OF INTEREST POLICY

Section I
Purpose

The purpose of the conflict of interest policy is to protect the interest of
the Mary Desha Chapter of the National Society Daughters of the
American Revolution (NSDAR) when it is contemplating or has entered
into a transaction or arrangement that might (1) benefit the private
interest of an officer or director of Mary Desha Chapter, or (2) result in a
possible excess benefit transaction.

Section II
Definitions

1. Interested Person
Any director, principal officer, member of Mary Desha Chapter, or
Committee Chairman, who has a direct or indirect financial interest, as
defined below, is an interested person.

2. Financial Interest
A person has a financial interest if the person has, directly or indirectly,
through business, investment or family:
a. An ownership or investment interest in any entity with which
Mary Desha Chapter has a transaction or arrangement;
b. A compensation arrangement with Mary Desha Chapter or with
any entity or individual with which Mary Desha Chapter has a
transaction or arrangement;
c. A potential ownership or investment interest in, or compensation
arrangement with, any entity or individual with which Mary Desha
Chapter is negotiating a transaction or arrangement.

A financial interest is not necessarily a conflict of interest. A person who
has a financial interest may only have a conflict of interest if the (Audit
Committee or Executive Board minus Interested Person) decides that a
conflict of interest exists.

3. Compensation
Compensation includes direct and indirect payment of any amount, as
well as gifts or favors that are insubstantial.

4. Excess Benefit Transaction
A transaction in which an economic benefit is provided by an applicable
tax-exempt organization, directly or indirectly, to or for the use of a

disqualified person, and the value of the economic benefit exceeds the
value of the consideration received by the organization.

5. Disqualified Person
Any person who is in a position to exercise substantial influence over the
affairs of the tax-exempt organization, including (1) board members, (2)
presidents, chief executive officers and chief operating officers, (3)
treasurers and chief financial officers, and (4) those others who facts and
circumstances tend to show have substantial influence over the affairs of
the organization.

Section III
Procedures

1. Duty to Avoid Conflict of Interest
Interested persons shall avoid any conflict between their own respective
personal, professional, or business interests and the interests of Mary
Desha Chapter.

2. Duty to Disclose
With regard to any actual or possible conflict of interest, an interested
person must disclose the existence of the financial interest and be given
the opportunity to disclose all material facts to the (Audit Committee or
Executive Board minus Interested Person) considering the proposed
transaction or arrangement.

If an interested person has any direct or indirect interest in, or
relationship with, any individual or organization which proposes to enter
into any transaction with the Chapter, including but not limited to:

a. the sale, purchase, lease or rental of any property or other asset;
b. employment, or rendition of services, personal or otherwise;
c. the award of any grant, contract, or subcontract;
d. the investment or deposit of any funds of the Chapter;

such person shall give notice of such interest or relationship.

3. Determining Whether a Conflict of Interest Exists
After disclosure of the financial interest and all material facts and after
any discussion with the interested person, she shall leave the (Audit
Committee or Executive Board minus Interested Person) meeting while
the determination of a conflict of interest is discussed and voted upon.
The committee members shall decide if a conflict of interest exists.

4. Procedures for Addressing the Conflict of Interest
a. An interested person may make a presentation at the committee
meeting but will leave the meeting during the discussion of, and
vote on, the transaction or arrangement involving the possible
conflict of interest.
b. The chairperson of the (Audit Committee or Executive Board
minus Interested Person) shall, if appropriate, appoint a
disinterested person or committee to investigate alternatives to
the proposed transaction or arrangement.
c. The committee shall determine whether the Chapter can obtain
with reasonable efforts a more advantageous transaction or
arrangement from a person that would not give rise to a conflict
of interest.
d. If a more advantageous transaction or arrangement is not
reasonably possible under circumstances not producing a
conflict of interest, the committee shall determine by majority
vote of the disinterested directors, (1) whether the
transaction/arrangement is in the Chapters best interest, for its
own benefit, and whether it is fair and reasonable, and (2)
whether to enter into the transaction or arrangement.

5. Violations of the Conflicts of Interest Policy
a. If the (Audit Committee or Executive Board minus Interested
Person) has reasonable cause to believe a member has failed to
disclose actual or possible conflicts of interest, it shall inform the
member of the basis for such belief and afford the member an
opportunity to explain the alleged failure to disclose.
b. If, after hearing the members response and after making further
investigation as warranted by the circumstances, the (Audit
Committee or Executive Board minus Interested Person)
determines the member has failed to disclose an actual or
possible conflict of interest, it shall take appropriate disciplinary
or corrective action.

Section IV
Records of Proceedings

The minutes of the Mary Desha Chapter and the (Audit Committee or
Executive Board minus Interested Person) shall contain:

a. The names of persons who disclosed or otherwise were found to
have a financial interest in connection with an actual or possible
conflict of interest, the nature of the financial interest, any action
taken to determine whether a conflict of interest was present,
and the (Audit Committee or Executive Board minus Interested

Person)s decision as to whether a conflict of interest in fact
existed.
b. The names of the persons who were present for discussions and
votes relating to the transaction or arrangement, the content of
the discussion, including any alternative to the proposed
transaction or arrangement, and a record of any votes taken in
connection with the proceedings.

Section V
Annual Statements

Each Chapter Board member and Chapter Committee Chairman shall
annually sign a statement which affirms such person:

a. Has received a copy of the conflicts of interest policy,
b. Has read and understands the policy,
c. Has agreed to comply with the policy, and
d. Understands NSDAR is a charitable organization and in order to
maintain its federal tax exemption, it must engage primarily in
activities which accomplish one or more of its tax-exempt
purposes.

PLEDGE OF ALLEGIANCE TO THE FLAG OF THE
UNITED STATES OF AMERICA

I pledge allegiance to the flag of the United States of America and to
the Republic for which it stands, one Nation under God, indivisible,
with liberty and justice for all.



THE AMERICAN'S CREED

I believe in the United States of America as a government of the
people, by the people, for the people, whose just powers are derived
from the consent of the governed; a democracy in a Republic; a
sovereign Nation of many sovereign States; a perfect Union, one and
inseparable; established upon those principles of freedom, equality,
justice, and humanity for which American patriots sacrificed their lives
and fortunes.

I therefore believe it is my duty to my country to love it; to support its
constitution; to obey its laws; to respect its flag; and to defend it
against all enemies.

PREAMBLE TO THE CONSTITUTION

We the People of the United States, in Order to form a more perfect
Union, establish Justice, insure domestic Tranquility, provide for the
common defense, promote the general Welfare, and secure the
Blessings of Liberty to ourselves and our Posterity, do ordain and
establish this Constitution for the United States of America.
