Mission
To be the leading expertise in software design for wireless technology, together uphold
the future needs of customers and exceed the expectations through great products and
services.

Purpose of the Team Operating Agreement (TOA )


This TOA serves as the guidelines and ground rules to help the project team work most
productively together over the course of the project. The TOA is a living document and
may be updated as the need arises throughout the project. Any updates will be
discussed with and ratified by the project team members and their project supervisor.

1. Management
1.1. The pointed project manager must be agreed by the team members and the
project supervisor.
1.2. The company consists of a project manager, a treasurer, a secretary and an
engineer.
1.3. Each of the team member must understand and do their jobs accordingly to the
job scope.
1.4. Any change regarding to the appointed positions, must be discussed among the
team members and approved by the project supervisor.

1.5. No one of the team member is allowed to leave the company after its effective
date.

2. Roles and Responsibilities


1.1. The project manager is responsible to be the leader of the project, to be the
representative of the company, to ensure the ongoing of the project and to
divide the tasks accordingly to the team members' skills.
1.2. The budget of the project and any related funds, sponsorship and grant will be
the responsibility of the treasurer. The treasurer must always keep the money
flow record.
1.3. The company's secretary is in charge of keeping any documents related to the
company, projects and products. The secretary also in charge of writing the
minute report in every meeting.
1.4. The engineer of the company act as the heart of the project. The engineer is
responsible on the development of the project.
1.5. The positions in the company is voted by the team members and discussed in
the first meeting. The positions assigned must be agreed by the team members
and the project supervisor.
1.6. Every group members should play a role in every discussions and meetings and
must serve to the needs of the group.

3. Meetings
1.1. Every team members should attend the meetings conducted by any of the
member.

1.2. Any meeting conducted must be notified to the team members at least 2 days
earlier from the date of meeting.
1.3. Meetings can be conducted by anyone among the team members, provided
that there is important issues to be discussed and notified 2 days earlier.
1.4. Meetings can be conducted by means of Whats app group, Facebook group or
chat, Google apps, and kind of electronic medium possible, provided that it is
not interfering other class meetings, home works, assignments and personal
time with family. Nevertheless, these methods not be an excused to be absent
in meetings.
1.5. Meetings with the project supervisor should be conducted at least once a week,
according to available schedule, with at least one of the team members.
1.6. The components required in the team meeting agendas are logbook, and
weekly report.
1.7. Every team members in the company must take turns in submitting the weekly
report.
1.8. Any absence of the team members without any legal reason or emergencies,
shall be punished accordingly.
1.9. Each of the team member is responsible to stay current on the project team
activities, even when the team member missed a meeting.

4. Documentation and Communication


1.1. Team members will appreciate the sensitive nature of information discussed
during this project and will share with care. Where applicable, documents will
include a footer indicating that information is confidential.
1.2. Team members will keep each other informed.
1.3. The secretary is responsible to keep the logbook, every research papers,
journals or articles and the weekly report.

1.4. Every team members must keep a copy of Team Operating Agreement (TOA)
individually.
1.5. Every team members can always communicate through other medium than
meetings and discussions, for instance through social media such as Whats app
group, Facebook chat, Google Drive, and others, provided that it is not
interfering other class meetings, home works, assignments and personal time
with family.
1.6. Meetings or discussions will be arranged between the company and their
respective clients accordingly and all the documents prior to the project will be
emailed. Other than that, the clients will be notified by call, message or Whats
App Group.

5. Individual Work
1.1. The team leader will receive any instructions from the supervisor or the client
and assigns the company members their work according to their job scope and
positions.
1.2. Every progress of the project should be updated to the group leader or the
secretary as it must be recorded in the log book. Updates can be informed
through any media channels other than face to face.
1.3. The quality of expectation of the work, progress or the product will be
determined by the project supervisor, whether it meets the qualification needs.
1.4. The due dates of any work or assignment is given by the project coordinator or
the supervisor. Any work or assignment that cannot be completed within the
due date must be informed three days earlier.
1.5. Any of the team members cannot get credits for the job they did not do or for
the job other members do.

6. Team Relationship
1.1. Every team members should always maintain the good relationship and
behavioral throughout the development of the project.
1.2. Every team members should always behave properly and be well-mannered
during meetings and discussion even though there might be some slight
disagreement during decision making or brainstorming.
1.3. Every team members should discuss and notify the team members if there is
any problem arise regarding the product, work, task or between the team
members.
1.4. Every team members should not withhold relevant information from other
members.
1.5. Every team members should put an effort to have a healthy communication
between the team members.

7. Team Work
1.1. Every team members must cooperate in the development of the product
although in different positions and job scopes.
1.2. Every team members must take part in every meetings and discussions in any
sort of medium.

8. Conflict Resolution

1.1. In an event where any of the team members have any conflicts regarding their
other members or product, a meeting is conducted between the member and
the supervisor or the coordinator.
1.2. The contract can be viewed when there is any conflicts regarding the contract.
1.3. The team dynamic can be observed through the logbook and weekly report.

9. Amendments
1.1. The team operating agreement (TOA) will be kept by the secretary of the
company, the supervisor and the coordinator.
1.2. Each of the members will also keep a copy of team operating agreement (TOA).
1.3. The contract will be reviewed twice a month. Also, in an event of conflict or
disputes.
1.4. All the team members can give their suggestions to be amended in the contract.
1.5. Only the project manager and the company secretary can do the amendments
in the contract, provided that it is done in front of the project supervisor or the
coordinator.
1.6. Any amendments to be made must be agreed and approved by all the team
members, project supervisor and coordinator.

10.

Decision Making

1.1. Every team members can suggest and discuss about a decision they have to
make.
1.2. Voting must take place if there is any decision that has to be made immediately.

1.3. The project manager cannot do the decision making alone or without consulting
other members in the company.

11.

Punishment

1.1. The team agrees that if there is any minor violation regarding the contract for
example, absent from the meeting without a legit reason, will be punished to
buy a mineral bottle for each of the other members in the company, including
the supervisor.
1.2. In the event of major violation by any of the team members for instance,
stealing from the company, the case will be handled by the project supervisor or
coordinator.
