JOINT VENTURE AGREEMENT

Agreement made February 1st, 2016, between Seton High School, (JV1), City of
Calgary, Province of Alberta, and South Health Campus Hospital (JV2), City of Calgary,
Province of Alberta.
RECITALS
1. The parties desire to conduct a business partnership together.
2. Each party is willing to invest volunteer time to finance the conduct of the
partnership.
3. It is agreed that the most desirable form of business for conducting the partnership
is a Joint Venture.
For the reason recited above, and in consideration of the mutual covenants contained
in this agreement, the parties agree as follows:
SECTION ONE.
SCOPE AND DESCRIPTION
By this agreement, the parties create a joint venture to invest in a Community
Partnership for the purpose of initiating and developing strong community ties between
Health Care Professionals and the future generation, in order to provide/expose high
school students to performing experts in their field.
SECTION TWO.
CONTRIBUTIONS
JV2 is to contribute facility use, provide students with hands on experience,
observational opportunities and answers to questions during the appropriate/designated
times with the appropriate/designated professionals to the joint venture. JV1 is to
contribute by providing volunteer students whom are studying in the related fields for
assistance where/when needed and create fundraising opportunities for beneficial
programs which will strongly contribute to the overall health of the patients and staff.
Failure of either party to complete the contribution on a timely basis shall result in the
termination of this agreement or as the case may be delay the initiation of this JV
partnership.

SECTION THREE.
CONDUCT OF VENTURE
JV1 and JV2 shall be responsible for management of the joint venture and shall devote
his/her time to such management. JV1and JV2 shall be responsive to the policies
established and agreed on by the parties. Such authority may be increased or decreased
from time to time on mutual agreement of the parties. JV1 shall be liable to the joint
venture for any losses or liabilities incurred during the students time spent at/in the
facility.
SECTION FOUR.
RECORDS AND ACCOUNTING
JV1 and JV2 shall maintain or cause to be maintained a complete set of records,
statements, and accounts concerning the total time of partnership of the joint venture, in
which books shall be entered, fully and accurately, each transaction pertaining to the
venture. All the books will be open at all times for inspection and examination by both
parties.
The fiscal year of the joint venture shall commence on February 1 st, 2016 and close on
December 31th of each year of the partnership.

SECTION FIVE.
ARBITRATION
The assignment of specific duties and authority to both JV1 and JV2 were made to
avoid differences between the parties as to conduct of the venture. The parties declare
that the terms of this agreement are controlling as to each of them. Any matter in dispute,
and which is not provided for in this agreement, shall be submitted to arbitration in
Calgary Provincial Court of Alberta or as the case may be.
SECTION SIX.
TERM
The effective date of this agreement shall be the date first above written, and the
agreement shall continue in effect for a period of one (1) year from that date, or until
mutually agreed upon by the parties.

SECTION SEVEN.
TERMINATION OF AGREEMENT
On termination of this agreement or for any cause whatsoever, the joint venture shall
be wound up and dissolved at the agreed time between both parties in accordance with
laws of the Province of Alberta.
In witness whereof, the parties have executed this agreement as per the day and year
first above written.
