(hereinafterEngagementFee).

4.
GRANTOFRIGHTS
:Artistherebyirrevocablyagreesandconsentstotherecording,
reproduction,videotapingand/orphotographingofArtistand/orArtistsperformance,initsentiretyor
anyportionthereof,byanymeans,includingsoundrecordings,stillphotographs,andaudiovisual
recordings,andherebyreleasesandassignsallrightsandtitle,whethernoworhereafterexistingandof
everykindandnature,insuchrecordings,reproductions,videos,andphotographstoELPR,itssuccessors
andassigns.ArtistfurthergrantsELPR,itssuccessorsandassigns,anonexclusive,worldwide,
irrevocableandperpetuallicense,withoutlimitation,toreproduce,edit,alter,copy,publishand/or
distribute,inanymannerandforanypurposes,Artistsimageand/orperformancesasembodiedonsuch
recordings,reproductions,videos,andphotographs.

5.
FORCEMAJEURE.
Intheeventthattheperformanceofanyofthecovenants,duties,or
obligationsofthisAgreementonthepartofArtistorELPRshallbeprevented,interrupted,delayedor
suspendedbyanyforcemajeureevent,asdefinedherein,eitherpartymayterminatethisAgreement
withoutanyliabilityoneitherpartyforanydamagesarisingfromsuchtermination.ForceMajeure
shallmeanseverelyinclementweatherillnessordeathofArtist(accompaniedbywrittenverificationby
aphysicianconfirmingsuchillnessordeath)ActofGodnaturaldisasterfireepidemicaccident
explosionlockout,boycott,strike,orlaborcontroversy(including,butnotlimitedto,threatoflockout,
boycottorstrike)riot,civildisturbance,oractorthreatofterrorismdelayofacommoncarrier
disruptionofairtrafficanyinabilitywithoutfaultofELPRtoobtainsufficientmaterial,labor,
transportation,powerorotheressentialcommodityrequiredintheconductofitsbusinessorservicesor
anyothersimilarordissimilarcauseorcausesoutsidethereasonablecontrolofapartyhereto.

6.
ARTISTWARRANTIES.
TheArtistherebyrepresentsandwarrantsthat:(a)ithasthefullright,
powerandauthoritytoenterintothisAgreementandtograntallrightsgrantedherein(b)itisnotunder,
norwillitbeunderduringtheTermofthisAgreement,anydisability,restrictionorprohibitionwith
respecttotherightstofullyperforminaccordancewiththetermsandconditionsofthisAgreement(c)
ArtistsperformanceasdefinedinthisAgreementwillnotviolateorinfringeuponanycommonlawor
statutoryrightofanyperson,firmorcorporationincluding,withoutlimitation,contractualrights,
copyrights,trademarks,andrightsofprivacy(d)Artistshallneitherretainnormakeanycopiesor
reproductionsofanyscores,parts,orothermaterialsprovidedtoArtistbyELPRand(e)thereshallbeno
liens,claimsorotherinterestswhichmayinterferewith,impairorbeinderogationoftherightsgranted
herein.

7.

INDEPENDENTCONTRACTOR:

a.
ArtistunderstandsandagreesthatallofArtistsperformancesandserviceswillperformed
underthegeneraldirectionofELPRandthatArtistshallcomplywithallinstructionsandrequirementsof
ELPRduringtheperformanceofArtistsserviceshereunder.Notwithstandingtheforegoing,Artist
understandsandagreesthatArtistisandshallbeanIndependentContractorandnotanemployee,partner,
orjointventureroforwithELPR.Artistwillbesolelyresponsibleformaintainingthehighestlevelsof

technicalandartisticproficiencyandshallatalltimescomplywithapplicablelawandproperbusiness
practicesandmeetacceptedprofessionalandindustrystandards.

b.
UnlessotherwiseexpresslyagreeduponbyELPRandArtist,Artistagreestofurnish,at
ArtistssolecostandexpenseallinstrumentsandothermaterialsnecessaryforArtistsperformance.

c.
Asanindependentcontractor,Artistagreestofilealltaxreturnsrequiredbylawandatall
timestoabidebyapplicablefederal,state,andlocallawrequirements,assumingsoleliabilityforall
selfemploymentandincometaxesdueonincomeearnedpursuanttothisAgreement.ELPRwillnotbe
responsibleforpaymentofworkerscompensationinsuranceorunemploymentcompensationor
disabilityinsurance,orforwithholdingorpayingemploymentrelatedtaxesbasedonanyperformances
andservicesunderthisAgreement.Notwithstandingtheforegoing,pursuanttotheInternalRevenue
Code,ELPRwillwithhold30%ofallincomepaidfortheservicesofU.S.nonresidentsunlessvalid
exemptiondocumentationisprovidedtoELPRnolaterthanten(10)businessdayspriortotheduedate
ofthefirstpaymentunderthisAgreement.ArtistshallindemnifyandholdharmlessELPRagainstany
andallclaimsanddemandsresultingfromArtistsfailuretocomplywiththeprovisionsofthisparagraph.

8.
INDEMNIFICATION.
ArtistshallindemnifyandholdharmlessELPRanditssuccessors,
assigns,officers,directors,agentsandemployeesfromandagainstanyclaims,loss,damages,injuries,
liabilities,costsandexpenses,howevercaused,includingreasonableattorneys'feesandcourtcosts
actuallyincurred,resultingfromorarisingoutof,whollyorinpart,Artistsperformance,oranybreach
ofanyrepresentation,obligation,orwarrantymadebytheArtistunderthisAgreement,andanyactor
omissionofArtist,itsagents,subcontractors,membersoremployees.Theexpressobligationshallinclude
withoutlimitationallliability,damages,loss,claims,andactionsonaccountofpersonalinjury,death,
propertyloss,libel,defamation,invasionorprivacyorrightofpublicity,orinfringementofcopyrightor
trademark.

9.
WORKPERMITSANDVISAS:
Ifapplicable,Artistwillprovide,atArtistssoleexpense,all
necessaryvisas,workpermits,customsclearances,andotherauthorizationsforArtistsperformance.
ArtistshallprovideproofofsuchvisasandauthorizationstoELPRuponrequest.

10.
TERMINATIONANDREMEDIES.
IntheeventtheArtistcancelsArtistsengagement
hereunder,orbreachesordefaultsinthedueperformanceofthisAgreementoranyofitswarranties,
representations,oragreementshereunder,sucheventshallbedeemedanEventofDefaultandELPR
shallhavetherighttoterminatethisAgreementanditsobligationshereunder.TheArtistacknowledges
thatELPRhasincurredandwillincursubstantialoutofpocketexpensesinconnectionwithArtists
engagementand,therefore,agreesthat,uponanEventofDefault,anyandallsumsduetotheArtistas
compensationunderthisAgreementshallberetainedbyELPRasliquidateddamages.TheArtistfurther
agreesthat,inadditionandnotinlieuofthoseremediessetforthabove,ArtistshallbeliabletoELPRfor
alloutofpocketcosts,losses,andexpensesactuallyincurredandexpendedbyELPRasaresultof
ArtistsEventofDefault,including,butnotlimitedto,thecostsofhiringareplacementartistand/or
damagesincurredasaresultofthecancellationofaperformance.ELPRshallhavetherightifthereisan

EventofDefault,toexerciseallofitsrightsandremediesagainsttheArtistatlaworinequity.Allsuch
rightsandremediesmaybeexercisedcumulatively,orinthealternativeatthesolediscretionofELPR.

11.

ADDITIONALPROVISIONS.

a.
ThisAgreementconstitutestheentireAgreementbetweenthepartiesandanyprior
understandingorrepresentationofanykindprecedingthedateofthisAgreementshallnotbebinding
uponeitherpartyexcepttotheextentincorporatedinthisAgreement.

b.
AnymodificationofthisAgreementoradditionalobligationassumedbyeitherpartyin
connectionwiththisAgreementshallbebindingonlyifplacedinwritingandsignedbyeachpartyoran
authorizedrepresentativeofeachparty.

c.
ArtistshallnothavetherighttoassignortransferthisAgreementwithoutthepriorwritten
consentofELPR.AnyattemptedassignmentordelegationinviolationofthisSectionshallbenulland
void.

d.
AsusedinthisAgreement,thewordArtistshallincludeanycorporationowned
(partiallyorwholly)orcontrolled(directlyorindirectly)byArtist,andArtistagreestocauseanysuch
corporationtoenterintoanagreementpromptlywiththeFoundationonthesametermsandconditions
areasarecontainedherein.

e.
AnycontroversyorclaimarisingoutoforrelatingtothisAgreementoranybreachthereof
shallbesettledfirstbymediationandthen,ifmediationisunsuccessful,shallberesolvedbyarbitrationin
accordancewiththeRulesoftheAmericanArbitrationAssociation.
ThepartiesselectexpeditedarbitrationintheCityofNewYorkusingonearbitratorasthesoleforumfor
theresolutionofanydisputebetweenthem.Sucharbitratorshallbeexperiencedinperformingartsand
entertainmentmatters.Thearbitratormaymakeanyinterimorder,decision,determinations,orawardhe
deemsnecessarytopreservethestatusquountilheisabletorenderafinalorder,decision,determination
oraward.Thedeterminationofthearbitratorinsuchproceedingshallbefinal,bindingand
nonappealable.Judgmentupontheawardrenderedbythearbitratormaybeenteredinanycourthaving
jurisdictionthereof.Theprevailingpartyshallbeentitledtoreimbursementforcostsandreasonable
attorney'sfees.

e.
ThelawsoftheStateofNewYorkshallgoverntheconstructionandinterpretationofthis
Agreement.IfanyoftheprovisionsofthisAgreementshallcontravene,orbeinvalidunder,thelawsof
theStateofNewYork,suchcontraventionorinvalidityshallnotinvalidatetheentireagreement,butit
shallbeconstruedasifnotcontainingtheparticularprovisionorprovisionsheldtobeinvalid,andthe
rightsandobligationsofthepartiesshallbeconstruedandenforcedaccordingly.

f.
ThefailureofeitherpartytothisAgreementtoinsistupontheperformanceofanyofthe
termsandconditionsofthisAgreement,orthewaiverofanybreachofanyofthetermsandconditionsof

thisAgreement,shallnotbeconstruedasthereafterwaivinganysuchtermsandconditions,butthesame
shallcontinueandremaininfullforceandeffectasifnosuchforbearanceorwaiverhadoccurred.

g.
Thepartiesheretostipulateandagreethattheruleofconstructiontotheeffectthatany
ambiguitiesaretobeormayberesolvedagainstthedraftingpartyshallnotbeemployedinthe
interpretationofthisAgreementtofavoranypartyagainstanother.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabove
written.
