THIS ASSIGNMENT AND ASSUMPTION OF INTEREST is made this 7th day of

December, 2010 by Realty Leadership Group, LLC (herein "Company"), a duly licensed New
York limited liability company, and ___________________ (herein ³Assignee´).

RECITALS:

A. Realty Leadership Group, LLC may assign up to twelve and a half (12.5) additional units of
membership interest in the company pursuant to its operating agreement provided that the
manager agrees to the assignment.

B. Bart Cafarella, as manager of Realty Leadership Group, LLC agrees to assign six and one
quarter (6.25) units of membership interest in Realty Leadership Group, LLC to
_________________ and __________________ agrees to accept the assignment for the sum of
$__________________.

AGREEMENT:

1. Realty Leadership Group, LLC hereby assigns to _____________ six and one quarter (6.25)
units of membership interest in Realty Leadership Group, LLC

2. _______________ agrees to buy the foregoing interest in Realty Leadership Group, LLC for
the sum of $____________ and agrees to perform any and all obligations which he may thereby
have under the Articles of Organization or Operating Agreement of Realty Connect USA.

3. This agreement will not constitute any change to the current operating agreement or articles of
organization of Realty Leadership Group, LLC.

4. ________________will be entitled to six and one quarter (6.25) units of ownership interest in
Realty Leadership Group, LLC and will be have all rights and responsibilities of a member
pursuant to the operating agreement of Realty Leadership Group, LLC.

IN WITNESS WHEREOF, the parties have entered into this Agreement the day and year first
above written.
