Dacision of the 7th Ordinary Congress of the Philippine Football Federation (PFF) of 27
November 2010 to remove and replace the PFF President
Dear General Secretary,
We refer to your letter from 6 December 2010 and its enciosure, as well a3 to the previous
comespandence in this matter (in particular your letter fram 27 Nowember 2010 and our letter from 3
December 2010}.
After having corsulted the minutes of the 7" ordinary Congress of the Philippines Football Federation
(FFF) of 27 November 20410, as well as the other enclosures which we now have in our file, we
consider that these bring a new light to the held Congress and its results.
For this reason, we have asked the Chairman of the Association Committee (and FIFA Vine-President,
Mr Geoff Thompson, to give an opinion on the vabdity of the decision of the Tth Ordinary Congress of
the Philippine Football Federation (FFF) of 27 November 2010 to remove and replace the FFF President
Mr José Mari Martinez
His opinion reads as follows:

In accordance with artide 13.5 of the PFF By-Laws “only the PFF Congress, by the affinmative vote of
wo thirds of the entire veting membershig may remove and replace the PFF President upon the
rreommendation and majority wote of the Board of Gowernors”.
According to the minutes of the meetings of the Board of Governors held on 25th September 2010 es
well as 29th October which resumed on 27th Novernber 2010, the Board of Governors did indeed
adopt a motion to remowe the President José Mani Martinez from offace.
‘On the 27th November the 7th Ordinary Congress of the PFF was duly convened and certified that
there wai a quorum present. A resolution from the Board of Governors secking the Congress’
approval to remove and replace the PFF President due ta unauthorized dishursement of FFF funds,
fasification of public documents, and failure to retum missing funds before a set deadline, was placedFIFA

under point ¥1 of the agenda “Finance”. The resolution was duly carried by 26 votes in favour and 4
abstentions out ef 30 members presents (the enting membership of PAE comprises 33 members, of
which 3 were absent at the Congress),
Although article &.1 of the By-Laws provides that “The Members in good standing have the right to
knew in advance the agenda of any general assemblweongress to be called to the meeting within the
prescribed time, to take part in the meeting and to exercise thelr right to wate", no one except the PFE
President contested the fact that the motion was placed under paint MI of the agenda,
‘Consequently | am satisfied that article 13.5 prevails. | am therefore of the opinion that the decision of
‘the PRE Congress to remove and replace the PFF President was taken according to the PFF Statutes.

Based on this opinian, we consider that the motion to remowe the PAF President Jose Mari Martinez
was accepted and that he has been replaced by Mr, Mariano V. Araneta as the new PFF President.
Hanes, fe is to hold office as FFF President for the unexpired period of the mandlate of the PF Board
of Governors until 26 November 2011, as decided by your Congress For that same period Mr. Ismael
C. Batiles, Jr, is the new PEF Executive Vice-President,
in view of this, Mr Mariano V, Araneta and Mr. kmael C. Batiles, Jr, are wetted with all rights and
duties in accordance with the FFF Statutes,

election and thank you for taking note.
