CALL TO ORDER: The Presiding Officer called the session to order at exactly 9:00 oclock in the morning. PRAYER: The Presiding Officer requested BOWAF Treasurer Arnold Agsallong, to lead the prayer. NATIONAL ANTHEM: The Presiding Officer requested the body to remain standing for the singing of the National Anthem lead by BOWAF Secretary Mrs. Mary A. Luis. ROLL CALL: 1. Presiding Officer, May I request the secretary to call the roll to determine the quorum. 2. Secretary, Mr. P.O., majority of the members of this august body is present, we have a quorum. 3. Presiding Officer, Thank you Mr. Secretary, so next item please. BUSINESS FOR THE DAY: A. ADOPTION AND RATIFICATION OF BOLINEY OVERSEAS WORKERS ASSOCIATION CONSTITUTION AND BY-LAWS 1. Presiding Officer, Ladies and gentlemen of this humble body, in order to institutionalize the existence of this organization, the Boliney Overseas Workers Association, it is imperative for us to create, adopt and ratify our CONSTITUTION and BY-LAWS. This document shall contain our collective goals and aspirations and shall serve as our guidelines on how our day-to-day organizational business will be dealt with. As such it is with great pride and honor that I present to you a draft of our Constitution and By Laws, for your perusal and approval. 2. DRAFT CONSTITUTION AND BY LAWS OF THE BOLINEY OVERSEAS WORKERS ASSOCIATION CONSTITUTION AND BY LAWS PREAMBLE We, the members of the BOLINEY OVERSEAS FILIPINO WORKERS ASSOCIATION, imploring the aid of the Divine Providence, in order to establish an organization that promotes mutual help and understanding, inculcate civic consciousness among its members, foster love to one another and to our country, do hereby adopt and promulgate this Constitution and By-Laws. ARTICLE I NAME, NATURE AND DOMICILE Section 1. Official Name This organization shall be known as BOLINEY OVERSEAS FILIPINO WORKERS ASSOCIATION (BOFWA). Nature BOFWA shall be known as a non-sectarian, non-political organization, and shall exist as a cultural and socio-civic organization, created solely for the mutual benefit of all members and of the community. Official Address The permanent address of this organization shall be at Boliney, Abra, Philippines. ARTICLE II OBJECTIVES Section 1. Objectives

The objectives of this organization are: To establish an effective linkage and networking between and among the OFW Center in the Province of Abra, National Government Agencies, Non-Government Organizations, Local Government Units and members of Boliney Overseas Filipino Workers actively living or working abroad. To conduct capability building program for members. To promote self-employment and income generating livelihood among its members. Increase member participation in agri-business through establishment of small medium enterprises. ARTICLE III MEMBERSHIP

Membership Membership in this organization shall be open to all Overseas Filipino Workers. Classification of membership: Regular members - refers to all members provided under Section 1, Article III of the Constitution and all signatories of this Constitution and By Laws. ARTICLE IV VISION, MISSION AND RIGHTS OF MEMBERS

Vision

BOFWA will be economically and socially developed through investment of migrant earning in productive and viable economic activities that would stimulate the local economy and provide jobs and alternative sources of income for OFWs, their families and the entire community. Section 2. Mission. BOFWA commits itself to the task of harnessing the full potential of overseas migrants for local community development. We will be known as a catalyst for the economic upliftment of OFWs, their families and their communities. Membership Rights Members of the BOLINEY OVERSEAS FILIPINO WORKERS ASSOCIATION shall enjoy the following rights: Be respected by his fellow members; Be informed of all the activities concerning the Organization; Avail of the existing benefits of the organization as provided to its members; Amend the constitution and by-laws; Participate in policy-making and decision-making mechanisms of the organization; Not to be compelled to maintain his membership in the organization if his will or means does not permit him to do so; and, Be able to hear and express oneself. ARTICLE V STRUCTURE

Government The BOLINEY OVERSEAS FILIPINO WORKERS ASSOCIATION shall be governed by the General Assembly of this Organization. The General Assembly The General Assembly shall: Be composed of all regular members; Be the highest policy-making body; Formulate, revise and approve general policies, budget and program of action of the BOFWA; Shall conduct a regular meeting every last Sunday of the quarter. The president has the authority to call for special meetings as the need arises. Officers. The officers of the BOFWA shall be composed of the following: President, Vice-President, Secretary, Treasurer, Auditor, P.R.O, and Business Manager; Coordinate and implement the general program of action approved by the General Assembly; Formulate policies, adopt resolutions and decisions for the organization in case of emergency; Create special committees as may be deemed necessary. Have its regular meeting every last Sunday of the quarter. ARTICLE VI POWERS, DUTIES AND FUNCTIONS OF OFFICERS

Powers, duties and functions of officers: The powers, duties and functions of officers are as follows: PRESIDENT shall preside over all meetings of the General Assembly and meetings of all the officers. Approve all vouchers, requisitions and all papers calling for payments and/or expenditures from funds of the organization. Sign all documents requiring his signature. Enforce the constitution and by-laws and all other measures passed and approved by the general assembly. VICE PRESIDENT shall take over all the duties and functions of the President in the event of the latters absence, disability, resignation, death, unexpired term of his predecessor until his successor shall be elected and qualified, then perform such other duties and functions delegated to him by the organization. SECRETARY shall be the custodian of all records and minutes of all meetings of the organization. He shall inform all members three (3) days before the regular or special meetings of the organization. He shall perform such other duties and functions delegated to him by the organization. TREASURER the treasurer shall be the custodian of all the records, books of accounts, cash and properties owned or held in trust by the organization and issue official Receipts and Acknowledgement Certificates for any kind/cash donations from any individual. He shall render complete a report of Monthly or quarterly income and expenditures. Collect all dues and payables

to the organization and issue receipt thereof. Perform such other duties and functions assigned to him by the organization. AUDITOR - the Auditor shall have the power to examine and audit in accordance with the existing policies, rules and guidelines adopted by the organization of all accounts pertaining to the revenues and receipts of any expenditures and uses of funds and properties owned or held in trust of the organization. Prepare and keep general accounts of the organization and preserve the vouchers thereto; shall recommend measures for the prevention of irregular, excessive, extravagant or unnecessary expenses. PUBLIC RELATIONS OFFICER (PRO) - the Public Relations Officer shall be in-charge of all publications, press and or radio releases regarding the activities of the organization, and shall act as Liaison Officer of the organization. To perform such other duties and functions as maybe assigned to him by the organization. BUSINESS MANAGER - the Business Manager shall direct, supervise and manage the affairs and activities of the organization. Advisers There shall be advisers who shall be recommended by the officers and approved by the General Assembly. ARTICLE VII ELECTION, TENURE OF OFFICE AND SUCCESSION

Election of officers All Officers of the Organization shall be elected at large subject to such provisions as provided for in Section 2, Article II of this Constitution, notice of election shall be sent at least five (5) days in advance. The secretary shall post announcement of election to all public posting areas in the municipality. Tenure of Office The officers of the Organization shall hold office for a term of one (1) year until their successors shall have been duly elected and qualified. Until the organization shall provide otherwise, the terms of the officers shall commence upon taking the oaths of office not later than 2 weeks after their election. Succession and filling of vacancies Any vacant position can be filled in through a special election as set forth by the organizations officers and approved by the General Assembly. ARTICLE VIII SOURCES AND USES OF FUNDS

Sources of Funds: The sources of funds of the organization shall be derive from the following: 1. Annual Membership Fee as approved by the officers and members of the association in the amount of Twenty Pesos (P20.00). 2. Donations and proceeds of Fund Raising activities cash donations from local and international shall be received by the treasurer and the president and must be kept in the account of the organization, an Acknowledgment Receipt or Certificate of

Donation or Acceptance shall be issued by the President and Treasurer to the Donor or his immediate families to ecognize their support to the organization. Donations shall be entered in the Books of Accounts and present the same during their regular meetings. Section 2. Use of funds Funds of the organization shall be utilized for general purposes as needed by the organizations operations, renewal of registration, purchase of office supplies and general benefit of the organization with the approval of the President and Officers of the organization and must be subject to supporting documents and auditing procedures. Fund management Funds of BOFWA must be kept at the bank. Official signatories are the President and the Treasurer. Provided however that disbursement of funds shall be approved by the President, prepared by the Treasurer, to be noted and countersigned by the Secretary before any withdrawal from the depository bank of the association with proper supporting documents. Prohibition on the use of funds Funds shall not be used for the benefit of any member or officer except for lawful purposes and shall be approved by the General Assembly. Audit of funds Funds are subject to audit every quarter, prior to the regular meeting of the organization. Reports should be prepared by the Secretary and Treasurer to be submitted for audit and review by the Finance Committee, and shall be presented during the regular meeting for transparency purposes. ARTICLE IX STANDING COMMITTEES Section 1. Standing Committees There shall be a Standing Committee necessary for the organization: 1. Membership Committee To be chaired by any officer/member of the organization and two members. This committee shall be responsible in reviewing and approving the application of interested members. It shall impose disapproval, removal and recommend penalty to members who are INACTIVE during the fiscal year. 2. Finance Committee To be chaired by a non-officer with two members. It shall be responsible in reviewing the financial report before its presentation every regular meeting. Such report must be countersigned by this committee. It shall also recommend ways and means in raising funds. ARTICLE X LEGAL ACTION

Suspension of members Any member who violates the provision of this Constitution and who do not participate in any activities, programs, projects and regular meetings for four (4) times shall be suspended throughout the calendar year. This action pertains to the recommendation from the Secretary and through the Membership Committee. Removal of officers Any officer who neglects his duty, never performs his duties and functions must be subject to removal of office upon notification of the officers to the General Assembly. Manner of removal of officers and members To confirm the suspension or removal of officer and member, an affirmative vote of the General Assembly with at least 2/3 must be required. ARTICLE X GENERAL PROVISIONS

No officer or any member shall receive personal remunerations for services rendered to the organization unless otherwise deliberated and approved by the officers. The name of the association must not be used for unjust, unlawful, or immoral deeds. Any officer must take an oath to support and defend this Constitution and By Laws. ARTICLE XI AMENDMENTS

The Constitution and By Laws may be amended, repealed or changed by an affirmative vote of 2/3 of the General Assembly at any regular or special meeting. The content of the amendment of the Constitution and By Laws shall be submitted to the Secretary in writing after 10 days prior to the date of meeting at which amendment maybe considered. ARTICLE XII ORDER OF BUSINESS

The order of business to be adopted by this organization during its meetings shall be: a. Call to Order, Roll Call Attendance b. Reading of Minutes of previous meetings and approval c. Committee Report d. New Business e. Other Matters f. Adjournment ARTICLE XIII EFFECTIVITY

This Constitution and By-Laws shall take effect immediately upon its ratification by at least Twenty Five percent (25%) of the total membership assembly in a plebiscite called for such purpose by the incumbent officers and shall supplement all other existing laws and regulations adopted by this organization.

RATIFIED THIS 10th day of April, 2012 at Poblacion, Boliney, Abra in a General Assembly called for such purpose. 3. Vice President Benita S. Dugayen, I hereby move, Madam Presiding Officer that this draft Constitution and By Laws be adopted, enacted and ratified. 4. Treasurer Arnold L. Agsallong, I second the motion. 5. Presiding Officer, So, theres a motion to approve and ratify this Constitution and By Laws and duly seconded. Are there any inquiries? 6. Mary A. Luis, No further inquiries Madam Presiding Officer. 7. Second the motion. 8. Presiding Officer, There being no further inquiries, as it was also seconded by the body. So, this Constitution and By-laws is now approved. VII. ANNOUNCEMENT: Each member shall be given a copy of the approved Constitution and By-laws.

VIII. ADJOURNMENT: 1. Benita S. Dugayen, Madam Chairman, since our business for the day is now done, I hereby moved that this meeting be adjourned. 2. Secodn the motion. 3. Presiding Officer, There was a pending motion for the adjournment of these meeting and duly seconded by the body. The meeting was adjourned at 11:00 oclock in the morning.
