MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (Memorandum), taking effect on ________________ 2012, is made between: a) Global Vision International Ltd. (GVI) of 15 Mervyn Fish Hoek, Cape Town, South Africa 7975 (U.K. registered company no. 3699790), and b) Huay Pakoot Community Conservation Group of Tambon Mae Suek, Amphur Mae Chaem, Chiang Mai. Road

Context
GVI is an international volunteer organization working towards education, conservation, community and sustainable development projects around the world. Huay Pakoot Community Conservation Group is working towards developing alternative livelihoods for mahouts and the local Karen village by bringing rescued elephants out of the tourist camps and back to their village as a means of aiding the plight of the Asian elephant.

UndertakingsonthepartofGVI
GVI Thailand undertakes to assist the efforts of the Huay Pakoot Community Conservation Group by: 1. 2. 3. Working to raise charitable donations through GVIs Charitable Trust to support the Huay Pakoot Community Conservation Groups growth and initiatives. Assisting and mentoring the community as deemed appropriate as means of local capacity building. Exchanging information necessary to carry out common objectives.

UndertakingsonthepartofHuayPakootCommunityConservationGroup
In order to remain eligible for support from GVI, Huay Pakoot Community Conservation Group undertake to: 1. 2. 3. 4. 5. Ensure the elephants in the conservation group receive health checks at least once every 6 months. Provide photocopies to GVI of registration papers for all elephants and owners in the herd. Limit visitors to an elephant herd to 15 tourists per day. Focus on managing elephants as herds similar to how they would live in a natural environment. This will maximize the amount of social contact between elephants. Limit chain use to situations where it is necessary for elephant or human safety (night time hours and activities such as health checks) thereby minimizing the time elephants spend chained up. Maximize free foraging time in the forest, ensuring that the elephants get 95% of their diet from natural foraging and have no reliance on supplementary foods for nutrition.

Exclude elephant owners who remove their elephants from the project and prohibit them from rejoining the conservation group. Provide the following paper work at the end of each 6 month period: a. Copies of bank account passbook as proof that group is working to generate revenue fund more elephants into the herd. This should also show proof of spending of charitable donations raised by GVIs Charitable Trust, which must be reported as spent. b. Copies of meeting minutes from the Huay Pakoot Community Conservation Group monthly meeting held on the first of every month. Facilitate the following interactions between GVI personnel and the elephants: a. A GVI staff member being present when the vet does the elephant health check every 6 months. b. GVI staff and interns visiting the elephants once per month to perform a basic health check and to take photos and collect marketing materials for fundraising purposes. c. GVI volunteers having the opportunity to visit the conservation groups elephants (outside of organized tourist visits) to help increase fundraising opportunities. Visits to be arranged in advance between GVI and the Huay Pakoot Community Conservation Group.

PaymentofCharitableDonations:
GVI will transfer funds to a designated bank account as discussed with the Huay Pakoot Community Conservation group in a bi-annual meeting to discuss funding and needs. Funds are not guaranteed and are dependent upon:

1. Availability of funds raised by the GVI Charitable Trust towards this project. 2. The conservation groups ability to demonstrate adherence to this memorandum. 3.
The conservation groups ability to demonstrate progress towards generating sustainable income sources.

Termination
Either party will have the right to terminate this Agreement by giving 60 (sixty) consecutive days written notice to the other party of its intent to terminate. Nevertheless, previous financial obligations will have to be respected before termination.

PeriodofAgreement
This Memorandum shall be in effect for a period of twelve (12) months from the date hereof; thereafter it shall automatically renew.
