SELECTION FOR CONSULTANTS BY THE WORLD BANK REQUEST FOR EXPRESSIONS OF INTEREST Electronic Submissions through World Bank Group eConsultant2 https://w bgeconsult2.w orldbank.org/w bgec/index.html ASSIGNMENT OVERVIEW Assignment Title: Legal Consultant - Macedonia Corridor 8 PPP Assignment Countries: - Macedonia ASSIGNMENT DESCRIPTION IFC PPP Transaction Advisory is in discussions w ith the Government of Macedonia's ("GoM") Ministry of Transport ("MoT") to act as Lead Advisor to structure a PPP transaction for expansion, operation and maintenance of the w estern part of Corridor 8 Highw ay (the "Project"). Besides its ow n resources and team, IFC w ill also draw upon the services of a technical consulting firm and a legal consulting firm. IFC w ill supervise the w ork of the consultants to ensure that all aspects related to the Project are properly coordinated and integrated. Overall scope of w ork of IFC w ill include: comprehensive technical, environmental, legal and financial due diligence assessment of the project; structuring of the PPP transaction and drafting of the tender documents, including the concession agreement; marketing of the project to the investor community; negotiations w ith the investors; implementation of the tender process. Legal consultant shall, inter alia, perform the follow ing tasks: - assessment and advice in relation to the relevant regulatory framew ork; - assist IFC in structuring of the transaction (i.e. risk allocation); - preparation of prequalification documents and assistance in implementation of prequalification process; - preparation of the tender documents, including the request for proposals and concession agreement; - assistance w ith conducting the negotiations process w ith prequalified investors, including participation on conferences and meetings w ith potential investors; - assistance w ith conducting the tender and selecting the w inning investor; - assistance w ith the final closure of transaction, including potential negotiations and post-bid contract finalization w ith the

preferred investor. INDIVIDUAL / FIRM PROFILE The consultant w ill be a firm. SUBMISSION REQUIREMENTS The World Bank now invites eligible consultants to indicate their interest in providing the services. Interested consultants must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff). Please note that the total size of all attachments should be less than 5MB. Consultants may associate to enhance their qualifications. Please note that the Consultant w ill be required to have local presence in Macedonia, through its ow n office or by means of consortium w ith a local law firm. How ever, announcement of consortium w ith a local partner (if any) is not required at this stage. Expressions of Interest should be submitted, in English, electronically through World Bank Group eConsultant2 (https://w bgeconsult2.w orldbank.org/w bgec/index.html) NOTES Follow ing this invitation for Expression of Interest, a shortlist of qualified firms w ill be formally invited to submit proposals. Shortlisting and selection w ill be subject to the availability of funding.
