hereby stipulate as follows:

RECITALS

Prior to July 9, 2008, Haggar provided the Debtors with goods in the aggregate

net amount of $537,467.62 (the "Unsecqgd_Claim').

Within the twenty days prior to July 29,2008, Haggar provided the Debtors with

goods in the aggregate amount of $129,568.63 (the "Prepetition Administrative Claim").

On or about October 7,2008 and January 8, 2009, Haggar timely filed proofs

of

claim (Claim Nos. 399 and4674, respectively) seeking, among other things, payment on account of the Unsecured Claim and the Prepetition Administrative Claims (the "Filed_Ql?rgrq").

The Debtors and Haggar HEREBY STIPULATE AND AGREE as follows:

AGREEMENT
The Recitals are true and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and

until approved by the Bankruptcy Court.

The D"btots in these cases, along with the last four digits of their federal ax identification numbers, are Mervyn's Holdings, LLc (3405), Mervyn's LLc (44s6) and Mervyn's Brands, LLc (8850).

On account of the Filed Claims, Haggar shall be allowed (i) a general unsecured

claim against Mervyn's LLC of $537,467.62 (the "Allowed Unsecured Claim') and (ii) an
administative expense claim against Mervyn's LLC pursuant to

U.S.C. $ 503(bX9) in the

amount of $129,568.63 (the "Allowed Prepetition Administrative Claim'n and together with the

Allowed Unsecured Claim, the "Allowed Claims").

Payme,nt of the Allowed Claims shall be made in accordance wittr the terms of the

chapter 11 plan ultimately coafirmed in these chapter I I cases.

This Stipulation shall be binding upon

(i)

any liquidating trustee; plan

adminisfrator; distribution agent and/or any other responsible person appointed pursuant to any chapter 11 plan confirmed in these cases;
and/or

(ii) any chapter 11 trustee appointed in

these cases

(iii) any chapter 7 trustee appointed or elected in these cases.
