Potentially Assumed Under the Plan; and (IV) Granting Related Relief [Docket No. 935] (the Disclosure Statement Order),2 to each of the claims (collectively, the Modified Voting Claims) listed on Exhibits A and B to the proposed form of order (the Proposed Order) attached hereto as Exhibit 1,3 and request the entry of the Proposed Order temporarily allowing the Modified Voting Claims, solely for purposes of voting to accept or reject the Debtors Second Amended Joint Plan of Reorganization Under Chapter 11 of the Bankruptcy Code [Docket No. 922] (including all exhibits thereto and as may be amended, modified or supplemented from time to time, the Plan), in the amounts and classifications provided for on Exhibits A and B to the Proposed Order under the column titled Modified Claim Amount/Classification, as opposed to the amounts and classifications asserted in the Modified Voting Claims. In support of this Objection, the Debtors respectfully represent as follows: Jurisdiction and Venue 1. This Court has jurisdiction to consider this Objection under 28 U.S.C. 157 and

1334. This is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. Venue of the above-captioned chapter 11 cases and this Objection are proper in

this District pursuant to 28 U.S.C. 1408 and 1409. 3. The statutory and legal predicates for the relief requested herein are section 105(a)

of the Bankruptcy Code and Bankruptcy Rule 3018, together with Paragraph 14 of this Courts Disclosure Statement Order.

Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to such terms in the Disclosure Statement Order.

By this Objection, the Debtors are objecting to the Modified Voting Claims solely for purposes of voting to accept or reject the Plan (as hereinafter defined), and neither the filing of this Objection nor a ruling by the Court on this Objection shall affect any right or ability of the Debtors, the Reorganized Debtors or any party in interest in these Chapter 11 Cases to later object to any of the Modified Voting Claims for any other purposes, including, without limitation, distribution under the Plan.

General Background 4. On June 13, 2011 (the Petition Date), each of the Debtors filed a voluntary

petition for relief under chapter 11 of the Bankruptcy Code, and each thereby commenced chapter 11 cases (collectively, the Chapter 11 Cases) in this Bankruptcy Court (the Court). No request has been made for the appointment of a trustee or examiner, and the Debtors continue to operate their businesses and manage their properties as debtors-in-possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. On June 24, 2011, the Office of the United States Trustee for the District of Delaware (the U.S. Trustee) appointed an Official Committee of Unsecured Creditors (the Committee) in the Chapter 11 Cases. 5. On September 9, 2011, the Debtors filed the Debtors Second Amended

Disclosure Statement for Debtors Second Amended Joint Plan of Reorganization Under Chapter 11 of the Bankruptcy Code [Docket No. 923] (including all exhibits thereto and as may be amended, modified or supplemented from time to time, the Disclosure Statement). That same day, the Court entered the Disclosure Statement Order, approving the Disclosure Statement as containing adequate information within the meaning of section 1125 of the Bankruptcy Code. Pursuant to the Disclosure Statement Order, the Court also established certain procedures for the solicitation of votes to accept or reject the Plan, and set October 31, 2011 at 10:00 a.m. (ET) as the date and time for a hearing on confirmation of the Plan. 6. Additional information about the Debtors businesses, the events leading up to the

Petition Date, and the facts and circumstances surrounding the Debtors and the Chapter 11 Cases can be found in the Declaration of Joseph F. Trungale in Support of Debtors Chapter 11 Petitions and First Day Motions [Docket No. 19] filed on the Petition Date and incorporated by reference herein.

Relief Requested 7. By this Objection, the Debtors request the Court to enter the Proposed Order,

pursuant to section 105(a) of the Bankruptcy Code, Bankruptcy Rule 3018 and Paragraph 14 of this Courts Disclosure Statement Order, temporarily allowing the Modified Voting Claims, solely for purposes of voting to accept or reject the Plan, in the amounts and classifications provided for on Exhibits A and B to the Proposed Order under the column titled Modified Claim Amount/Classification, as opposed to the amounts and classifications asserted in the Modified Voting Claims. 8. Through this objection, the Debtors are objecting to the Modified Voting Claims

solely for purposes of voting to accept or reject the Plan, and neither the filing of this Objection nor a ruling by the Court on this Objection shall affect any right or ability of the Debtors, the Reorganized Debtors (as defined in the Plan) or any party in interest in these Chapter 11 Cases to later object to any of the Modified Voting Claims for any other purposes, including, without limitation, distribution under the Plan. As a result, any ruling by the Court on this Objection shall be considered a ruling with respect to the temporary allowance of the Modified Voting Claims under Bankruptcy Rule 3018 solely for the purpose of accepting or rejecting the Plan and such claims shall be counted, for Plan voting purposes only, in the amounts and classifications determined by the Court. Basis for Relief 9. The Debtors seek entry of the Proposed Order to ensure that the parties entitled to

vote on the Plan do so in the amounts and classifications that the Debtors believe are appropriate based on a reasonable review of their books and records and the Modified Voting Claims as filed in these Chapter 11 Cases.

Bankruptcy Rule 3018(a) provides in relevant part, that [n]otwithstanding

objection to a claim or interest, the court after notice and hearing may temporarily allow the claim or interest in an amount which the court deems proper for the purpose of accepting or rejecting a plan. Fed. R. Bankr. P. 3018. 11. The Disclosure Statement Order provides in relevant part, that: The Debtors may object to any claim solely for Plan voting purposes by filing a determination motion (each, a Determination Motion) with the Court no later than October 3, 2011. Responses, if any, to a Determination Motion shall be filed with the Court, and at the same time served upon the Notice Parties . . . no later than five (5) Business Days prior to the hearing on the Determination Motion. . . . If a Determination Motion is filed, the ruling by the Court on the Determination Motion shall be considered a ruling with respect to the allowance of the claim(s) at issue under Bankruptcy Rule 3018 solely for the purpose of accepting or rejecting the Plan and such claim(s) shall be counted, for Plan voting purposes only, in the amount determined by the Court. The filing of a Determination Motion or a ruling by the Court thereon shall not affect any right or ability of the Debtors, the Reorganized Debtors or any other party in interest with authority to object to claims in these Chapter 11 Cases to later object to any such claim for any other purposes, including without limitation, distribution under the Plan. Disclosure Statement Order, at 14. 12. Section 105(a) of the Bankruptcy Code, meanwhile, authorizes the Court to issue

any order, process, or judgment that is necessary or appropriate to carry out the provisions of [the Bankruptcy Code]. Section 105(a) of the Bankruptcy Code grants the bankruptcy courts, as courts of equity . . . broad authority to modify creditor-debtor relationships. U.S. v. Energy Resources, 495 U.S. 545, 549 (1990). 13. Thus, based upon Bankruptcy Rule 3018 and section 105(a) of the Bankruptcy

Code, together with this Courts Disclosure Statement Order, this Court has the power to determine the amount and classification of the Modified Voting Claims for purposes of voting on

the Plan. See, e.g., Bittner v. Borne Chemical Co., 691 F.2d 134, 135 (3d Cir. 1995) (authorizing court to use whatever method is best suited to the particular contingencies at issue to estimate the ultimate value of the debtors tax liability under the Internal Revenue Code). Objection 14. The Debtors goal in reviewing their books and records and the Modified Voting

Claims at this stage of these Chapter 11 Cases was to ensure that the parties entitled to vote on the Plan do so in the amounts and classifications that the Debtors believe are appropriate, so that all holders of claims entitled to vote on the Plan are afforded a fair opportunity to do so. If the relief requested herein is not granted, estate creditors entitled to vote on the Planand the Debtors creditor body as a wholemay be adversely affected because the votes cast by the holders of the Modified Voting Claims will not accurately reflect what the Debtors believe, at this time, are the appropriate amount and classification of their claims for Plan voting purposes. The Debtors believe that this Courts entry of the Proposed Order will protect the integrity of the Plan solicitation process and ensure that holders of claims entitled to vote on the Plan are not wrongfully disenfranchised by the holders of the Modified Voting Claims voting in incorrect amounts and classifications. 15. After a reasonable review of their books and records and the Modified Voting

Claims as filed in these Chapter 11 Cases, the Debtors have determined, solely for Plan voting purposes, that the following Modified Voting Claims have been asserted in incorrect amounts and classifications. A. 16. OVERSTATED LEASE REJECTION DAMAGES CLAIMS Solely for purposes of voting to accept or reject the Plan, the Debtors object to the

Modified Voting Claims identified on Exhibit A to the Proposed Order (each, an Overstated Lease Rejection Damages Claim, and collectively, the Overstated Lease Rejection Damages 6

Claims) on the basis that the amounts asserted in each of these claims is not calculated in accordance with the statutory cap (the Statutory Damages Cap) placed on such claims under section 502(b)(6) of the Bankruptcy Code.4 Stated differently, the Debtors believe that the amounts in the Overstated Lease Rejection Damages Claims claimed and asserted to be due and owing to the holders thereof as a result of the Debtors rejection of the related leases exceed the Statutory Damages Cap. 17. Section 502(b)(6) of the Bankruptcy Code limits claims for damages resulting

from the rejection of a lease of real property to the rent reserved by the applicable lease, without acceleration, for the greater of (i) one year or (ii) 15% of the remaining term of the applicable Lease (but not to exceed three years) from the Petition Date. See, e.g., In re PPI Enters. (U.S.), Inc., 324 F. 3d 197, 207 (3d Cir. 2003) (Section 502(b)(6) caps a landlords claim in bankruptcy for damages resulting from the termination of a real property lease. Under 502(b)(6), a landlord-creditor is entitled to rent reserved from the greater of (1) one lease year or (2) fifteen percent, not to exceed three years, of the remaining lease term.); In re Foamex Intl, Inc., 368 B.R. 383, 387 (Bankr. D. Del. 2007) (quoting language from the Bankruptcy Code and noting that section 502(b)(6) sets a limit on the amount of damages arising from termination of

Section 502(b)(6) of the Bankruptcy Code provides, in relevant part, that a court shall allow a claim, except to the extent that: If such claim is the claim of a lessor for damages resulting from the termination of a lease of real property, such claim exceeds (A) the rent reserved by such lease, without acceleration, for the greater of one year, or 15 percent, not to exceed three years, of the remaining term of such lease, following the earlier of (i) (ii) the date of the filing of the petition; and the date on which such lessor repossessed, or the lessee surrendered, the leased property; plus

a lease recoverable by the lessor of real property). 18. Moreover, section 502(b)(6) of the Bankruptcy Code imposes a cap on all

damages arising from the termination of a lease, including damages for nonpayment of rent, maintenance charges, and the costs incurred by a landlord in order to re-let the leased premises. See Kuske v. McSheridan (In re McSheridan), 184 B.R. 91, 102 (9th Cir. BAP 1995) (holding that all damages due to nonperformance [under a lease] are encompassed by [section 502(b)(6)].) (emphasis added); In re Foamex Intl, 368 B.R. at 393-94 (stating with approval the holding of McSheridan that lessors [sic] are entitled to one claim and that claim is limited by Section 502(b)(6) and finding that claimants damages from the failure, if any, by Debtors to perform the maintenance and repair obligations under the Leases are limited by the statutory cap); In re PPI Enters. (U.S.), 228 B.R. at 348 ([T]he 502(b)(6) cap represents the maximum recoverable as a result of the termination of a lease[.]) (citations omitted). 19. In addition, pursuant to section 365(g) of the Bankruptcy Code, a debtors

rejection of an unexpired lease constitutes a breach of such lease immediately before the date of the filing of such debtors chapter 11 petition, thereby dictating that any damages claim asserted on account of such rejection are not only subject to the Statutory Damages Cap, but constitute a general unsecured claim against the debtors estate. Thus, to the extent that any of the holders of the Overstated Lease Rejection Damages Claims asserted secured, administrative or priority status on account of such claims, the Debtors seek to appropriately classify such claims, solely for Plan voting purposes, as general unsecured claims. 20. Accordingly, because the Overstated Lease Rejection Damages Claims have

asserted amounts in excess of the Statutory Damages Cap, or have incorrectly asserted secured, administrative or priority status for such claims, the Debtors request that such amounts be

reduced, and the classification thereof be modified, solely for plan voting purposes, to the amounts and classifications provided for on Exhibit A to the Proposed Order under the column titled Modified Claim Amount/Classification, which amount represents the maximum potential allowed amount of such claims as a result of the Statutory Damages Cap and which classification is consistent with the provisions of section 365 of the Bankruptcy Code. Martinez et al. v. Marie Callenders Pie Shops, Inc. dba Marie Callenders Restaurant and Bakery, Los Angeles Superior Court, Case No. BC 458573. It was filed on April 1, 2011 by named plaintiffs Steven Martinez, Sharee Daley, Corena Allen, Abraham Ramirez, and Abigail Goldman. Said plaintiffs allege that they did not receive minimum wage for all hours worked under California state wage laws and were not provided with accurate wage statements. Specifically, they allege that they were required to use their tips to make up monetary shortages incurred in the performance of their duties. The plaintiffs seek unpaid wages, related penalties and attorneys fees. The plaintiffs identify the putative class as bartenders and food servers who did not receive minimum wage. The Debtors are unable to estimate the size of the putative

class members due to the plaintiffs inexact identification. The Debtors value the plaintiffs class claims at $0.00. The Debtors contend that there is no class-wide liability because there is no certifiable class. Specifically, any analysis of potential liability requires individualized examination of the claims and facts of each individual. The Debtors had no company-wide policy requiring employees to pay out of their own pockets for cash shortages. This was confirmed during named plaintiff Abigail Goldmans deposition during which she could only identify two instances during her employment where she believed that she had been required to make up a cash shortage. In each instance, Ms. Goldman admitted that she made up the cash shortage voluntarily, no one in management required her to make up the cash shortage, and she made no complaint to management about it. The Debtors policy and practice is to compensate employees in accordance with state and federal laws and there is no evidence that the Debtors required any employee to make up monetary shortages. Accordingly, the Debtors further deny any liability as to all individually named plaintiffs, and value such claims at $0.00. b. Claim 1529: i. ii. iii. Claimants: Janell McClain and Marc Mealie Amount of Claim as Filed: $19,990,396.62 Nature of Claim: This claim is predicated upon a putative class action entitled

McClain et al. v. Wilshire Restaurant Group, Inc. dba Marie Callender Pie Shops, Inc.,Los Angeles Superior Court, Case No. BC378410; JAMS Arbitration Case No. 12200388989. That case was filed by named plaintiffs Janell McClain and Mark Mealie on October 1, 2007. The plaintiffs define the putative class as all current and former hourly employees who worked in California since December 1, 2005. The plaintiffs allege that they were denied meal breaks

under state law and seek compensation for such missed meal periods and related penalties and attorneys fees. On April 22, 2008, the matter was ordered to binding arbitration pursuant to a binding arbitration agreement between the plaintiffs and the Debtors. In May 2009, the parties stipulated to a stay of the matter pending the outcome of the California Supreme Courts decision in Brinker Restaurant Corporation et al v. Superior Court, Case No. S166350 (Brinker). The facts and issues in the Brinker case are virtually identical to those raised in the McClain action. Brinker concerns hourly restaurant employees who allege they were denied meal periods under California law. The appellate court denied the Brinker plaintiffs motion for class certification and found that the California law requiring employers to provide a 30 minute meal period for every five hours of work meant that the employer had to make the meal period available, not force employees to take the meal period. This is the issue pending before the California Supreme Court. The Brinker matter has been fully briefed; however, oral argument has not yet been set. The Debtors contend that this matter is not suitable for class treatment based on California meal period law (as was found by the appellate court in Brinker). The Debtors further contend that at all times the Debtors complied with California law regarding providing meal periods to hourly non-exempt employees. Given the Debtors defenses and the pendency of the Brinker case, the Debtors value the claims at $0.00. c. Claim 1357: i. ii. iii. Claimant: Blumenthal, Nordrehaug & Bhowmik Amount of Claim as Filed: $6,300,000.00 Nature of Claim: This claim is predicated on a putative class and collective

action entitled Morse v. Marie Callender Pie Shops, Inc., filed in the United States District

Court for the Southern District of California, Case No. 09 cv 1305 JLS (POR). That case was filed on June 16, 2009 by named plaintiff Jamie Morse alleging that defendant Debtor Marie Callender Pie Shops, Inc. violated state and federal wage hour laws. Specifically, the plaintiffs allege that they were misclassified as exempt management employees and therefore were not timely paid overtime wages, denied meal and rest periods, and not provided with accurate wage statements. The plaintiffs seek wages, related penalties, and attorneys fees. The plaintiffs identify the putative class as Assistant Managers who worked for the defendant in California. The putative class is estimated to number approximately 300 individuals. The statutory period is June 15, 2005 through July 26, 2009. The Debtors value the plaintiffs class claims at $0.00. On February 4, 2011, the plaintiffs filed a motion for class certification, which was denied with prejudice by the District Court for the Southern District of California on May 12, 2011. That Court found that the plaintiffs failed to establish the existence of common questions that predominate over any individualized inquiries. Accordingly, there could be no liability on a class-wide basis because there is no certifiable class. d. Claim 1351: i. ii. iii. Claimant: Blumenthal, Nordrehaug & Bhowmik Amount of Claim as Filed: $6,200,000.00 Nature of Claim: This claim is predicated on an action filed on behalf of the

state of California, entitled Morse v. Marie Callender Pie Shops, Inc., and filed in the United States District Court for the Southern District of California, Case No. 09 cv 1305 JLS (POR).
