DEBTORS APPLICATION FOR AN ORDER AUTHORIZING THE EMPLOYMENT AND RETENTION OF GORDON BROTHERS INDUSTRIAL, LLC AND TEX-MACH, INC. AS SALES CONSULTANT FOR THE SALE OF RESIDUAL ASSETS The above-captioned debtors (collectively, the Debtors) hereby apply to the Court (the Application) for the entry of an order, substantially in the form of Exhibit A, authorizing the employment and retention of the joint venture of Gordon Brothers Industrial, LLC and TexMach, Inc. (collectively, Gordon Brothers) as the Debtors sales consultant for the sale of Residual Assets (as defined herein). In support of this Application, the Debtors respectfully state as follows:

Jurisdiction 1. The Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This

matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are sections 105(a), 327(a) and

328(a) of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), Rules 2014, 2016 and 5002 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules) and Rule 2014-1 of the Local Rules for the United States Bankruptcy Court for the Eastern District of Michigan (the Local Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions

for relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed an official committee of

unsecured creditors pursuant to section 1102 of the Bankruptcy Code (the Committee). 6. The Debtors and their non-debtor affiliates are leading global suppliers of

automotive components, systems and modules to all of the worlds largest vehicle manufacturers, including DaimlerChrysler AG, Ford Motor Company, General Motors Corporation, Honda Motor Company, Inc., Nissan Motor Company Unlimited and Toyota SA.

On May 17, 2006, the Debtors sought authority from the Court to wind-down

their fabrics business (the Fabrics Business). On June 1, 2006, the Court entered an order approving the Debtors wind-down of the Fabrics Business [Docket No. 2785]. 8. As part of the wind-down of the Fabrics Business, the Debtors will close their

facilities located in Roxboro, North Carolina and Farmville, North Carolina. In connection with the closing of these facilities, there are a number of assets that were used in the production of automotive fabrics that the Debtors intend to sell, including looms, knitting machines, finishing machines and dyeing machines (collectively, the Residual Assets). As a result of the winddown of the Fabrics Business, there are no facilities to which the Debtors could transfer the Residual Assets. Additionally, since the Debtors have decided to wind-down the

Fabrics Business entirely, the Residual Assets will no longer be useful to the Debtors ongoing operations. As such, the Debtors, with the assistance of Gordon Brothers, seek to sell the Residual Assets to obtain maximum recovery for the Debtors estates and their creditors. 9. The Debtors, with the assistance of their financial advisors, spent a significant

amount of time selecting a sales consultant that they believed would generate the greatest benefit to the Debtors, their estates and their creditors. The Debtors solicited bids from six parties and subsequently negotiated with four bidders to have such bidders (a) reduce their commission rates and (b) provide a guarantee that the sales of the Residual Assets would garner proceeds within the range of proceeds originally estimated by the Debtors for such sales. At the conclusion of this process, the Debtors selected Gordon Brothers because of, among other things, its superior fee structure and lower cost base, ability to provide the requested guarantee of sale proceeds, experience selling assets similar to the Residual Assets, ability to adequately market the sales, established record in the auction industry and experience in conducting sales within the

bankruptcy context.

As a result, the Debtors entered into an engagement letter with

Gordon Brothers (the Engagement Letter), a copy of which is attached hereto as Exhibit B, under which Gordon Brothers has agreed to provide certain sales consultant services to the Debtors in connection with the sale of the Residual Assets. 10. The Debtors believe that Gordon Brothers is particularly well suited to provide

the types of services required by the Debtors because Gordon Brothers has specialized experience in selling assets such as the Residual Assets. The Debtors, therefore, believe that the services of Gordon Brothers will enable the Debtors to maximize the value of the Residual Assets. Relief Requested 11. By this Application, the Debtors seek entry of an order pursuant to sections 327(a)

and 328(a) of the Bankruptcy Code, Bankruptcy Rules 2014(a), 2016 and 5002 and Local Rule 2014-1 authorizing the employment and retention of Gordon Brothers as sales consultant to the Debtors in these cases upon the terms and conditions contained in the Engagement Letter. Scope of Services 12. The Debtors anticipate selling the Residual Assets on an orderly liquidation or

auction basis. Given the magnitude of this task, the Debtors need an organized and efficient process to liquidate them and to maximize the value to the Debtors estates without unnecessarily distracting the Debtors from their reorganization efforts. The Debtors believe that Gordon Brothers has the necessary expertise and experience to satisfy this need. 13. Under the terms of the Engagement Letter, over the course of six months after the

entry of an order by this Court approving their retention in these cases, Gordon Brothers will conduct the sale of the Residual Assets through privately negotiated sales or an auction. Over 4

the course of the engagement, Gordon Brothers estimates that it will spend approximately 75 to 100 hours each week providing services to the Debtors. 14. Gordon Brothers will determine all operational policies and procedures for the

sale of the Residual Assets, including the prices and terms and conditions upon which such assets will be sold. In particular, all purchasers of any of the Residual Assets shall be required to pay any applicable sales or similar taxes on the Residual Assets. 15. Moreover, as the Debtors continue to evaluate their machinery and equipment in

connection with the wind-down of the Fabrics Business, the Debtors anticipate that they may require additional services of Gordon Brothers. Accordingly, the Debtors propose that, to the extent they require additional services of Gordon Brothers, the Debtors will file with the Court and serve on the Core Group2 an amended engagement letter describing such services and the rate structure for such services (which the Debtors anticipate will be on substantially similar terms to those approved by the Court in connection with this Application), and if there are no objections filed to the amended engagement letter within ten (10) days of such filing, the amended engagement letter and the terms and services set forth therein shall be submitted to the Court along with a draft order. Compensation 16. Pursuant to the Engagement Letter and in consideration of the services provided

by Gordon Brothers, Gordon Brothers shall be entitled to receive as compensation a certain percentage of the total sale proceeds realized in the sales of the Residual Assets. The percentage of sale proceeds that Gordon Brothers is entitled to receive is as follows:

As indicated above, if the total proceeds of the sale of the Residual Assets do not

exceed $4.3 million, the Debtors will retain all such sale proceeds and Gordon Brothers will not be entitled to receive any compensation. Additionally, to the extent the total sale proceeds are less than $4.3 million, Gordon Brothers shall pay to the Debtors the difference between such proceeds and $4.3 million. As such, Gordon Brothers has guaranteed that the minimum amount that the Debtors will receive on account of the sales of the Residual Assets is $4.3 million. 18. Gordon Brothers shall be responsible for and will advance any advertising,

supervisor, auctioneer, staff and legal expenses it actually incurs in connection with the sales of the Residual Assets and any legal fees and expenses it actually incurs in applying for and securing compensation from this Court in accordance with the Interim Compensation Order (as defined below) (collectively, the GBTM Expenses). The Debtors will reimburse

Gordon Brothers for the GBTM Expenses in an amount of no more than $135,000. However, should the total sale proceeds obtained through privately negotiated sales and/or an auction result in less than $4.3 million, the Debtors will not reimburse Gordon Brothers for any expenses. 19. Gordon Brothers will file interim and final fee applications, pursuant to the

Administrative Order Establishing Procedures for Monthly Compensation and Reimbursement of Expenses for Professionals and Official Committee Members entered on June 9, 2005 [Docket No. 290] (the Interim Compensation Order), for the allowance of compensation for services rendered and reimbursement of expenses incurred and otherwise in accordance with applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and any 6

applicable orders of the Court. The interim fee statements will contain descriptions of the services rendered and the work performed by Gordon Brothers during the period for which compensation is sought but, due to the nature of the services, will not contain detailed time entries. Disinterestedness 20. As required by Bankruptcy Rule 2014 and Local Rule 2014-1, Gordon Brothers

Industrial, LLC and Tex-Mach, Inc. each has submitted an affidavit setting forth its respective connections with the Debtors, creditors, parties in interest, the United States trustee and any person employed in the Office of the United States trustee (collectively, the Affidavits), which are attached hereto as Exhibit C and Exhibit D, respectively. 21. To the best of Gordon Brothers knowledge, except as set forth in the Affidavits,

Gordon Brothers: (a) does not have any connection with any of the Debtors, their affiliates, their creditors or any other party in interest or their respective attorneys and accountants; (b) is a disinterested person as that term is defined in section 101(14) of the Bankruptcy Code, as modified by section 1107(b) of the Bankruptcy Code; and (c) does not hold or represent any interest adverse to the Debtors or their estates. Basis for Relief 22. Section 327 of the Bankruptcy Code governs a debtors employment of

professional persons to represent the debtor in possession in carrying out its duties under the Bankruptcy Code. See 11 U.S.C. 327(a). 23. The Debtors seek approval of the Engagement Letter pursuant to section 328(a) of

the Bankruptcy Code, which provides, in relevant part, that the Debtors with the courts approval, may employ or authorize the employment of a professional person under section 327 . . . on any reasonable terms and conditions of employment. . . . 11 U.S.C. 328(a). 7

Section 328 of the Bankruptcy Code permits the compensation of professionals on

flexible terms that reflect the nature of their services and market conditions. As the United States Court of Appeals for the Fifth Circuit recognized in In re National Gypsum Co.: Prior to 1978, the most able professionals were often unwilling to work for bankruptcy estates where their compensation would be subject to the uncertainties of what a judge thought the work was worth after it had been done. The uncertainty continues under the present 330 of the Bankruptcy Code, which provides that the court award to professional consultants reasonable compensation based on relevant factors of time and comparable costs, etc. Under present 328 the professionals may avoid that uncertainty by obtaining court approval of compensation agreed to with the trustee (or debtor or committee). 123 F.3d 861, 862 (5th Cir. 1997) (citations omitted). 25. Notwithstanding approval of their engagement under section 328,

Gordon Brothers intends to apply to the Court for allowance of compensation and reimbursement of expenses pursuant to the Interim Compensation Order and otherwise in accordance with the procedures set forth in the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and any applicable orders of the Court. 26. The Debtors believe that the relief requested herein will aid in the Debtors efforts

to maximize the value of the sale of the Residual Assets for the benefit of the Debtors estates, their creditors and other parties in interest. Gordon Brothers has significant experience in selling assets, such as the Residual Assets, in both distressed and non-distressed situations. The Debtors believe that Gordon Brothers is well qualified and able to provide the services to the Debtors in a cost-effective, efficient and timely manner. Gordon Brothers has indicated a willingness to act on behalf of the Debtors with respect to the services and to subject themselves to the jurisdiction and supervision of the Court. 27. The Engagement Letter and the Affidavits appropriately reflect the nature and

scope of the services to be performed by Gordon Brothers and Gordon Brothers substantial 8

experience with respect to such services. The fee structure set forth in the Engagement Letter is consistent with the fee structures typically utilized by Gordon Brothers and other similar professionals who do not bill their clients on an hourly basis. Accordingly, the Debtors are requesting that the Court approve Gordon Brothers employment and retention. Notice 28. Notice of this Application has been given to the Core Group as required by the

Case Management Procedures.3 In light of the nature of the relief requested, the Debtors submit that no further notice is required. No Prior Request 29. other court. No prior application for the relief requested herein has been made to this or any

Court has jurisdiction over this matter pursuant to 28 U.S.C. 157 and 1334; it appearing that this proceeding is a core proceeding pursuant to 28 U.S.C. 157(b)(2); it appearing that venue of this proceeding and this Application in this District is proper pursuant to 28 U.S.C. 1408 and 1409; it appearing that notice of this Application and the opportunity for a hearing on this Application was appropriate under the particular circumstances and that no other or further notice need by given; and after due deliberation and sufficient cause appearing therefor, it is hereby ORDERED 1. 2. The Application is granted in its entirety. Pursuant to sections 327(a) and 328 of the Bankruptcy Code, the Debtors are

hereby authorized to employ and retain Gordon Brothers to perform the services set forth in the Application and the Engagement Letter. 3. Gordon Brothers shall be retained and compensated pursuant to the terms of the

Engagement Letter. 4. To the extent the Debtors require additional services of Gordon Brothers, the

Debtors will file with the Court and serve on the Core Group an amended engagement letter describing such services and the rate structure for such services, and if no objections are filed to the amended engagement letter with ten (10) days of such filing, the amended engagement letter and the terms and services set forth therein shall be submitted to the Court along with a draft order. 5. The Debtors are authorized to take all actions necessary to effectuate the relief

granted pursuant to this Order in accordance with the Application. 6. The terms and conditions of this Order shall be immediately effective and

enforceable upon its entry.

The Court retains jurisdiction with respect to the amount of fees to be paid to

Gordon Brothers upon proper application and notice. 8. The Court retains jurisdiction with respect to all matters arising from or related to

the implementation of this Order.

for an order authorizing the employment and retention of the joint venture of GBIN and Tex-Mach, Inc. certain of the Debtors leased machinery and equipment (the Assets), and the Joint Venture has consented to provide such services. 5. GBIN may have performed services in the past, may currently perform services, and

may perform services in the future, in matters unrelated to the Debtors chapter 11 cases for persons that are parties in interest in the Debtors chapter 11 cases. GBIN does not perform services for any such person in connection with the Debtors chapter 11 cases or have any relationship with any such person, their attorneys or accountants that would be adverse to the Debtors or their estates. 6. As part of its customary practice, GBIN is retained in cases, proceedings and

transactions involving many different parties, some of whom may represent or be employed by the Debtors, claimants and parties in interest in the chapter 11 cases. 7. The Debtors have numerous creditors, stakeholders and other parties with whom they

maintain business relationships. In connection with its proposed retention by the Debtors in these cases, GBIN undertook to determine whether it had any conflicts or other relationships that might

cause it not to be disinterested or to hold or represent an interest adverse to the Debtors. In connection with this inquiry, GBIN obtained from counsel to the Debtors the names of individuals and entities that may be significant parties-in-interest in these cases (the Potential Parties-inInterest), and such parties are listed in Schedule A attached hereto. GBIN has reviewed the parties listed on Schedule A with its personnel to determine its connections with the Debtors and any Potential Parties-in-Interest. 8. To the best of my knowledge and belief, insofar as I have been able to ascertain, none

of the employees of GBIN working on this engagement on the Debtors behalf has had, or will have in the future, direct contact concerning these cases with the Debtors creditors, equity holders, other parties-in-interest, the U.S. Trustee, or anyone employed in the Office of the United States Trustee, other than in connection with performing services as part of the Joint Venture serving as agent on behalf of the Debtors in connection with conducting the sale of the Assets. 9. To the best of my knowledge, GBIN has not been retained to assist any entity or

person other than the Debtors on matters relating to, or in connection with, these cases. 10. Neither I nor any officer or employee of, or professional employed by, GBIN has

agreed to share or will share any portion of the compensation to be received from the Debtors with any other person other than the principal and regular employees of GBIN. 11. GBIN is conducting further inquiries regarding its retention by any creditors of the

Debtors, and upon conclusion of that inquiry, or at any time during the period of its employment, if GBIN should discover any facts bearing on the matters described herein, GBIN will promptly file a supplemental disclosure with this Court. 12. Based upon the foregoing, I believe GBIN is a disinterested person within the

meaning of section 101(14) of the Bankruptcy Code and does not hold or represent an interest adverse to the Debtors or their estates.

GBIN agrees to provide assistance to the Debtors in accordance with the terms and

conditions set forth in the Application and the Engagement Letter, which is annexed to the Application as Exhibit B. Accordingly, I make this affidavit in support of an order authorizing such retention. 14. As set forth in the Engagement Letter, the Debtors propose to pay the Joint Venture a

compensation fee based on a sliding scale percentage of the corresponding Sale Proceeds as defined therein. If the total proceeds of the sale of the Assets do not exceed $4.3 million, the Debtors will retain all such sale proceeds and the Joint Venture will not be entitled to receive any compensation. Additionally, to the extent the total sale proceeds are less than $4.3 million, the Joint Venture shall pay to the Debtors the difference between such proceeds and $4.3 million. As such, the Joint Venture has guaranteed that the minimum amount that the Debtors will receive on account of the sales of the Assets is $4.3 million. 15. The Joint Venture shall be responsible for and will advance any advertising,

supervisor, auctioneer, staff and legal expenses it actually incurs in connection with the sales of the Assets and any legal fees and expenses it actually incurs in applying for and securing compensation from this
Court in accordance with the Administrative Order Establishing Procedures for Monthly

Compensation and Reimbursement of Expenses for Professionals and Official Committee Members entered on June 9, 2005 [Docket No. 290] (the Interim Compensation Order). The Debtors will reimburse the Joint Venture for the Expenses in an amount of no more than $135,000. However, should the total sale proceeds obtained through privately negotiated sales and/or an auction result in less than $4.3 million, the Debtors will not reimburse the Joint Venture for any expenses. 16. described in It is the intention of the Joint Venture to seek compensation for its services as the Application and the Engagement Letter in accordance with the

This affidavit is being submitted: (a) in support of the application (the Application)

for an order authorizing the employment and retention of the joint venture of Gordon Brothers Industrial, LLC and TMI (collectively, the Joint Venture) as sales consultant for the sale of certain assets of the above-captioned debtors (collectively, the Debtors); and (b) in accordance with sections 327 and 328 of title 11 of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code) and Rules 2014, 2016 and 5002 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules). 3. TMI provides client companies with comprehensive disposition services of fixed

assets, including, without limitation, industrial assets, furniture, fixtures and equipment. 4. The Debtors have requested that the Joint Venture act as agent to conduct a sale of

certain of the Debtors leased machinery and equipment (the Assets), and the Joint Venture has consented to provide such services. 5. TMI may have performed services in the past, may currently perform services, and

may perform services in the future, in matters unrelated to the Debtors chapter 11 cases for persons that are parties in interest in the Debtors chapter 11 cases. TMI does not perform services for any such person in connection with the Debtors chapter 11 cases or have any relationship with any such person, their attorneys or accountants that would be adverse to the Debtors or their estates. 6. As part of its customary practice, TMI is retained in cases, proceedings and

transactions involving many different parties, some of whom may represent or be employed by the Debtors, claimants and parties in interest in the chapter 11 cases. 7. The Debtors have numerous creditors, stakeholders and other parties with whom they

maintain business relationships. In connection with its proposed retention by the Debtors in these cases, TMI undertook to determine whether it had any conflicts or other relationships that might cause it not to be disinterested or to hold or represent an interest adverse to the Debtors. In

connection with this inquiry, TMI obtained from counsel to the Debtors the names of individuals and entities that may be significant parties-in-interest in these cases (the Potential Parties-in-Interest), and such parties are listed in Schedule A attached hereto. TMI has reviewed the parties listed on Schedule A with its personnel to determine its connections with the Debtors and any Potential Parties-in-Interest. 8. To the best of my knowledge and belief, insofar as I have been able to ascertain, none

of the employees of TMI working on this engagement on the Debtors behalf has had, or will have in the future, direct contact concerning these cases with the Debtors creditors, equity holders, other parties-in-interest, the U.S. Trustee, or anyone employed in the Office of the United States Trustee, other than in connection with performing services as part of the Joint Venture serving as agent on behalf of the Debtors in connection with conducting the sale of the Assets. 9. To the best of my knowledge, TMI has not been retained to assist any entity or person

other than the Debtors on matters relating to, or in connection with, these cases. 10. Neither I nor any officer or employee of, or professional employed by, TMI has

agreed to share or will share any portion of the compensation to be received from the Debtors with any other person other than the principal and regular employees of TMI. 11. TMI is conducting further inquiries regarding its retention by any creditors of the

Debtors, and upon conclusion of that inquiry, or at any time during the period of its employment, if TMI should discover any facts bearing on the matters described herein, TMI will promptly file a supplemental disclosure with this Court. 12. Based upon the foregoing, I believe TMI is a disinterested person within the

meaning of section 101(14) of the Bankruptcy Code and does not hold or represent an interest adverse to the Debtors or their estates.

TMI agrees to provide assistance to the Debtors in accordance with the terms and

conditions set forth in the Application and the Engagement Letter, which is annexed to the Application as Exhibit B. Accordingly, I make this affidavit in support of an order authorizing such retention. 14. As set forth in the Engagement Letter, the Debtors propose to pay the Joint Venture a

compensation fee based on a sliding scale percentage of the corresponding Sale Proceeds as defined therein. If the total proceeds of the sale of the Assets do not exceed $4.3 million, the Debtors will retain all such sale proceeds and the Joint Venture will not be entitled to receive any compensation. Additionally, to the extent the total sale proceeds are less than $4.3 million, the Joint Venture shall pay to the Debtors the difference between such proceeds and $4.3 million. As such, the Joint Venture has guaranteed that the minimum amount that the Debtors will receive on account of the sales of the Assets is $4.3 million. 15. The Joint Venture shall be responsible for and will advance any advertising,

supervisor, auctioneer, staff and legal expenses it actually incurs in connection with the sales of the Assets and any legal fees and expenses it actually incurs in applying for and securing compensation from this
Court in accordance with the Administrative Order Establishing Procedures for Monthly

Compensation and Reimbursement of Expenses for Professionals and Official Committee Members entered on June 9, 2005 [Docket No. 290] (the Interim Compensation Order). The Debtors will reimburse the Joint Venture for the Expenses in an amount of no more than $135,000. However, should the total sale proceeds obtained through privately negotiated sales and/or an auction result in less than $4.3 million, the Debtors will not reimburse the Joint Venture for any expenses. 16. described in It is the intention of the Joint Venture to seek compensation for its services as the Application and the Engagement Letter in accordance with the
