TRIPARTITE AGREEMENT FOR MORTGAGE OF LAND & BUILDING The agreement made this day of August, Two Thousand

d Five, amongst Sri Subhasis Nayak S/o Sri Ganesh Nayak residents of Plot No. L- 356, Baramunda Housing Board Colony, Bhubaneswar. Hereinafter called Borrowers which expression shall unless excluded by or repugnant to the contest be deemed to include their heirs administrators and legal representatives etc. of the first part AND Capital Co-operative Housing Limited, Bhubaneswar, herein after called the Authority of Second part. AND State Bank of India, Bhubaneswar Main Branch, Bhubaneswar having its Local Head Office at I/III, Pt. .N.Marg and branches amongst other places at Bhubaneswar represented by Branch Manager/Manager/Chief Manager/Asst. General Manager, hereinafter calls the Bank which expression shall unless excluded by or repugnant tot he context deemed to include the successor, assignee, transferee, administrator and executor etc. of the third part. AND WHEREAS THE Borrowers have under the provisions of the Rules framed by the State Bank of India requested for sanction of housing finance for purchase of one house allotted in their favour vide allotment letter No 593. Dated 02.07.2005 (hereinafter referred to as the said rules including any modification thereof) State Bank of India has sanctioned a housing finance of Rs. (Rupees . ) to the borrowers terms and conditions set forth in the offer letter thereon. The term of allotment and sanction letter forms integral part of this Tripartite Agreement. It is hereby agreed to and between the parties hereto as follows:

On receipt of the title deed there to on transfer of rights basis the borrowers have to create equitable mortgage on the building within .. days/months in favour of State Bank of India by depositing the Title Deed of the property as security for the said housing equitable mortgage as required by State Bank of India, if necessary.

The Charge of equitable mortgage on the land and building will be deemed to commence from the first disbursement of the loan by the Bank and would continue till liquidation of the loan notwithstanding any clause contradictory to same in any deed/document independently executed between the borrowers and ..

1.2

A set of documents will be executed by the borrowers in regard tot he terms and conditions of the loan.

1.3

The Tripartite Agreement is part of and parcel of the main loan Agreement Dated .

If the Borrowers want to withdraw from the alloted house and/ or fail to pay the balance amount representing the difference between housing loan sanctioned by he Bank and the cost of the project, or die, the amount of housing loan will be refunded forthwith to the Bank and the borrowers shall be liable to repay the interest for the investing period. In the event of the borrowers do not want to avail the loan from the Bank or die M/s Capital Co-operative Housing Ltd., may in its absolute discretion to allow the borrowers/ their legal heirs, if they choose so to refund the amount to the Bank as mentioned herein above such further sum or sums as may have been payable by them under their presence to M/s Capital Cooperative Housing Ltd. In the event of the M/s Capital Co-operative Housing Ltd doesnt refund the money to the bank, they shall also be liable to pay interest to money paid by them on account of the Borrowers for such delayed payments

That the Borrowers and M/s Capital Co-operative Housing Ltd have further agreed that they shall not transfer the said house alloted in favour of the Borrowers to any person or otherwise deal with it by way of lease or subletting or deal in any

manner without prior consent of the bank and any such transfer or dealing shall not be deemed to be a valid transfer and further no person would acquire any title thereof, so long as the borrowers are indebted to the Bank and has not obtained final certificate of the discharge and/or liquidation of the loan amount from the Bank. 3. That it is further agreed the M/s Capital Co-operative Housing Ltd. shall not deliver any document or papers tot he Borrowers without notice to the Bank for any charge over such property, the second party further undertaking that they will produce all documents tot he third part as and when needed for purpose of inspection or for other purposes and would further help in producing such documents in any legal proceeding concerning recovery etc. or otherwise. 4. That not withstanding anything contained tot he contrary in any independent agreement executed between the parties, the provisions of the tripartite agreement will supersede any other agreement/documents so far as charge of the Bank on the schedule mentioned property concerned. Further the Borrowers and M/s Capital Co-operative Housing Ltd. undertake to be bound by any changes, amendments and further conditions imposed by the Bank from time to the implementation of the said housing loan agreement.
