IFCsPPPTransactionsAdvisoryDepartment(theTeam)isfocusedonassistinggovernments(Clients)todevelopandbring tomarketpublicprivatepartnershipsprimarilyininfrastructuresectors.TheTeamhaspartneredwithotherstakeholdersin undertakingPPPprojectsintheregion.InBrazilforexample,theTeamhasapartnershipwithBNDESandIDB(calledPrivate SectorPartnershipProgramPSP). IFCintendstoretainProjectManagementConsultants(theConsultants)toassistIFCanditsClientsinthestructuringdifferent formsofPPPsintheregionforpublictransportutilitiesincluding,butnotlimitedto,concessions,BOTs,andprivate managementcontractsofairports,publictransitsandthelike. TheConsultatswillberequiredtoprovidetechnicalconsultancyservicesinthefollowingareas,amongothers: 1.Management Overallcoordinationofworks Identifyandaddresskeyissues

2.ProjectProgress:monitoringandreporting Monitorprojectprogressandtimelineanddevelopreportsregardingprojectsstatus. Monitorotherconsultantsdeliverableschedules,ifany. 3.DocumentationManagement Actasanadvisorandmaintainaknowledgecenterforprojectdocumentation.Thisincludesmaintaininghistoricalinformation onpastprojectsandcreatingarepositoryofinformationforIFC.Theinformationcouldbeasummarizationofthemost commonrisksorissuesthecompanyfacesorananalysisoftheaccuracyofprojectestimates. Maintainscorecardsofprojectdeliverysuccess Monitoranddocumentalldeliverablessubmittedbyotherconsultants,ifapplicable. 4.Presentations Preparepresentationsanddocumentsconsolidatingallinformationregarding:studies,transactionstructure,includingfinancial andconcessionmodel,aswellasbiddingdocuments,asperIFCsrequest. UnifythelanguageofpresentationtotheClient. Presenceatkeymeetings,publicaudiencesandconsultation,roadshowsandbidding,asperIFCsrequest. 5.Interaction SupportIFCandtheClientinmanagingallstakeholdersandtheinteractionbetweenthem. Conflictsmappingandmitigationoptions 6.BiddingProcess Supportindraftingtheformatofbusinessplan. Mappingofpotentialbidders. Supportindraftingthebiddingdocuments. Supportindefiningthecriteriaforqualificationandbiddingstrategy. 7.FinancialModeling: Validatemodelingassumptionsdevelopedbytechnicalconsultants. DevelopFinancialModel,whichmustincludeananalysisoftheconcessionairescapitalstructure,includingsourcesofdebt andequityfinancing,anddebttermsandshouldencompasstheabilitytoprepareextensivesensitivityanalysisassociated withkeyfactors. QualificationCriteria
1.Projectmanagementconsultingfirmmusthaveatleast5yearsofexperienceworldwideininfrastructure projects,andjuniorteammemberswithatleast5yearsofexperiencewithcomplexfinancialmodeling.* 2.PreviousexperiencewithPPPprojectsintheregion,andkeystaffwithexpertiseandaccreditationinProject Management* 3.RelevantexperienceinProjectManagementforconcessionsorPPPsinBrazilinthelast5years,havinga Governmententityasaclient.

Selectionandcontractingwillnormallybemadefromresponsestothisrequestforexpressionofinterest.Theconsultantwillbe selectedfromashortlist,subjecttoavailabilityoffunding.
