(e)Toretain,andpaythesalaries,pensionandwelfarefundcontributionsandall furtherexpensesengenderedwithrespecttotheretentionofallpersonnelas requiredbytheprecedingsubparagraphorasrequiredbyanylocallabour organization.tradeassociation.union.orguildhavingjurisdictionoverthe services,tobeperformedbysuchpersonnelinconnectionwiththeEngagement: (f)Toensurethatithasenteredintoavalidandsubsistingleaseorlicencein respectoftheHallfortheperiodoftheEngagement,acopyofsuchleaseor licenceprovidedtoArtistorthedesigneeofArtistuponrequest (g)ToensurethatpriortotheEngagement,allnecessarypermits,consents,copyright licences, includingperformingrightlicences,havebeenobtainedandallfeeswith respecttheretoandanyotherfeesandtaxeshavebeendulypaid (h)Toensurethat,fortheperiodoftheEngagement,thereexistsgeneralliability

insurancewithrespecttotheHallandtotheperformancebyArtistthereinof notlessthanTwoMillionDollars($2,000,000.00)inrespectofanyone(I)accident,in respectofanyinjuriestoordeathofone(1)ormorepersonsandlossordamageto property. (i)Toensurethat,duringtheEngagementtherewillbenoseats,otherthan thosenormallycomprisingapartoftheHall,placedanywhereintheHall, withoutthepriorconsentofArtistorthespecifieddesigneeofArtist. 4.BOXOFFICE Presentershallplan,organizeandadministerallticketssales.atitsentirediscretion. Unlessotherwisespecifiedherein.Artistshallbegiventicketsforthe firstperformancebyartistandticketsforeachsubsequentperformance. 5.PROMOTIONANDPUBLICITY (a)Presenteraloneshallberesponsibleforthepromotionandadvertisementof theEngagementandshallpayallexpensesresultingtherefrom,providedthat allsuchpromotionandadvertisingshallbecarriedoutinamannerandstyle commensuratewiththeprofessionalreputationoftheArtistandshall,inno way,servetoinjureorinanywaydiminishsuchreputationortherightsof ArtistinandtotheprofessionalnameofArtist.ArtistgrantstoPresenterthe righttomakeuseofArtist'sname,preapprovedpictures,preapprovedphotographsand otherlikenessesonlyforthepurposeofadvertising,publicisingandpromotingthe Engagement.Inanysuchadvertising,publicityorpromotion,Artistshallnot bedirectlyrepresentedorannouncedasendorsing,usingorconsumingany Productorservice (b)Presentershallberesponsiblefortheprintinganddistributionduringthe Engagementofthehouseprogram,inquantitiescommensuratewithticket sales.ArtistshallfurnishtoPresenterthewrittencopyforthefollowing componentsofthehouseprogramwhichshallbeincludedthereininits entiretyandwithoutanydeviationotherthanthatwhichhasreceivedthe priorwrittenapprovalofArtist:coverinformation,selection(s)tobe performedbyArtist,whereappropriate,historyofcompanywithwhich Artistisperforming,andcredits.Presenteragreestopayshippingand expresschargesincurredwithrespecttotheforwardingtoPresenterofthe materialforthehouseprogramandalladvertisingmaterialwhichmaybe suppliedbyArtisttobeutilisedbyPresenterinthepromotionand advertisementoftheEngagement,inthemannercontemplatedunder paragraph5(a),whetherbymailingofcirculars,email,billposting,newspaper. radioortelevisionadvertisingasArtistdirects. 6.SOUVENIRPROGRAMS PresenterherebyauthorizesthesalebyoronbehalfofArtistofsouvenirprograms priorto,duringtheintermissionsof,andsubsequenttoeachperformancebyArtist duringtheEngagement. 7.PHOTOGRAPHSANDRECORDINGS PresentershallnotallowthetakingofphotographsofArtistduringtheEngagement northeuseoftransmittingorrecordingapparatusservingtotransmitorrecord.either

8.AUTONOMYOFARTIST PresenteracknowledgesthatPresenterisnottheagentofArtistandshallnothold itselfouttothepublicassobeing,andthatfurther,Presenterhasnoauthority,inany way,tobindorcommitArtistnorshallPresenterinanywayobligatethe Artist,unlessspecificallyauthorizedherein. 9.FORCEMAJEURE Ifeitherpartyisdelayedorinterruptedfromtheperformanceofitsobligations hereunderbyreasonofanactofGod,fire,flood,war,publicdisaster,strikesorlabour difficulties,governmentalenactment,regulationororder,emergency,oranyothercause beyonditscontrol,suchpartyshallnotbeliabletotheotherthereforeandtheparties shall,ifeachsodesiresandwherefeasible,makesuchfurtherarrangementsasare mutuallysatisfactorytothepartiestocarryoutthepurposeandintentofthisagreement. 10.TERMINATION (a)Ifeitherpartyshallfailtoperformanyofitsrespectiveobligationshereunder theotherpartymayterminatethisagreementforthwithuponnoticetothe otherpartyandthepartysoterminatingtheagreementshallberelievedof anyofitsobligationshereunder,withoutprejudicetoanyrightstoseek damagesorsuchotherrightorremedyasitmayhaveatlaw (b)If,priortothedateoftheEngagement,ArtistascertainsthatPresenterhas failedtofulfilitsobligationsunderacontractwithanythirdpartyartistin respectofaperformancebysuchartist,or,ifArtistascertainsthattheability ofPresentertofulfilitsmonetaryobligationshereunderhasbeen substantiallyimpaired.Artistshallhavetherighttoforthwithterminatethis agreementbywrittennoticetoPresentertothateffectwithoutobligationorliabilityto Presenter. PRESENTER 13.INFORMATIONSHEET(SCHEDULE"A) Artistshallnotbeboundtoperformhereunderuntilallinformationrequestedonthe AdditionalinformationsheetattachedheretoandformingapartofthisAgreement, hasbeenprovidedbyPresenter. 14.ARBITRATION Thepartiesagreetousetheirbesteffortstosettleanydisagreementsastothemeaning ofthisAgreement. 7.TheEngagerwillberesponsibleforticketsalesandadvertisingoftheEngagement.SubjecttotheArtist's priorcommitments,theArtistagreestobeavailableonthedatesoftheEngagementforreasonablepublicity schemestopromotetheengagement.TheArtistwillalsosupplysamplesofpromotionalmaterialswhichthe ArtistcontrolswithrespecttotheEngagementadditionalquantitiesofsuchmaterialswillbesuppliedand deliveredbytheArtistsubjecttoavailabilitya t t h eEngage r'sexp e nse .Engagershall reimburseArtistforthesupplyanddeliveryofsuchmaterialsimmediatelyuponreceiptofdocumentation evidencingsuchexpenses. 8.TheArtistwillrendertheArtist'sserviceshereundertothebestoftheArtist'sability. 9.TheEngagerwillensurethatnofilming,taping,recordingorreproductionofanysortwillbemadeofthe EngagementoranyelementthereofwithoutthepriorwrittenconsentoftheArtist. 10.NootherpersonswillperformwiththeArtistorpriortoorsubsequenttotheArtisthereunderwithoutthe priorwrittenconsentoftheArtistandinnoeventwilladvertisingoftheEngagementincludereferencesto performersotherthantheArtistwithoutpriorwrittenconsentoftheArtist. 11.IftheEngagercancelsinwholeorinparttheEngagerwillneverthelessberesponsibleforfullpayment oftheEngagementfeeasstatedabove. 12.NeithertheEngagernortheArtistwillberesponsiblefordelaysorcontingenciesarisingfromactof ForceMajeure.TheEngagerherebyagreestoindemnifyandsaveharmlesstheArtistandtheArtist's representatives,successorsandassignsfromandagainstanyandallcosts,damages,losses,demands, claims,actionsandcausesofactionswhatsoeverarisingfromorconnectedwiththeEngagementtothe extentsamedonotarisefromanyactoromissionwithinthereasonablecontroloftheArtist.Intheevent thattheArtistbreachesthismemorandumofagreementorotherwiseisliabletotheEngagerinconnection withtheEngagement,theArtist'sliabilitywillnotexceedthetotalamounttheretoforereceivedbytheArtist fromtheEngager,pursuanttoParagraph3. 13.TheEngagerwillmaintainpublicliabilityandpropertyinsuranceinrespectoftheEngagementina minimumamountof$1,000,000,toinsureagainst,amongotherthings,lossordamageduetotheft,fireand liabilityfordeathoforinjuriestotheArtistorotherpersonsandotherlossordamagetopersonalproperty. 14.TheEngageragreestosupplytotheArtistorastheArtistmaydirect10complimentaryticketsforeach performanceoftheengagementinthefirst12rowsofthecentreorchestrasectionofthevenue.Inaddition, foreachperformanceoftheEngagementtheEngagerwillholdatleast10ticketsavailableforpurchaseby theArtist(atthenormalpricetothepublic)untilatleastnoonofthedateprecedingtheperformance. 15.ThisMemorandumofAgreementcannotbemodifiedexceptbyawritteninstrumentsignedbythe partieshereto.Thisagreementwillensuretothebenefitofandbindthepartiesheretoandtheirrespective heirs,successorsandassigns. 16.ThisMemorandumofAgreementwillbegovernedbyandconstruedinaccordancewiththelawsof OntarioandthelawsofCanadaapplicabletherein. 17.TheAgentisauthorisedtoexecutethisMemorandumofAgreementasagentforandonbehalfofthe Artist,butdoesnotassumeanyliabilityunderthisagreement. 18.TheArtistreservestherighttoacknowledgeitscorporateandgovernmentsponsorsinhouseprograms andlobbysignagewhereappropriate. 19.Thetechnicalspecificationsattachedhereto,asTechnicalRider,areanintegralpartofthisagreement. EngagerherebyrepresentsandwarrantsthattheVenuemeetsandshallmeetthespecificationsandhasor willacquireatEngager'ssolecostandexpenseanyallequipmentandpersonnelsetforththerein. 20.Allfinaltechnicalloadin/loadouttimesaswellasfinalperformanceschedulemustbeapprovedby KidsEntertainment.
