AGREEMENT FOR SALE

This agreement is made the day of 2012 between PHILLIP GRANDISON; FARMER of NEWHALL DISTRICT, MANDEVILLE P.O., MANCHESTER TRN# (HEREAFTER CALLED THE VENDOR) and ANDRIA GRANDISON; ACCOUNTANT OF BOUGAINVILLA CLOSE, CEDAR GROVE ESTATE, ST. CATHERINE TRN# , (HEREIN CALLED THE PURCHASER). Whereby the Vendor agrees to SELL and the Purchaser agree to PURCHASE ALL THAT parcel of land more fully described in the schedule upon the terms and conditions set out therein.

SCHEDULE
DESCRIPTION OF LAND: ALL THAT PARCEL OF LAND part of CEDAR GROVE ESTATE IN THE PARISH OF ST. CATHERINE, being LOT #2, Volume # Folio # in the Register Book of Titles. NORTH SOUTH WEST EAST - Land owned and/ or occupied by Leonard Palmer - Parochial Road - Land owned and / or occupied by Roynel Miller - Land owned and/or occupied by Elizabeth Miller

CONSIDERATION: -

THE SUM OF TWENTY SIX THOUSAND UNITED STATES DOLLARS (US$26,000.00)

DATE OF POSSESSION: - On receipt of the first payment herein TERMS OF PAYMENT: A deposit of THREE HUNDRED AND FIFTY THOUSAND DOLLARS ($350,000.00) THE SIGNING HEREOF. A BALANCE OFTHREE HUNDRED AND FIFTY THOUSAND DOLLARS ($350,000.00) will remain which must be paid upon the receipt of the title of the said property along with Property tax receipt due to endorse in the name of the PURCHASER TITLE AND COSTS: Stamp duties and Recording Fees to be borne by the Vendor and the Purchaser In equal shares, Transfer Tax to be borne by the Vendor.

INCUMBRANCES: -

The land is sold free from any other encumbrances.

PROPERTY TAXES, WATER TAXES AND INSURANCE To be apportioned between the parties as at the date of possession.

SPECIAL CONDITIONS:1. It is a condition precedent to the coming into effect of this Agreement for Sale that the same shall first be signed by both the Vendor and the Purchasers. In the event that the deposit and/or the further payment being paid by cheque or other negotiable instrument, which is dishonoured on first presentation for payment, this Agreement shall be rescinded forthwith without any prior notice to the Purchasers.

2. The costs for preparing this Agreement for Sale in the amount of Twenty Thousand Dollars (20,000.00) shall be borne by the parties in equal share and each party shall pay their share thereof upon the signing of this Agreement.

3. It is understood and agreed that the Vendor shall be entitled to stamp this Agreement for Sale with stamp duty and transfer tax from the deposit and for if for any reason whatsoever, the deposit has to be refunded to the Purchasers, the Purchasers shall, to the extent of such Duty and/or Tax so impressed be deemed to have been refunded same by delivery to them of the original Transfer tax receipt and Stamped Agreement duly noted by the Vendor as cancelled.

4. It is further agreed and understood and agreed that if the Stamp Commissioner shall assess the Property at a higher price than is stated in this Sale Agreement and as a consequence the Transfer Tax and Stamp Duty to be paid thereon is higher than is presently anticipated the Vendor shall not be obliged to stamp the Agreement and either party shall be at liberty to treat the Agreement as cancelled whereupon the Vendor shall return the deposit paid herein, but in the event that the parties agree to continue with the sale the Purchasers shall pay one half ( ) of the increase in Stamp Duty.

5. Any notice to be given hereunder shall be in writing and may be delivered personally to the party for whom it is intended OR sent by registered mail to the address of the said party herein appearing and if so posted shall be deemed to have been received SEVEN (7) DAYS after posting in any Post Office in Jamaica. This method is not exclusive but shall be in addition to any other available procedure.

6. In the construction of this Agreement, where the context so admits, the word Purchaser shall be deemed to refer to one or more persons purchasing from the Vendor, and the words he, him or his indicating the masculine gender and similar number shall be deemed to refer to and include the feminine and neuter genders and the plural number, and where there is more than one Purchaser, their Agreement shall be joint and several.
