CONTRACT

AGREEMENT made this day ..................................... by and between Penerbit PT Remaja Rosdakarya, Jalan Ibu Inggit Garnasih, No. 40, Bandung 40252, Indonesia (hereinafter called Rosdakarya) of the one part and S. Abdul Majeed & Co. Sdn. Bhd, No. 7, Jalan Bangsar Utama 3, 59000 Kuala Lumpur, Malaysia (hereinafter called the Publisher ) of the other part. WHEREAS Rosdakarya as the holder of the copyright has created and produced a work in the Indonesian language of books listed in APPENDIX (hereinafter called the Work), now it is mutually agreed by and between the parties as follows: Article I Rosdakarya hereby licenses and grants to the Publisher the following books rights in and to a Work listed in APPENDIX in full. a) The sole and exclusive right to publish, sell, market, and advertise the Work in the Malaysian language (bahasa Malaysia) only in Malaysia (hereinafter called the exclusive licensed territories) subject as hereinafter provided. The right to arrange for the distribution of copies of the Work purchased by the Publisher through mail order channels by a third party or as premiums within the exclusive licensed territories. The non-exclusive right to publish, sell, market, and advertise the Work in the Bahasa Malaysia (hereinafter called the said language) in all territories, PROVIDED THAT no rights hereby granted may be transferred or assigned by the Publisher to a third party. The rights herein granted by Rosdakarya cannot be transferred or assigned by the Publisher without the prior written consent of Rosdakarya. All rights now existing or which may herein come into existence and which are not specifically mentioned in this Contract are reserved to and by Rosdakarya.

Article II a) Rosdakarya warrants to the Publisher that is the sole owner or licensee of the copyright of all the rights granted herein to the Publisher, that the Work contains nothing defamatory or untrue, that the Work has not heretofore been published in the said language.

Rosdakarya will not during the continuance of this agreement without the prior written consent in of the Publisher print or cause to be printed or publish any edition of the Work that might injure the sales of the Work of the Publisher.

Article III a) Rosdakarya shall make available on request three (03) copies each of the titles (volumes) in Indonesian language free of charge. Further copies may be obtained from Rosdakarya at cost to Rosdakarya, such costs including any postage or freight costs. Rosdakarya shall supply the Work to the Publisher in the form of softcopy files in the following programs: Indesign, PhotoShop, or PDF; after the execution of this Agreement by authorized officers of both parties.

Article IV a) The Publisher has the right to adapt the text editorially for the licensed territories without affecting the original characteristics and without changing any of the factual material. The Publisher will make adaptations, design the books and print copies of the Work. With prior consent of Rosdakarya the Publisher may improve, omit or add any illustration and design characteristics of the Work published hereunder. The Publisher shall not without the prior consent of Rosdakarya use the names, designs, text or any other material appearing in the Work for any purpose whatsoever except for advertising or publicising their edition of the Work. The Publisher shall send to Rosdakarya free of charge three (03) sets of listed in APPENDIX of the Publishers edition of the Work upon publication. The Publisher agrees that Rosdakaryas credit and all other required acknowledgments and the correct copyright notice detailed herewith shall be inserted in all copies of the Work on copyright page, in addition to the Publishers own copyright line.

The Publisher undertakes that the name of the author shall appear in due prominence on the title page and on all advertisements issued for the Work.

Article V The Publisher will pay an advance of Rp162.100.000,- for the first 1.000 copies each title against royalties of the 10% of the Publishers retail price. The balance of Rp162.100.000,00 payable as follow: Rp81.050.000 (Eighty one million five hundred thousand Rupiah) or RM28.000 payable on signature or this agreement by both parties Rp81.050.000 (Eighty one million five hundred thousand Rupiah) payable six month after the date of agreement This Memorandum of Agreement is not valid until the PUBLISHERS have paid the above mentioned part of the balance to PT Remaja Rosdakarya. Article VI a) This Contract shall remain valid and effective for a minimum period of three (03) years from the date of its execution and can be renewed by mutual consent on a yearly basis through exchange of letters. Either party can terminate the contract by giving a notice in writing not less than sixty (60) days before the beginning of such twelve months period. Upon termination of this Contract, all rights granted herein shall revert to Rosdakarya, and this Contract shall determine without prejudice to any claim by either party hereto against the other arising hereunder. Rosdakarya shall then be at liberty to grant a licence to any other person, firm or company in respect thereof. Upon termination of the Contract, the Publisher shall nevertheless continue to have the right to dispose of all copies of the Publishers Work then remaining on hand or in process, subject to the written approval of Rosdakarya. While this Contract is subsisting and operative, Rosdakarya shall not grant the right to adapt, publish and sell the Work or any part thereof in the said language (mentioned above in paragraph 2) to another publisher or individuals, provided the Publisher in this contract has given a prior written approval to Rosdakarya. In the event that the copyright in the Publishers Work shall be infringed within the licensed territories , the Publisher shall take, in his own name and at his own expense, such steps as may be necessary to stop or restrain such infringment.

Article VII a) The relationship between the parties shall be that of independent contractors and not that of employment, and nothing herein contained shall be deemed to constitute the parties as co-partners or joint ventures. 3

This Contract constitutes the entire understanding between the parties hereto, all prior statements and representations having been merged herein, and this Contract may not be changed or modified, except in writing, signed and agreed by both parties. This agreement shall be interpreted and shall be governed in all respects by the law of Indonesia and any discrepancy shall be referred to the Kantor Pengadilan Negeri Bandung, Jawa Barat, Indonesia. If any difference shall arise between Rosdakarya and the Publisher touching the meaning of this agreement of the rights and liabilities of the parties hereto the same shall be referred to the arbitration of two persons of their umpire in accordance with the provisions of the Arbitration Act of 1950 or any statutory modification or reenactment thereof for the time being in force.
