Only New Limited Liability Partnerships (LLP’s) can be incorporated in India now and
already LLP’s have been registered on 2nd April 2009 through http://llp.gov.in

LLP Act:
The Ministry of Corporate Affairs (MCA) vide notification no. S.O. 891(E) dated 31st
March 2009 have implemented most of the sections of Limited Liability Partnership Act,
2008. The following sections were NOT notified,
1. All the provisions regarding National Company Law Tribunal (NCLT &
NCLAT) is not given effect. But, kindly note as per Section 81(a) of LLP Act
until the constitution of Tribunal under the provisions of Companies Act, 1956,
the Company Law Board shall be substituted for which purpose.
2. Chapter X of LLP Act, covering Sections 55, 56, 57 & 58 read with Schedules II,
III & IV, governing “Conversion into Limited Liability Partnership” i.e,
Conversion of Partnership Firm into LLP
Conversion of Private Limited Company into LLP
Conversion of Unlisted Public Limited Company into LLP.
3. Application for winding up of LLP’s u/s. 51 and Chapter XIII covering Sections
63, 64 & 65 governing Winding up & Dissolution of LLP’s along with
Jurisdiction of Tribunal u/s. 72 & 73 of LLP Act.

Now, you know that all other Sections of Limited Liability Partnership Act, 2008 has
been notified and is in force now. The scheme of the Act being,

LLP Rules:
Further, MCA vide notification no. G.S.R. 229 (E) dated 1st April 2009 has notified
Limited Liability Partnership Rules, 2009. The following rules were NOT notified,
1. Form 19 & 14 under Rules 32 & 33 of LLP Rules, 2009 dealing with registration
of conversion of firms & companies into LLP and the intimation thereof to the
Registrar.
2. Rule 38 read with Schedule II of the Act for making application in Form 17 to
convert firm into LLP.
3. Rule 39 & 40 read with Schedule III & IV of the Act for making application in
Form 19 to convert Private & Unlisted public limited Company into LLP.

Now, you know that all other Sections of Limited Liability Partnership Rules, 2009
has been notified and is in force now. The scheme of the Rules being,

Statutory Fees
For registration of Limited Liability Partnership including conversion of a firm or a
private company or an unlisted public company into Limited Liability Partnership:
(a) Limited Liability Partnership whose contribution does not Rs. 500/-
exceed Rs. 1 lakh
(b) Limited Liability Partnership whose contribution exceeds Rs. 1 Rs. 2000/-
lakh but does not exceed Rs. 5 lakhs
(c) Limited Liability Partnership whose contribution exceeds Rs. 5 Rs. 4000/-
lakhs but does not exceed Rs. 10 lakhs
(d) Limited Liability Partnership whose contribution exceeds Rs. 10 Rs. 5000/-
lakh

Fee for inspection of documents or for obtaining certified copy thereof shall be as under:-

(a) For inspection of documents of an LLP under section 36 Rs. 50/-

(b) For Copy or extract of any document under section 36 to be Rs. 5/- per page
certified by Registrar or fractional
part thereof
