LEED Certified building at Fort Lee

Going Green in the Gateway Region

The following is an overview of the various firms in the region and in the Greater Richmond-Petersburg MSA with expertise in green building as well as LEED Certification for their various projects. The Gateway Region is not endorsing these firms but rather providing them as a resource should you consider seeking a LEED building or generally incorporating sustainable features into your building's design. LEED certified buildings in the greater metro area have also been listed for your information. In addition, information regarding the climate and weather in the region has been listed below to address the possibility of utilizing wind and sun energy for your building and its processes.

Examples of Green Buildings in the Greater MSA W. M. Jordan Company recently celebrated the expansion of its Richmond office with an open house at their Manchester District location. The new 9,508-square-foot office expansion and 4,500-square-foot maintenance shop with related site work will achieve a Leadership in Energy and Environmental Design (LEED) Silver Certification. Green building design elements include bioswales and drought tolerant native plants around the site, oak flooring extracted from another building, low VOC finishes, lighting controls and a high performance building shell and mechanical system. The exterior fa~ade was designed to be reflective of the traditional "Richmond Warehouse." As part of the company's commitment to support the art community, W. M. Jordan will showcase local, original art in its facility.

Liberty Property Trust announced that it is nearing completion on its 77, 708-square-foot Class A office development located in the Westerre Business Park in Henrico County. To be known as the Westerre IV building, the project marks Liberty's second development in the park and the company's first sustainable development project in Richmond. Liberty broke ground on the project at the end of August 2007 and anticipates the building's opening in mid-May. The three story multi-tenant Class A building features an elegant lobby, state-of-the-art telecommunications and fiber optics and a high-tech energy management and security system. To achieve LEED certification, Liberty has registered the project with the U.S. Green Building

Council. Westerre IV has already received pre-certified LEED "silver" status, and Liberty is currently seeking the LEED "silver" certification. The architect for the Westerre IV project is Freeman & Morgan, the general contractor is ARGO Development and Dana Dame, vice president of development is Liberty's project manager. Upon completion, Northwestern Mutual will be the first tenant to move into the building. The company has leased 46,500 square feet of office space on the first floor of the building. David Wilkins, Trib Sutton and Scott Durham of CB Richard Ellis represented Northwestern Mutual in the transaction.

Weinstein Hall, University of Richmond Social Sciences Building was named one of the most environmentally friendly buildings in the world. Expansion and renovation of an existing 15,000-sq. ft. structure on campus enlarged the building to 53,000 sq. ft. Architects and contractors followed the council's guidelines throughout construction and included many environmentally friendly features, including a system that monitors and adjusts fresh air entering the building to improve comfort and save energy. Other features include special parking for carpool and alternative fuel vehicles, with plug-ins for recharging electric motors; special mats at major entrances to remove particles from shoes; and use of recycled steel and other recycled contents. All materials, such as paint and carpeting, were selected for their low "volatile organic compounds," which reduce allergyrelated problems for faculty, staff and students. "LEED certification is a great honor because it proves that the building is sustainable," said Andrew McBride, university architect. "Institutional builders like the University of Richmond are appropriate leaders of this movement because they build for the long term and influence future leaders."

WATER
Fed by the James and Appomattox Rivers, Virginia's Gateway Region has an abundant supply of water and surplus wastewater treatment capacity for increased industrial demand. Most of the region is served by the Appomattox River Water Authority, a public authority supplying potable water to the cities of Petersburg and Colonial Heights, Fort Lee and suburban areas in the counties of Dinwiddie, Chesterfield and Prince George. The raw water is obtained from lake Chesdin, a 3,000-acre reservoir located six miles west of Petersburg on the Appomattox River. lake Chesdin has a safe yield of 77 million gallons per day (mgd), The Water Authority treatment plant has a current capacity of 46 mgd, The Authority makes an average withdrawal of 21.5 mgd from Lake Chesdin. With over 40,000 connections to the system, the Appomattox River Water Authority serves approximately 200,000 people,
The Virginia-American Water Company in Hopewell supplies water to Hopewell, Fort Lee, and suburban areas in Prince George County. The Company withdraws itswater from the Appomattox River near the confiuence with the James River. The treatment plant has a current capacity of 33 mgd and the average total water production is 21 mgd. Eighty-five percent of the water processed is consumed by the industries of Hopewell. Currently the system contains over 8,500 connections. The incorporated towns located in Sussex and Surry Counties operate their own public water systems.

The South Central Wastewater Authority operates a 20 mgd capacity secondary wastewater treatment plant that provides service to the cities of Petersburg and Colonial Heights and to suburban areas in the counties of Dinwiddie, Chesterfield, and Prince George. A major expansion of the plant was recently completed, ensuring the accommodation of increased industrial demand in the Gateway Region. The City of Hopewell operates a 50 mgd capacity secondary wastewater treatment plant that serves the City of Hopewell, Fort Lee, and suburban areas of Prince George County. At present, the treatment plant is operating at 32 mgd. Existing industries are the major users of the system, as the plant was designed as a regional treatment facility to treat industrial waste for the City of Hopewell. Sewer systems are also available in several of the incorporated towns located in the counties of Sussex and Surry.

Dominion Virginia Power, located in Richmond, VA, is committed to doing its part to reach the Commonwealth of Virginia's goal of 15% electricity from renewable sources by 2025. The company is expanding its renewable generation portiolio to help achieve this goal through wind power, hydro power and biomass stations. Dominion also offers Green Power program designed for customers who want to make their own investment in renewable energy in addition to Dominion's investment that will go above and beyond the renewable generation that they provide. Other such companies invested in renewable energy in and around the region include:

Osage Bio Energy: Operates as a sustainable, environmentally responsible company and will differentiate itself from traditional corn-based ethanol production companies through producing ethanol from regionally grown barley, and exclusive use of KATZEN technology capable of producing ethanol from barley within a 200-mile radius of each plant site. UNION PRESENCE
Virginia is one of the least unionized states in the country. Three major reasons for this are the (1)

State's Right to Work

Law; (2) the importance of manufacturing industries such as textiles, apparel, lumber, and electric and electronic equipment,
which are not highly organized In Virginia; and (3) the importance of federal civilian and military employment. Typically, the percentage of nonagricultural employees who belong to unions in Virginia has been approximately one-half of the U.S.

average.

CONVENTIONAL SOURCES
Large industrial and commercial loans are available to qualified firms through banking

institutions in Virginia 1s Gateway Region and their affiliate holding companies in Richmond. Within the Gateway Region 1 19 commercial banks, which provide 117 offices, serve the area1 along with 5 savings banks providing 19 convenient offices. The overall climate and expertise

of the area's financial sector is excellent and quite conducive to the attraction of new and
expanding enterprises.

INDUSTRIAL REVENUE BONDS

A popular mode of financing industrial projects in Virginia's Gateway Region is through the use
of industrial revenue bonds (IRB). These bonds provide up to 100 percent financing and provide

an interest cost savings, due to the tax-free interest received by investors buying the bonds.
Federal regulations have restricted the use of tax-exempt bonds to financing manufacturing
facilities only. In order to finance eligible projects, a local industrial development authority, after approval from the local governing body,

issues industrial revenue bonds covering the cost of land, buildings, machinery and equipment. The bonds are secured by a mortgage or lien on the project financed and are repaid from the project's revenues.
An additional source of bond financing is available through the Virginia Small Business Financing Authority, which issues taxable bonds for those small business projects not eligible for tax-exempt IRB financing.

CRATER DEVELOPMENT COMPANY

The Crater Development Company has two lending programs that are available to existing and prospective small businesses. Under the SBA 504 Loan Program or the Revolving Loan Fund (RLF), the financing is subordinated to private financing, and the

small business contribution is reduced to 10 percent of the project costs.

GOVERNMENT STRUCTURE
The state and local taxes here are some of the most competitive in the country. Virginia has one of the fairest and most stable tax structures of the 50
states. The Commonwealth has not raised its income tax rate since 1972. Virginia's local governments function according to the independent city concept. When an area is incorporated as a city, it ceases to be part of a county. Citfes levy and collect their own taxes, and county taxes are not imposed within a city's boundaries. The following items are not taxed at the state or local level: Inventory office furniture and fixtures Manufacturers of aircrafts Computer application software Intangibles, such as the excess of bills and accounts receivable over bills and accounts payable, money1 shares of stock, bonds, notes and other evidences of debt, demands, and claims

TAXES APPLYING TO INDUSTRY

Corporate Income Tax
6% of federal taxable income, with modifications, if applicable: A multi-state corporation may allocate and apportion its income so that it does not pay a tax on the entire amount. Allocable income is limited to dividends, which a corporation in Virginia receives from companies in which it owns less than 50 percent of the voting stock. It is allocated to Virginia only if the payee corporation has its commercial domicile in Virginia. Income is apportioned on the basis of a three-fator formula consisting of payroll, property, and sales with each factor weighted equally
Dividends received from companies in which the taxpayer owns 50% or more of the voting stock are not taxable in Virginia

Sales and Use Tax 4% state tax, plus one percent 1% percent local tax.
Exemptions: Items purchased for use or consumption in manufacturing and research and development Industrial fuels used directly in the manufacturing process Items purchased for resale Custom computer software Gas, electricity, or water when delivered to consumers through mains, lines, or pipes Certified pollution control equipment and facilities Advertising charge

Workers Compensation Employers must carry workers' compensation insurance with a private insurance carrier or have a certificate of self~insurance issued by the Virginia Workers' Compensation Commission if they have three or more employees regularly in service in the same business in Virginia. Virginia's average is $2.47 per $100 National average is $4.11 per $100 Unemployment Insurance All new employers in Virginia must pay an initial tax rate of 2.57 percent of the first $8,000 of each employee's annual wages for approximately two years unless their computed rate, based on claims, exceeds the new employer rate. Afterthe employee's experience rating is determined, the rate may be as low as 0.17% or as high as 6.27% of the same $8,000 wage base.

STATE TAXES APPLYING TO INDIVIDUALS

Individual income Tax
The tax is based on federal adjusted gross income with modifications, if applicable, and with deductions for personal exemptions and standard or itemized deductions. Taxable income is taxed at the following rates:

Virginia's Gateway Region is truly the gateway to Virginia, providing ACCESS to culture, recreation, arts and travel. The Gateway Region is in the geographic center of

Virginia's tourist destinations, while the region is a destination in itself.

Residents and visitors can access Washington, D.C., Virginia'S coastline and the scenic Blue Ridge mountain range within an hour to hour-and-a-half drive. The Gateway Region's history is well documented to the early 17th century. Surry County celebrated its 350th anniversary in 2002, the same year as Prince George County's 300th anniversary. Chesterfield County and the City of Petersburg date back more than 250 years. Dinwiddie and Sussex also date to the early 19th century. Hopewell's City Point traces its history back to 1613, even though the town was not officially incorporated until1914. The city of Colonial Heights received its incorporation in 1926, becoming a city in 1948.
The Gateway Region welcomes you to see how we are building a prosperous future based on three centuries of rich historic,

cultural and economic success.

HOUSING
One of the most attractive features of Virginia's Gateway Region is the diversity of both housing style and price. The Gateway Region offers suburban communities and neighborhoods located near shopping and dining; renovated downtowns, and Old Towne homes within historic districts; and rural homes located on large acre lots.

Over 10,000 acres of local, state, and national parks throughout Virginia's Gateway Region provide a range of cultural and
recreational opportunities for citizens of all ages. The prime location of the region, with access to the James, Appomattox, and Nottoway rivers, and lake Chesdin, makes all water-related activities very popular.

Virginia was the birthplace of colonial America and eight U.S. Presidents, and the site of many historical battles. The 10-month siege of Petersburg during the Civil War is well documented through museums, battlefields, and other historical parks. A full day can be spent exploring the area's unprecedented history, which includes battlefields and beautiful colonial homes, leaving
plenty mOre to do for future visits.

In addition to the Gateway Region's landmarks and parks, the City of Richmond and Colonial Williamsburg, the capital of the
South and top resource for colonial America, respectively, and many other attractions are located within a day's trip of the region.

The majes~c Blue Ridge Mountains to the west, hundreds of miles of pristine beaches to the east, and our nation's capital Washington, D.C., to the north are all within a 2-hour drive of the Gateway Region.
The Gateway Region's entertainment, historical, and recreational facilities are supplemented by a plethera of arts, science and cultural attractions. Over 20 area museums cover the topics of the arts (Virginia Museum of Fine Arts), science (Science

Museum of Virginia), aviation (Virginia Aviation Museum), horticulture (Lewis Ginter Botanical Gardens) and more. The
extended region's diverse historical attractions include revolutionary sites- St. John's Church (where Patrick Henry made his

"liberty or death" speech) and the Virginia State Capitol designed by Thomas Jefferson- and several Civil War battlefields.

Even though Virginia's Gateway Region is dedicated to its quality businesses and workforce, days in the region do not end at 5:00, nor do they stop on Friday afternoons. The Gateway Region has
considerable entertainment opportunities with even more located north in the Richmond metro area. Mike would prefer that Roy, Sandi, rep from Research and Sandi get together to discuss this issue. Like idea of getting Sandi involved to understand legal issues. Spoke with paul and roy about need to be integrated in team on this project, message was clear and understood. Now want everyone focused on this project not history.or commentary. Jeff

The rest of us see the obvious need for a meeting. I am going to put out an agenda shortly, to include Roy's participation and update of whatever he discussed yesterday with David Lu. Will copy you and Paul. Could really use your help at that point by replying to everyone that a team discussion and consensus approach to this issue is required today, especially given the political sensitivity of the issue and the importance the company is putting on it as an essential source of funding for this project. My thought is to have Sandi work directly with David Lu and Debra Dowd from LeCiairRyan on this, rather than having International, BD and/or Research in the middle. The reason Paul & Roy went to you while we were out of the office is that they are more concerned about proving their worth on large projects than being part of team - standard operating procedure for the past few years, especially in high profile situations. Hope you're having a nice time with the Governor. Thanks in advance for helping on this end.

I do not see the need for a meeting this afternoon, I think Jeff has defined a clear path for us to follow.

Hate to throw Roy under the bus but you need to know that nothing has changed when it comes to working with International on large projects. I've requested a team meeting tomorrow to hopefully nip this in the bud and move ahead with a consensus approach to dealing with this issue, per your request. Already have had discussions with Rob, Jay & Liz during our trip to UVA today and brought Sandi up to speed by e-mail. Hopefully this will not turn into another situation like Toyota when the Japan office kept making direct contact with them despite Cuneo's clear directive that he was handling that line of communication.

Spoke to Charlie Wang and Gary Tang this evening about a phone call Roy apparently made today to their Mississippi office. According to them, Roy identified himself as a VEDP representative and asked for David Lu's contact information for further discussion of EB5 regional centers. They are now forced to do damage control and don't want any further contact with that office because this a confidential project and the office is also staffed with some folks provided by the State of Mississippi. Not especially mad about it but clearly don't want it to happen again. Left Roy a voicemail about the situation and asked him to refrain from contacting them in this manner, which is a no-no anyway because Charlie mentioned in our meeting that all communication should be directed through Gary Tang. E-mails to the two of them will also work. Don't know if Roy did this on his own or Paul put him up to it, but this just underscores the need to have a meeting asap to discuss strategic next steps as a team, rather than allow International to try and run with this on their own.

Went well. Need to get you involved in strategic discussion of next steps. David Luis going to provide us with a draft application for a statewide regional center. His law firm in NOVA can operate it if we choose to accept that offer, which we really don't want to do for obvious reasons. Not sure what you missed but interesting to hear what Lu had to say about qualifying areas within the Commonwealth for $500,000 investment threshold (to be competitive with the one established in MS). The idea is to utilize his expertise but feel out LeCiairRyan for their interest to help us keep things in perspective. Hopefully they may also have interest in operating it.

There will be standard benefits offered, such as medical insurance, 401 k and paid vacations etc. Other perks including training, etc. We hope we can get state incentive in this regard, including tuition deduction if our workers and their children go to state colleges. That is the only regional center through which we can bring in investors. This is also the reason why time is of essence to get a regional center in Virginia. Once an EB-5 investor invested in this project through one regional center, it is unlikely the same investor will invest through another regional center in the same project again. Pat: We received the PowerPoint presentation from Gary Tang last evening. Mostly general information.

I am getting ready to send a lot of follow-on questions in an effort to get the level of detail we'll need to properly qualify this opportunity.
You should also know that I have submitted for potential assembly plant sites for their consideration, four of which are in the Tobacco Region: Emporia-Greensville Mega Site Berry Hill Mega Site (Danville & Pittsylvania) Roma Mega Site (Martinsville-Henry County) Waverly Mega Site (Sussex) Cooke Rail Site (Louisa)

With regard to Monday's briefing- is EB-5 all that the Governor wants to talk about or should I also include a few of the most relevant company slides concerning their project? With respect to EB-5, I can provide a short overview of the program and some of the considerations I mentioned in my email to you yesterday. Not sure what level of detail is expected. There are obvious limits to VEDP's collective knowledge of immigration law so any additional perspective you can provide for my preparation is most welcome. -Mike

Rob, Just a quick follow up to the whole EB-5 visa issue, which might be useful to you as you prepare a white paper. By way of background, this issue has been monitored for several years by International staff. Roy, Hailey and Secretary Gottschalk were given a presentation on this EB-5 program in Beijing China on March 31st 2007 by 2 representatives from USA Advisors. Pat's comments were that while Jeff would make the final decision, he did not see any value or opportunity for Virginia in the program. When Roy returned from that Asia trip, he and I briefed Jeff on the presentation Pat and Roy received. The answer from Jeff was the same as Pat had indicated. All four of us are skeptical of the potential investment that EB-5 designation represents. And, given the costs of establishing an EB-5 center and on-going costs, it becomes even more dubious. We have had a small number of inquiries from China in the past couple of years inquiring of Virginia's participation in this program which we have handled. I believe Roy has had several discussions with Jay about this issue. Should you wish to add data in the white paper as to what other states' experiences have been, I would be happy to query my counterparts. All in all .... an issue we're fully aware of and, at this time, see no need nor ability to pursue. Paul

GREENTECH/EB-5/ CHINA

Jeff, I called you a few minutes ago to discuss the Greentech project. I don't know if you are aware of all the details or not. In short, it involves Terry McCauliffe, Bill Clinton and of course Gov. Kaine. A key driver is whether Virginia will pursue the EB-5 visa designation. We have great doubts that it is a legitimate project, but because of the players involved are being responsive. In short, Gov. Kaine has asked for a briefing on Monday afternoon. We are not sure whether he wants a briefing related to the EB-5 visa process or related to the project specifics. My strong inclination is that he is more interested in the EB-5 process since that is how the project originated and on which the capital investment hinges. At this time, Mike L. is scheduled to provide that briefing. I am not sure if that request came from Pat or through you. I would recommend that Roy provide that briefing instead. Roy is ful ly familiar with the EB-5 issue, had briefings given to him in China (with Pat in attendance) and understands the Chinese drivers behind these kinds of projects. Of course, he is fully familiar with the project parameters as well. Frankly, Roy will represent VEDP in the best possible light for any question the Governor might have. Look forward to your call to discuss. Paul

Debra Dowd returned my call. September 30'h is actually the expiration date for the EB5 program but the consensus expectation is that it will be renewed sometime before the end of the month.

Debra:
I have covered you up with voicemails on both of your phones concerning a specific request I received to investigate the possibility of extensions to the September 30 application deadline.

Rob McClintock's Research group will be handling a white paper on the pros/cons of establishing an EB-5 Regional Center, which of course will also address your response to my inquiry. To make things easier on everyone, I would be grateful if you could respond to me by e-mail with a cc to Rob. I will then attempt to extricate myself from further discussions of this topic between LeClair Ryan and VEDP. Thanks, Mike

I held off until now because I also wanted to send you a listing of 1,000+ acre sites. Unfortunately I have not been able to get the data in the user friendly format that I envisioned. Most of the sites are not readily available in our online inventory database. I will try to put something together via e-mail regarding sites before I leave today. EB-5 visa
From Wikipedia, the free encyclopedia

The EB-5 visa for Immigrant Investors is a United States visa created by the Immigration Act of 1990. This visa provides a method of obtaining a green card for foreign nationals who invest money in the United States.[ll To obtain the visa, individuals must invest $1,000,000 (or at least $500,000 in a "Targeted Employment Area" high unemployment or mral area), creating or preserving at least 10 jobs for U.S. workers excluding the investor and their immediate fami!y_lll Initially, under the first EB-5 program, the foreign investor was required to create an entirely new commercial enterprise;l2l however, under the Pilot Program investments can be made directly in a job-generating conunercial enterprise (new, or existing "Troubled Business"l31), or into a "Regional Center". a 3rd party-managed investment vehicle (private or public), which assumes the responsibility of creating the requisite jobs. Regional Centers may charge an administration fee for managing the investor's investment. The Regional Center provision of the program was scheduled to end on September 30, 2012.l4l At the end of September 2012, President Obama signed into lawS. 3245 extending the EB-5 Regional Center Pilot Program for an additional three-year period. The program was reauthorized by the House of Representatives on September l3 in a vote of 412-3 and passed by the Senate in August 2012. If the foreign national investor's petition is approved, the investor and their dependents will be granted conditional permanent residence valid for two years.31 Within the 90 day period before the conditional permanent residence expires, the investor must submit evidence documenting that the full required investment has been made and that 10 jobs have been maintained, or 10 jobs have been created or will be created within a reasonable time period.l31 In 1992, Congress created a temporary pilot program designed to stimulate economic activity and job growth, while allowing eligible aliens the opportunity to become lawful permanent residents. l41 Under this pilot program, foreign nationals may invest in a pre-approved regional center, or "economic unit, public or private, which is involved with the promotion of economic growth, including increased export sales, improved regional productivity, job creation, or increased domestic capital investment". Investments within a regional center provide foreign nationals the added benefit of allowing them to count jobs created both directly and indirectly for purposes of meeting 10 job creation requirement.l41 Foreign investors' use of the EB-5 program has been far less than originally anticipated by Congress.l 51 In 2005, a Government Accountability Office repmt found that investors were not utilizing the program because of "an onerous application process; lengthy adjudication periods; and the suspension of processing on over 900 EB-5 cases-some of which date to 1995-precipitated by a change in USC!S's interpretation of regulations regarding financial qualifications."l61However, in 2011, USCIS began making a number of changes to the program in hopes of increasing the number of applicants. [?J By the end of the 2011 fiscal year, more than 3,800 EB-5 applications had been filed, compared to fewer than 800 applications in 2007.l81

Targeted Employment Areas

USCIS defines a targeted employment area (TEA) as an area which, at the time of investment, is a rural area (not within either a metropolitan statistical area (MSA) (as desig11ated by the Office of Management and Budget) or the outer boundary of any city or town having a population of20,000 or more), OR an area within an MSA or the outer boundary of a city or town having a population of20,000 or more which has experienced unemployment of at least 150% of the national average rate. l9l If the location of the proposed new business is not a TEA, the investor has the option to gather the relevant publicly available state or federal statistics on their own and submit it with their petition for USCIS to have a new TEA determination made. In California, the investor may petition the state government for designating a particular subdivision of the area as an area of high unemployment (over 150% the national average); however, this designation is not made by USCIS. [!OJ There is no centralized list of targeted employment areas. State agencies in California,l!OJ FloridalllJ and Washingtonl 12l maintain lists of TEAs.

EB-5 Regional Center projects

USCIS maintains a list of approved (which does not signifY endorsement) EB-5 (l!runigrant Investor) Regional Centers by state, but without details.ll3J As of February 2012, there are 218 centers.l4l The states with the highest numbers of regional centers are California (49), Florida (22), and Washington (11).

To: Lehmkuhler, Mike; Harned, Alleyn Subject: RE: Greentech Automotive Assembly Proposition GentsHere's where I am at the moment on this concept. My view was informed by the excellent presentation we had last week from Debra Dowd at LeClair Ryan who does this work for a living. Her position, which I respect, is that she was going to attend the CIS seminar on Oct 19 in San Francisco to find out what the feds have in store for this program to help feed into their feasibility study on whether this would be a useful tool to set up in Virginia. I cannot afford to send anyone to this workshop and hope to glean from her solid feedback on the program. We frankly never had heard of this tool until two weeks ago, and never had any company say it was useful to have. I think we take our time and take a measured response. I have no information that tells me this is absolutely worth doing, and see no value in performing a rush job. I would also say, without the due diligence being completed, that there are several levels of decision involved on this. The l)is this a tool of merit; 2) any validity to doing this statewide, or is it better to consider a sub-state regional center (my gut tells me it's the latter); 3) who should sponsor an application, 4) who pays for the application, 5) who administers the center?. All these should be wrapped into a due diligence process. There are probably several questions I have omitted from the study scope no doubt. I have told my team end of October might be a reasonable timeframe to consider a white paper target date. If the answers are positive, it's something we may wish to include in our economic development strategy document we are preparing to guide Virginia policy. Rob From: Lehmkuhler, Mike

Per your request, here's what we know so far-

Terry McAuliffe is chairman of the company and Xiaolin "Charles" Wang is CEO. Mr. Wang and Mr. Gary Tang, COO, have both lived in northern Virginia for the past ten years.

At this point the company has not provided VEDP with a business plan to evaluate.

Based on our one discussion with Gary Tang, COO 2

This is the same project that was repmted in Mississippi, albeit smaller in scope than published -

_.combined investment for a northern Virginia HQ location and (possibly growing t o - o v e r time) -onstruction jobs -ll-time jobs (possibly growing t. .ver time)

assembly plant elsewhere in Virginia

In addition

Phase I manufacturing operation would have capacity for assembly ~ybrid vehicles per year and would start production Phase 2 would be an increase in capacity to acconunodate assembly of as many a s - r i d vehicles by (unspecified) would co-locate, similar to what key supply chain partners did in Alabama

Concerns:

This company is a complete start-up venture and it appears the management team has no previous experience in automotive manufacturing Prior to becoming COO, Gary Tang was a capital markets trader of Fannie Mae mortgage-backed securities

Several key, prospective executive team members (e.g. design, engineering, procurement, manufacturing operations) are
currently employed by other firms in China and will only leave those positions ifthis North American operation can be successfully financed Creation of an EBS center will require an estimated $100,000 to establish. Additional annual funding for administrative staff would also be required, including lawyers and financial professionals needed to qualify potential investors.

Gary Tang indicated yesterday that he would be sending us information necessary for our vetting process. I will be glad to forward

that information as soon as it is received.

I would like to ask your help to provide a brief overview of the EB-5 VISA program and its opportunities and challenges for the Commonwealth of Virginia (or the localities within the Commenwealth) to some people in the office of Secretary of Commerce and Trade. We have some current issues I opportunities surrounding this topic, so scheduling this 20- 30 minute information session in the near future would be ideal. The meeting will likely take place in the Patrick Henry Building. I look forward to your reply. Thank you for your time and help with this complex VISA issue. Roy

Dear Mr. Tang, I am writing to follow-up on the telephone message I left on Wednesday afternoon related to your auto assembly plant project opportunity. I am aware that you have had contact with the office of our Governor on this subject and the issue of EB-5 Visa site location availability. I would like to learn from you about the key details regarding the auto assembly plant and surrounding complex. These details include the size and scope of the project such as capital investment, jobs created, and funding source for this large undertaking, size of the land you wish to purchase, target date for commencement of plant construction and the infrastructure requirements such as rail, water, gas, power etc. Please indicate the capitol investment and jobs figures based on the first 3 years of the project from the announcement date. This plant and its support complex is a point of interest to the Commonwealth of Virginia. Your timely reply will be greatly appreciated and it will receive our focused attention. We appreciate your interest in Virginia. Sincerely Roy Roy C. Sent: Fri Aug 28 12:49:49 2009 Subject: Mr. Tang/EB-5 Visa Process Hey guysJust for fun I was poking around on Mr. Tang's website. Look who it says is Green Tech Automotive's Chairman, Terry McAuliffe (of recent election pratfall fame in Virginia) The CEO is Charles Wang, who was listed as one of the parties in the Mississippi lawsuit for Hybrid Automotive Corporation. http://www.wmgta.com/m 1.html
If you wondered how it may have come in through the Policy Office of the Governor, this is now a bit less surprising. Hang on to your wallets! Exercise caution. Nevertheless, I think having a briefing to get more acquainted with the EB-5 program is appropriate. I did note on Immigrations website that a number of states have been approved for these Regional Centers.

Rob McClintock Research Director Virginia Economic Development Partnership 804-545-5772

Section 203(b )(5) of Immigration and Nationality Act grants permanent resident status to up to 10,000 aliens on basis of their engagement in commercial enterprise in US; 5,000 for "Regional Center" program A Regional Center is a CIS (Citizenship and Immigration Service) approved investment center that channels foreign investment in existing or new business into the Center's designated operating area
- Help with BRE and new domestic businesses - Can attract new foreign firms

With each $1 MM in foreign capital ($500K in economically depressed areas), 1 permanent resident visa granted RC management raises foreign investment capital with promise of ROI and visa (individual or collective investors) RCs focus on certain regions and certain industries (e.g. food industry in Southern California) Must apply to CIS and do economic impact study Program scheduled to sunset this year, but exp to continue in some form

Roy Dahlquist and I met with a couple of people at least a year ago who proposed this type of scenario (man and woman). Trying to figure out who they were because I have a feeling it's related. This approach makes no sense. Highly inefficient assembly concept but based on the company's experience in China. Similar to a railroad town concept in the 1800's. Gives new meaning to the phrase "it takes a village". As I recall , it is a totally integrated approach, meaning everything that goes into the vehicle is produced locally by the village. Also seem to recall that they had never built a vehicle before. This was based on some other manufacturing the company did in China. In any case, to quote one of the analysts- "It's ridiculous on the face of it".

Do you know anything about Chinese vehicle manufacturers in Mississippi? There is a potential project opportunity for Virginia floating to the Policy office related to a Chinese company manufacturing vehicles in Mississippi. I've pasted an internet article below that may be relevant. This project would be tied to EB-5 Visas, and I've spoken with Roy about the visa issue, and about Pat's thoughts on those visas. I'll get more information from Policy as it is available. Do you or your team have any thoughts on Chinese car manufactures, specifically perhaps the two dueling over a Mississippi plant? -AIIeyn (804) 225-4517 Moneynews.com

Chinese Move Forward on Mississippi Car Plant

Wednesday, July 29, 2009 9:35AM Article Font Size - +

JACKSON, Miss. --Two dueling Chinese businessmen have settled a federal lawsuit over a proposed $6.5 billion car plant in Mississippi, with both sides saying they can pursue the massive project on their own. An attorney said a company owned by one of the men will unveil four prototypes in August and break ground on the plant this fall. He said the company already has a site plan ready. "Our project is the original project that is going to go forward under a new name," said Bill Brabec, an attorney for Xiaolin "Charles" Wang. "Getting rid of this litigation was pivotal to getting this project going again." The other man, Yung "Benjamin" Yeung, also said he platmed to move forward with his plans for the plant. Analysts, meanwhile, wonder about the viability of a project with the ambitious goal of producing 1 million cars a year and employing 25,000 people in notih Mississippi's Tunica County, just south of Memphis, Tetm. Secret discussions about the proposal were first revealed in June when a federal judge unsealed a nasty lawsuit involving Yeung and Wang. Court documents said Mississippi Gov. Haley Barbour and other state officials were involved in the talks. Yeung and Wang had disagreements over the terms of their "handshake" business deal and whether they were partners or Wang worked for Yeung, according to filings in U.S. District Comi in Northern Mississippi. Each man accused the other of dubious business practices. A settlement was reached Friday in the lawsuit, which was complicated by two dozen third patiies and the fact that the name of Yeung's company, Hybrid Kinetic Automotive Holdings, closely resembled one controlled by Wang, Hybrid Kinetic Automotive Corp. Yeung's companies said Tuesday in a statement to The Associated Press that they have the right to the "hybrid kinetic" name and "to pursue the hybrid automotive project in Mississippi without any interference fiom Xiaolin Wang." The governor's office had no comment. A spokesman for Tunica County said he couldn't discuss economic development projects.

Lyn Arnold, president and CEO of the Tunica Chamber and Economic Development Foundation, said the lawsuit settlement allows Wang and Yeung to compete over projects in Mississippi. "There's still a lot of details, because of confidentiality agreements, that I can't discuss," she said. It's not clear what, if any, incentives Mississippi or Tunica County officials have offered. Brabec said Tunica County already has secured land and has been looking for a big industry, such as a car plant, to come to the area. Haig Stoddard, an auto analyst with the consulting firm IHS-Global Insight, said Tuesday the plan sounds "risky" and it "would be unprecedented to say the least" for a single plant to build 1 million cars a year. "A typical car assembly plant in North America builds 200,000 to 250,000 vehicles per year, with 2,500 to 3,000 employees," Stoddard said. The plan before Yeung and Wang split was to raise some money through a visa program that provides foreign investors "with both a great investment opportunity and a possibility of becoming a U.S. resident," according to Hybrid Automotive's Web site. The Web site will be shut down in August as part of the settlement agreement in the lawsuit. Other terms of the settlement were not disclosed. Laurie Harbour-Fe lax, another automotive consultant, said "there's just a ton of unknowns." And, she said, the hybrid market in general has been slow to take off because the vehicles usually cost more than those with traditional engines.
