Consignment Agreement:

In plain English the following agreement basically says: That there are three key people in this agreement: The person selling merchandise at events (Acting Consignee), the person who owns the merchandise (Consignor), and Made In Vancouver (Consignee Host). That the only involvement Made In Vancouver (MIV) has is as a supplier of a canopy and interior set-up in exchange for a flat fee from MIV members who purchase space within the canopy. That the owner of the merchandise takes a chance that theft, damage or other loss may occur and that neither MIV nor the person selling at the event is responsible for loss or damage. In a nutshell: That no one is responsible for anyone elses misfortune whether by acts of god or otherwise and that everyone is responsible for their own legal and financial obligations! This is the 21 st century version of doing business with a handshake!

Consignment Agreement: Traveling Made In Vancouver Booth


This Consignment Agreement (Agreement) is by and between Made In Vancouver, USA, LLC (hereafter Consignee Host), ____________________(hereafter Consignor), and ___________________ (hereafter Acting Consignee). Whereas, Consignee Host is providing a designated space to exhibit merchandise owned by Consignor and which will be vended by the Acting Consignee. Now, therefore, the parties agree as follows: 1. Acting Consignee shall not vend Consignors merchandise without this signed agreement, and Consignor shall not transfer merchandise to Acting Consignee without this signed agreement. 2. Consignor hereby agrees to indemnify and hold harmless the Consignee Host, Acting Consignee, staff members, volunteer workers, employees and agents, against any loss, damage, theft, expenses, injury, claims or actions arising from any personal or property damage, loss, injury or theft that may arise in connection to activities of any kind during each consignment period which lasts from the time merchandise is transferred from Consignor to the designated delivery person and until the merchandise is returned to Consignor. In addition, Acting Consignee acknowledges that Consignee Host will NOT provide or maintain insurance coverage for Acting Consignees persons or property, and it is their sole responsibility to obtain insurance covering such loss. 3. Acting Consignee will act as an independent agent and agrees to indemnify and hold harmless the Consignee Host, Acting Consignee, staff members, volunteer workers, employees and agents, against any loss, damage, theft, expenses, injury, claims or actions arising from any personal or property damage, loss, injury or theft that may arise in connection to activities of any kind during each consignment period. In addition, Acting Consignee acknowledges that Consignee Host will NOT provide or maintain insurance coverage for Acting Consignees persons or property, and it is their sole responsibility to obtain insurance covering such loss. 4. Consignor is responsible for all Federal, State and Local taxes as well as any licensing (including short term business licenses), permitting or other legal requirement. 5. Consignee Host strongly recommends that Consignor complete an inventory list of merchandise delivered to Acting Consignee and that the condition of all inventory is noted by both parties and agreed upon by signature at the time of delivery and pick up. However, neither Acting Consignee nor Consignee Host is responsible for any loss, theft or damage to products. In addition, Acting Consignee and Consignor acknowledges that Consignee Host will NOT provide or maintain insurance coverage for Acting Consignee or Consignors persons or property, and it is their sole responsibility to obtain insurance covering such loss. 6. Acting Consignee will accept monies on behalf of the Consignor and will charge appropriate sales tax on behalf of the Consignor. Acting Consignee agrees to accept cash and credit cards and is responsible for providing receipts via email, text or paper as appropriate as well as maintaining a record of all sales. An agreed upon percentage of pre-taxed sales will be deducted by Acting Consignee before remitting the remaining monies to Consignor including Sales Tax within 1 calendar day. 7. Consignor agrees to pay a set agreed upon dollar amount to Consignee Host in exchange for an agreed upon space within the Consignee Hosts event space. Consignee Host is not party to or responsible in any way for any transactions made between Consignor and Acting Consignee or Acting Consignee and event attendees. All issues arising from any money transactions between Acting Consignee and Consignor or Acting Consignee and event attendees will be resolved soley between said parties. 8. Consignor agrees to clearly mark prices on all merchandise before delivery to Acting Consignee and to provide all packing and storage materials necessary for the sale process such as bags, tissue paper or other materials as applicable. Products not marked will not be sold, and Acting Consignee agrees to store unmarked products during the consignment period so as not to sell unmarked merchandise. 9. Event space purchase is non-refundable and non-transferable.

10. In the event a lawsuit, arbitration or mediation is initiated by any party, the party against whom a judgment or award is entered shall also be liable for costs of suit and reasonable attorneys fees as set by the court or arbitrator. 11. This Agreement contains the entire agreement between the parties, and supersedes any prior written or oral agreements between them concerning the subject matter contained herein. The provisions of this Agreement may be waived, altered, amended or repealed, in whole or in part, only upon the written consent of all parties. 12. This Agreement will commence on the Effective Date, and will continue until terminated as set forth herein, effective only as it relates to event specific sub-agreements to be agreed upon for each and every separate consignment occasion. 13. Any Party herein may terminate this Agreement so long as the termination does not occur during a consignment period. 14. Acting Consignee agrees to arrive one hour before the event time and help take down the booth after the event is over.
