Agreement for Research and Analysis

This agreement is entered into the date written below between Axia Financial, LLC and;

Recitals

1. Axia Financial, LLC is in the business of analyzing situations where debt restructuring on the
subject property with the current real estate lender(s) or other lender(s) may be in the best
interest of the CLIENT.

2. CLIENT desires to contract Axia Financial, LLC to (a) analyze CLIENT’s debt situation, (b)
research practical restructuring alternatives, and (c) present the results of Axia Financial, LLC’s
analysis and research to CLIENT (d) pursue restructuring of the subject property with the
current real estate lender/s.

Matters of Agreement - The Parties Therefore Agree:

1. CLIENT shall provide to Axia Financial, LLC accurate and complete information necessary for
Axia Financial, LLC to analyze CLIENT’s current debt situation related to the SUBJECT
PROPERTY.

2. Axia Financial, LLC shall analyze CLIENT’s financial situation based on written information
provided by the CLIENT and shall perform whatever research Axia Financial, LLC determines,
in its sole discretion, is necessary and appropriate. Upon completion of Axia Financial, LLC’s
analysis and research, Axia Financial, LLC shall present to CLIENT options that in Axia
Financial, LLC’s professional opinion are appropriate and practical to improve the CLIENT’s
current debt situation related to the SUBJECT PROPERTY.

3. CLIENT agrees to pay to Axia Financial, LLC, upon execution of this Agreement, the amount of
$_________________ for Axia Financial, LLC’s time and effort to be expended on CLIENT’s
behalf.

4. CLIENT agrees to complete and sign an Authorization to Represent (ATR) Agreement so that
Axia Financial, LLC and or its assigns can act as a consultant on the CLIENT’s behalf with
third parties (for example, the Client’s Lender with respect to the SUBJECT PROPERTY), to
gather facts, research and investigate solutions for the sole purpose of affecting the desires of
the CLIENT regarding CLIENT’s debt situation related to the SUBJECT PROPERTY. The
signed ATR executes this Agreement. Client understands that while the ATR is in force the
client will refer all inquiries from the Lender(s) to Axia Financial, LLC, and CLIENT will not
conduct any discussions with the LENDER(s) without having Axia Financial, LLC present,
because such conduct could result in unfavorable terms and conditions to the resolution of
CLIENT’s current debt situation related to the SUBJECT PROPERTY.

5. CLIENT shall have no obligation to continue the ATR Agreement with Axia Financial,
LLC, and is free to revoke the ATR Agreement at any time in writing to Axia Financial,
LLC and to contract with any other consultant for this or any purpose.

6. All documents, statements, information, and other material produced or given for or
during the Consultation whether in writing or orally, shall be held in confidence by the
parties and shall be used solely for the purposes of the Axia Financial, LLC
consultation. At the termination of the agreement all such material shall be returned to
the originating party or shredded per CLIENT approval.

7. CLIENT understands that they may exercise a 3-business day RIGHT to CANCEL.
CLIENT must notify us at the phone number shown above, or in person at the address
shown above, that they wish to cancel within 3 business days of retaining Axia
Financial, LLC. CLIENT will be entitled to a full refund of their initial retainer deposit.
After the “Right to Cancel” period, the “CLIENT”, is entitled to a refund of the initial
retainer ONLY if Axia Financial, LLC fails to accomplish its fiduciary responsibility.

give legal advice. We recommend CLIENT seeks the advice of an attorney before entering
into this and any other contract with Axia Financial, LLC or any other entity.
Due to unforeseen circumstances that may affect CLIENT’s ability to fulfill their agreement
with Axia Financial, LLC and/or the resulting restructuring arrangement with CLIENT’s
lender/s, Axia Financial, LLC makes no guarantee as to the outcome of CLIENT’s financial
situation/s and will be held harmless in any and all matters relating to CLIENT’s personal
and/or professional real estate and debt restructuring and/or any financial matters.
Axia Financial, LLC liability is limited to the actual amount CLIENT has paid to Axia Financial,
LLC for services rendered. CLIENT has read and understands this DISCLAIMER
