Agreement:
Accepting this agreement indicates that all parties have read and understand the entirety of this Contract. The Client agrees to the costs and coverages listed as well as the terms and conditions below. The Client(s)
indicated on this contract shall be fully responsible for ensuring that full payment is made pursuant to the terms of this agreement.
Portrait / Model Photography Order:
Each project is considered one order and all orders must go through the responsible party who is considered the Client, and the Client is responsible for all orders placed. Client agrees and acknowledges that the
form of this photography is digital capture and not film based. There are no oral or other agreements of the parties hereto and this Contract constitutes full and complete understanding and agreement between the
Client and the Photographer.
Limit of Liability:
In the unlikely event that the Photographer is injured or becomes too ill to photograph on the agreed upon shoot date, the Photographer will make every reasonable effort to secure a replacement Photographer. If
the situation should occur and a suitable replacement is not found, responsibility and liability is limited to the return of all payments received for the general photography order. The Photographer will take all
reasonable care with respect to exposure, transportation, and processing the photographs. However, in the unlikely event that all or some of the photographs have been lost, stolen, or destroyed for reasons beyond
the control of the Photographer, all parties agree that the Photographer’s liability is limited to the return of all payments received for the general photography order. Photographer will perform within all reasonable
expectations to complete the agreed upon project; however, due to limits imposed by time restrictions and unforeseen events during the shoot day, the Photographer cannot be held liable for unintentional errors or
omissions. In any event, the limit of photographers liability shall not exceed the contract price stated herein and all parties to this contract hereby agree that refund of said contract price shall terminate any further
liability between the parties.
Exclusive Photographer:
It is understood that no other Photographer, amateur or professional, shall be appointed to photograph the project while the Photographer is working, and that any breach of this agreement will constitute a reason
for non-completion of the job with no liability to the Photographer and full loss of Retainer paid by the Client.
Ownership of Digital Negatives”:
It is agreed that ownership of the digital capture, i.e. “negatives” will transfer to the Client upon delivery of the photography package ordered on this contract. The Client is free to produce as many copies or prints
from the Master CD as desired; however, the Photographer retains the Display Promotion rights described in the below section. The Photographer also reserves the right to remove any undesirable exposures from
the digital negatives (blinked shots, blurred images, etc.)
Display Promotion:
It is agreed that the Photographer may display and use photographs from the project for advertising, display, website and internet promotion, photographic contests, bridal shows, public display as in malls,
photography books, photographic instruction books, store fronts, window displays, studio and portfolio display, television advertising, magazine advertising and any other purposes to promote the Photographer.
Retainer & Payment Schedule:
Upon signature, the Photographer (Chad Pennington) reserves the date and time agreed upon in this contract, and will not make other reservations for that time and date. For this reason, a retainer of 50% of the
general photography order will be paid and is considered non-refundable in the event the Client, for any reason, changes or cancels the agreed upon date and time including acts of God. The 50% retainer is to be
paid at the time of signing of this contract. The retainer will be applied to the balance of the general photography order upon completion of this contact. Client understands and agrees that the entire amount owed for
the general photography order described in this contract is due no later than one week prior to the shoot date. Client agrees without balance paid by this time, the Photographer will NOT photograph the general
photography order described in this contract with no liability to Photographer and full loss of retainer paid by the Client. Client agrees that an additional $30.00 fee will apply for any return checks, insufficient funds,
or stopped payments presented to the Photographer. Any additional hours & minutes above & beyond the agreed upon package will be billed at a rate of $190.00 per hour. Also
If the Client refuses to pay the final balance due, the Client shall be in default hereunder and shall pay 10% interest compounded monthly APR on the unpaid balance until the payment is made in full.
Travel Fee:
An additional fee will apply to any location(s) outside the agreed area(s) stated above in this contract.
Guaranteed Delivery Time:
Please allow 1-2 weeks for delivery of Master DVD’s or CD’s, Model Books and/or DVD slide shows.
Independent Contractor:
This contract is not to be construed as an employment agreement in any way. The Photographer functions as an independent contractor.
Basic Retouch:
All final prints and digital negatives include basic touch up with respect to overall levels balance, brightness and contrast, cropping and basic color correction calibrated for Professional Labs using low contrast
paper. Sobitart Photographic will not be responsible nor make any guarantees for prints produced at other labs or with consumer printers. Additional retouch (i.e skin, reflections on glasses, special artwork, etc.) will
be billed at $85.00 per image
Supplying Information:
The Company requires that the Client supply the following information: the best possible directions to & from any & all locations that the Photographer/Videographer is required to be; a timeline of all events that are
expected to take place on the shooting day; a reference list of moments that the Client would like to have captured.
Cancellation:
If the Client cancels this Contract before the reserved date, any deposits paid shall be defaulted and thus retained by the Company in full. All payments are non-refundable, except as otherwise provided in this
contract.
If Scheduled through Dinner:
If the Photographer/Videographer is scheduled through dinner or for 5 hours or more, a meal should be provided. If no meal is provided, the Photographer/Videographer reserves the right to take a reasonable
dinner break on Client time.
Rescheduling:
If the shooting date is rescheduled due to casualty, fire, act of God, or other cause beyond the control of the Client, the Company agrees to reasonably accommodate the services mentioned in this Contract on
another date, and the Company shall apply all monies paid toward the services provided on such rescheduled date.
Inherent Qualities:
Client is aware that color dyes in negatives/film or prints may fade or discolor over time due to inherent qualities of dyes, and the Client releases the Company from any liability for any claims whatsoever based
upon fading or discoloration due to such inherent qualities in black & white and color based negatives/films.
Standard Price List:
The charges in this Contract are based on the current standard price list at the time of the agreement and signing this contract. Price lists are adjusted periodically and any orders placed outside of the amount
contracted shall be charged at the prices in effect at the time the order is placed.
MISCELLANY:
This Agreement incorporates the entire understanding of both parties. Any modifications of the Agreement must be in writing and signed by both parties.
