MEMORANDUM OF UNDERSTANDING FOR THE OFFICE RENOVATION & LEASE PROJECT

BETWEEN

___________ Co., Ltd. OF THE REPUBLIC OF THE UNOIN OF MYANMAR AND THE BEST C&D Co., Ltd. OF THE REPUBLIC OF KOREA

This MEMORANDUM OF UNDERSTANDING (hereinafter referred to as MOU) is made between ______(Company name)___ and THE BEST C&D CO., LTD. executed on this ___th day of Aug 2013. _____(company name)__ (hereinafter referred to as Party A), is a company incorporated under the law of the Republic of the Union of Myanmar, having its office at ___(address)______, the Republic of the Union of Myanmar. THE BEST C&D CO., LTD. (hereinafter referred to as Party B), is a company incorporated under the law of the Republic of Korea, having its office at Sammi Bldg. 3F, 167-16 Nonhyun-dong, Gangnam-gu, Seoul, the Republic of Korea.

WITNESSETH WHEREAS, Party A have the right to lease the building located on 422/426, Strand Rd., Botahtaung Tsp. Yangon for 50 years(hereinafter referred to as The Building), and want to sign the Master Lease Contract
with Party B. And Party B want to renovate The Building and then to operate and re-lease an office building exclusively for foreigners. WHEREAS, the Parties desire to create a framework which will serve as a platform to broaden and further develop a mutual cooperation in a manner consistent with the terms set forth in the present memorandum of understanding;

Now, THEREFOR, in consideration of the premise and mutual covenants and promises contained herein, the Parties agree as follows: 1. Basic Conditions for master lease The Parties agree that terms for master lease will be at least 15years and the standard rent will be about (negotiation), and the standard rent will be fluctuated with office markets. 2. Responsibilities Party A shall permit Party B to conduct the due diligence about The Building for estimating the costs of renovation. And Party A use its best means and influence to liaise with the local authorities to obtain the necessary approvals, covenants, permissions and other formalities needed for the execution of this projects. Party B shall take lead in pursuing technical management and implementation of the works and shall demonstrate care and diligence in assuring smooth and efficient performance of design/engineering, plan for renovation and marketing for lease office to be planned utilizing its expertise and technical resources. Party B shall prepare Project plan and schedule in details. All kind of renovation costs for The Building will be invested by Party B. 3. Master Lease Agreement The Parties hereby agree to enter into a Master Lease Agreement for the limited purpose and scope as generally set forth in this MOU. The Master Lease Agreement shall be elaborated to define in a proper

and precise manner the duties, obligation, participation of each Party and their respective roles in executing the Projects. 4. Effective Date The effective date of this MOU is that of the date first written above, and it shall remain in effect until: (a) It is confirmed by both Parties that further proceeding of the Projects will be unsuccessful. (b) The Parties sign the Master Lease Agreement If there is no mutual consent, this MOU shall be effective for 2 months from the date of signing of this MOU. 5. CONFIDENTIALITY The Parties agree that the terms of MOU is confidential and so, the announcement to a third party shall be subject to the Parties mutual agreement. 6. GOVERNING LAW This MOU will be governed by the law of the Republic of the Union of Myanmar. 7. EXCLUSIVITY The Parties hereby agree that the relationship between them shall be exclusive and neither Party will enter into other arrangements with other parties or person for or in respect of the Projects during the validity of this MOU.
