1.1
GENERAL
Scope
The Variation Order Procedure, is a contract management procedure that describe the proper way of order to be followed in identifying, estimating and finalizing all changes in the scope of work and/or scope of service arising during the course of the BAGCR Project. Variation Orders relevant to any damage or loss to the Facilities, WORKS and/or MATERIALS, as well as CTRs repair, make good and or reinstatement obligations, for which CTR is responsible under the CONTRACT are not covered by this Procedure.

Present document has been prepared in compliance with following documents: IPS-E-PR-260 NIOEC-SP-90-53(1) Appendix#10 of the BAGCR CONTRACT VARIATION ORDER PROCEDURE & ESTIMATION Item 33 of PART II of the CONTRACT MOM-MGT-MOC-005

2.1
VARIATION ORDER PROCEDURE

General Procedure
In accordance with the provisions of both the General Condition and Appendix#10 of the Contract, the Variation Order Procedure shall be as follows: a) EPY (ENGINEER) shall issue a letter in order to instruct CTR to perform changes to the CONTRACT scope of work and/or scope of services in the form of a Variation Order Instruction (VOI) as per Paragraph 2.2 hereinafter. b) Once received the VOI, CTR shall submit to the EPY, relevant Variation Order Evaluation (VOE) as per paragraph 2.2 hereinafter. c) If EPY agrees to CTRs VOE based on its VOI, CTR shall submit to EPY a Variation Order Proposal (VOP) as per paragraph 2.2 hereinafter. d) If CTR is in the opinion that any instruction received from EPY, not formalized through VOI, affects the scope of work and/or scope of services or CTR wants to propose to EPY technical options then shall notify EPY, of such opinion in writing by issuing a Variation Order Request (VOR) as per paragraph 2.3 hereinafter.

If the EPY requires the CTR make any variation to the scope of work and/or scope of services, such reasonable notice shall be immediately given, via letter only, to the CTR in order to allow proper and prompt arrangement, accordingly. Any instruction given by EPY to CTR in a way alternative to the letter shall not be considered by CTR. The VOI shall be issued by the EPY to CTR, via official letter, specifying, at least, following data: The description of the Variation, including any potential implication to other aspect of the WORKS and/or services; Any pertinent instruction or direction to be followed by CTR in relation to the execution of the Variation; Reference documentation;
VOI format is in Attachment#1. Should, in the opinion of the CTR, any such variation be likely to prevent or prejudice CTR in fulfilling any of its obligations under the CONTRACT, CTR shall notify the EPY thereof, via letter only, and the EPY shall decide forthwith whether or not the same shall be carried out. If the EPY confirms the instruction via letter, the said obligations shall be modified to such an extent as may be justified. Until the EPY confirms such instructions, shall be deemed not to have been given. On receipt of the EPYs confirmation of instruction in respect of any variation the CTR shall immediately proceed to carry out such instruction. The WORKS shall not, without the express permission of the EPY, be delayed pending agreement on price. At this stage, CTR shall prepare a Variation Order Evaluation (VOE) to be submitted to EPY based on received VOI. The VOE is a preliminary evaluation only of the required cost and time impact to implement the variation. Such VOE shall be issued by CTR to EPY not later than twenty-one (21) calendar days from receipt of EPYs VOI. The issuance of the VOE shall be followed, in three (3) calendar days, by a dedicated variation order meeting, attended by both EPY and CTR, in order to review proposed evaluation and agree the way to proceed. The VOE shall be issued by the CTR to EPY, specifying, at least, following data: Description of the Variation; Reason of the Variation, that shall be supported by a file that summarizes the documents relevant to the variation. If applicable a preliminary back up dossier that shall include CTRs technical options with highlighted advantages and disadvantages, in order to ease the EPY review and approval. Order of Magnitude of the Cost impact; Order of Magnitude of the Schedule impact;

Whenever the EPY does not issue a formal VOI to CTR, but the instruction is given by the EPY in an alternative way, the CTR shall review such an instruction and if it is deemed not included in the scope of work and/or services, CTR shall compile the VOE form based on the instruction received or understood by the EPY. Upon receipt of CTRs letter containing the VOE, EPY shall review its content and attend the dedicated meeting with CTR in order to review proposed variation evaluation and agree the way to proceed. Possible results of the meeting may be: 1. EPYs accept CTRs evaluation and consequently instruct CTR to proceed with VOP preparation. 2. EPYs requires clarification and/or revision of CTRs VOE. Upon receipt of the EPYs comment, CTR has fourteen (14) calendar days to submit revised VOE to EPY. 3. EPY instructs CTR to consider the VOI as never been given. Upon EPYs acceptance of VOE, CTR has twenty-one (21) calendar days to submit the detailed variation order proposal VOP to EPY. Again, the issuance of the VOP shall be followed, in three calendar days, by a dedicated variation order meeting, attended by both EPY and CTR, in order to review proposed variation proposal and agree the way to proceed. The VOP shall be issued by the CTR to EPY, including, at least, following data: Description of the variation; Reason of the Variation that shall be supported by a file that summarizes the documents relevant to the variation. Such documents shall highlight also the snowball effect of the variation; If applicable, the detailed back up dossier that describe the value added by the variation to the Plant; Effect of VOP in terms of SCOPE, man-hours, costs, schedule impacts (splitted in engineering, procurement, vendor, licensors and construction), contractual impacts plus payment terms. Cost benefits, if any, shared between CTR and EPY on the basis of mutual agreed percentage. Risks generated by the variation;
VOP format is in Attachment#4. Upon receipt of CTRs letter containing VOP, EPY shall review its content and attend the dedicated meeting with CTR in order to review proposed variation proposal and agree the way to proceed. Possible results of the meeting are: 1. EPY accept the CTRs proposal and signs off the relevant variation order.

2. EPYs requires clarification and/or revision of CTRs VOP. Upon receipt of the EPYs comments, CTR has fourteen (14) calendar days to submit revised VOP to EPY. 3. EPY instructs CTR to consider the VOI as never been given. Variation Order format is in Attachment#5. If the Parties fail to agree on the price of changes, the CTR must comply with the EPYs instructions and CTR may seek resolution through the mixed conciliation committee and if it fails, in extreme conditions, through arbitration as prescribed in PART II of the Contract. Until settlement of the dispute, payment to CTR shall be based on the EPYs assessment.
2.3
Variation Order Request (VOR)
Once CTR recognize that an activity related to WORKS already started and in progress does not comply with the scope of work and/or services as per the CONTRACT or CTR deem to add value to the Project proposing technical options, CTR shall be entitled to deem such an activity as a variation to the scope of work. Therefore, following the assessment of the implications of such an activity CTR may issue a VOR to EPY. In order to allow an easier understanding of the VOR work flow, the VOR data flow diagram is shown in Fig.2 here below:

After three calendar days from CTRs issue of the VOR, EPY and CTR shall attend a dedicated Variation Order meeting needed to assess CTRs request. The VOR issued, via letter, by CTR shall contain at least following data: Description of the Variation; Reason of the Variation supported by a file that summarizes the documents relevant to the variation. If applicable a preliminary back up dossier that shall include CTR technical options with highlighted advantages and disadvantages, in order to ease the EPY review and approval. Any other relevant information; Reference to EPY instruction that in the opinion of CTR caused the variation; Relevant attachments;
VOR format is in Attachment#3. Upon receipt of CTRs letter containing the VOR, EPY shall review its content and attend the dedicated meeting with CTR in order to review proposed variation request and agree the way to proceed. Possible results of the meeting may be: 1. EPY accept the CTRs request and consequently instruct CTR to proceed with VOP preparation. 2. EPYs requires clarification and/or revision of CTRs VOR. Upon receipt of the EPYs comment, CTR has fourteen (14) calendar days to submit revised VOR to EPY. 3. EPY rejects the VOR. In such a case CTR shall have the right to bring the issue to the attention of conciliation committee. Upon receipt of EPYs acceptance of VOR, CTR has twenty-one (21) calendar days to submit the detailed variation assessment VOP. The issuance of the VOP shall be followed, in three (3) calendar days, by a dedicated variation order meeting, attended by both EPY and CTR, in order to review proposed variation proposal and agree the way to proceed. The VOP shall be issued by the CTR to EPY, including, at least, following data: Description of the variation; Reason of the Variation that shall be supported by a file that summarizes the documents relevant to the variation. Such documents shall highlight also the snowball effect of the variation; If applicable, the detailed back up dossier that describe the value added by the variation to the Plant;

Upon receipt of CTRs letter containing VOP, EPY shall review its content and attend the dedicated meeting with CTR in order to review proposed variation proposal and agree the way to proceed. Possible results of the meeting may be: 1. EPY accept the CTRs proposal and signs off the relevant variation order. 2. EPYs requires clarification and/or revision of CTRs VOP. Upon receipt of the EPYs letter, CTR has fourteen (14) calendar days to submit revised VOP to EPY. Variation Order format is in Attachment#5. If the Parties fail to agree on the price of changes, CTR must comply with the EPYs instructions and CTR may seek resolution through the conciliation committee and if it fails, in extreme conditions, through arbitration as prescribed in PART II of the Contract. Until Settlement of the dispute, payment to the CTR shall be based on the EPYs assessment. Timing to coordinate VOR data flow described above is shown in Attachment#8.
2.4 Variation Order (VO)
On the basis of the documentation attached to support the approved VOP, CTR shall prepare the Variation Order which cover is in Attachment#5. In case of EPYs acceptance of the VOP, CTR will immediately submit the VO to the EPY, during the variation order meeting, in order to get the EPYs signature.
2.5 Cost of VOE, VOP and VO Preparation & Evaluation
In accordance to both the IPS-E-PR-260 & MOM-MGT-MOC-005, the CTR when submit the VOE to EPY shall indicate the cost incurred in preparing the VOE and separately the estimated cost necessary to cover the VOP preparation. Upon receipt of VOE the EPY may decide either: to instruct CTR to consider the VOI as never been given and then no VOE preparation costs shall be borne by the EPY and reimbursed to CTR; to approve the VOE and then to instruct CTR to proceed with VOP approving also the lump sum cost for Variation Order preparation.
The VOP submitted by CTR to EPY shall report the approved lump sum cost for preparation of the variation order. Even though the EPY based on submitted VOP decide not to proceed with formal VO the lump sum cost incurred by CTR to prepare the variation order shall be reimbursed to CTR.

VARIATION ORDER REGISTER The Variation Order register summarizes data relevant to VOI, VOE, VOR, VOP and VO. Such register shall be kept updated by CTR and submitted to EPY as part of the Monthly Progress Report and at each Variation Order meeting. The CTR shall submit to the EPY once in every month, an account giving particulars (as full and detailed as possible) of all claims for any additional expense to which the CTR may consider itself entitled and of all extra or additional work ordered by the EPY which has been executed during the preceding month. The Variations Order Register shall show: Subject of the Variation; VOI / VOR / VON number, where applicable; VOI / VOR / VON Date of Issue; Order of Magnitude Estimate, where applicable; VOP number; VOP number, Date and proposed lump sum price in EURO; VOP Status (approved, commented or rejected); VO number and Date. Status of VO (signed off, pending). Remarks VARIATION ORDER ESTIMATION Upon initiating the assessment of the impacts of a variation order, CTR shall consider three main area of variation: Engineering , Procurement and Management Services; Supply of Material; Construction WORKS;
The costs indicated in the VOP shall be broken down by CTR in accordance to the above areas. Afterwards, conversion of the Contract into the EPC LS price, EPY shall borne even the variation costs due to supply of material, construction and erection activities in accordance to the Open Book Procedure.
4.1 Engineering, Procurement and Management Services

CTR shall estimate and submit to the EPY the required man-hours and relevant costs to carry out the engineering, procurement and management works related to the variation order. The quantity of man-hours and other relevant costs shall be mutually agreed. The total cost of engineering, procurement and management shall be calculated based on estimated man hours by using the man-hour rates specified in Appendix#23 of the CONTRACT and submitted by CTR to EPY within commercial proposal, along VOP.
4.2 Supply of Material
For the cost estimate of material supply, reference shall be made to the OBE Procedure. Those costs shall be borne by EPY following the conversion of the Contract into the EPC LS price.
4.3 Construction Management
CTR shall estimate and submit to the EPY the required man-hours and relevant costs to carry out the Construction management works related to the variation order. The quantity of man-hours shall be mutually agreed. The total cost of Construction management shall be calculated based on estimated man hours by using the man-hour rates specified in Appendix#23 of the CONTRACT and submitted by CTR to EPY within commercial proposal, along VOP.
4.4 Construction Works
For the cost estimate of Construction Works, reference shall be made to the OBE Procedure. Those costs shall be borne by EPY following the conversion of the Contract into the EPC LS price.

VARIATION ORDER MEETINGS

Variation Order meetings shall be held on a biweekly basis. 1.2

The agenda of the Variation Order meetings includes: - identification of new Variations; - review the status of pending response/issue of VOI, VOE, VOR and/or VOP; - discussion and finalization into a VO of the outstanding VOPs; - review the Variation Order register; - resolving outstanding items; 1.3

Each single Variation Order Meeting shall be closed out by a Minute Of Meeting that shall record the discussions held and the agreements reached during the meeting.
INVOICING AND PAYMENT OF VARIATION ORDERS Variation Order shall be separately identified in the CTRs invoices presented to EPY. Once the Variation Order has been signed in two originals by EPY and CTR invoicing and payment of Variation Order shall be made on a monthly basis progressively, based on achieved progress of variation WORK(S), in compliance to the way of invoicing and payment agreed for the entire scope of work.
VARIATION ORDER COORDINATION Since the VOI and VOR documents are the two that initiate the variation order process, their numbering code shall be separately progressive, such as VOI-001, VOR-001. Given VOI & VOR numbers shall be kept by the following documents as VOE and VOP. Therefore the VOI-031 will be followed by the VOE-031 and by VOP-031; similarly the VOR. Since the VOP is the final document where both VOI and VOR life cycle converge, is preferable to assign to separate streams of numbers to VOIs and VORs: VOI numbers shall go from 0 to 500, while VOR numbers shall go from 500 to 999. Each time a VOI, VOR, VOE or VOP is issued via letter or reference is made to one of them, its number shall be reported in the subject of the communication in order to ease communication researches.
VARIATIONS EXCEEDING TWENTY FIVE PERCENT If the total value of all agreed Variation Orders exceeds 25% (increases or decreases calculated separately) of the Contract Price, the Contract Price shall be amended by such sum as agreed by the EPY and CTR, according to CONTRACT requirements.
