Terms of Reference

1. Background Kumudini Welfare Trust of Bengal Ltd. (KWTB), Bangladesh, owns approximately 46 acres of land in Narayanganj, on the bank of Sitalakhya River. They have shown interest in establishing an Inland Container Port on this land jointly with an Indian Partner having experience in setting and operating Inland Ports. Ministry of External Affairs (MEA) wants to undertake a techno-commercial feasibility study for this proposed project. MEA is therefore, inviting bids for submission of proposals for conducting Techno-Commercial Feasibility Study for Setting up an Inland Container Port Narayanganj, Bangladesh.

2. Scope of Work The objective of the study is to examine the need and prepare a Techno-Commercial Feasibility Report (TCFR) for setting up an inland container port at Narayanganj, Bangladesh. The project entails traffic study and financial appraisal and preparation of a detailed report to achieve the objective. Towards this, following scope of work has been identified: Part A Accumulation and Analysis of Data The consultants will be required to visit the proposed location in Narayanganj, Bangladesh. The objective of such visit shall be to conduct an assessment of the location, liaison with relevant governmental agencies to collect required information comprising of the catchment area, existing and forecast of the growth of the various production and consumption centres within the catchment area, other similar facilities in the vicinity (if any) etc. The various components of these elements should include but may not be limited to the following. 1. Location Assessment a. Regional dynamics b. Existing and upcoming industry clusters, Major production centres c. Existing and upcoming ICDs / CFSs d. SWOT analysis e. Distance matrix for the proposed facility f. Connectivity with ports particularly with reference to import / export traffic container traffic 2. Review of Industrial Clusters and Production Centres 2 g. Assessment of the catchment area (based on origin-destination analysis of

Primary Survey The consultants shall be required to conduct a road survey of the major entry / exit points of the identified catchment area to collect data on road throughput including details of commodities, containerised and containerizable commodity. The survey should be carried out at the relevant check posts around the catchment area. The survey shall help in understanding the inbound and outbound commodity-wise domestic business from the catchment area. 5. Data Analysis a. Identification of the catchment area b. Identification of major points of entry/exit of cargo from / to the catchment area c. Sector-wise growth potential over the next 15 to 20 years d. EXIM vs. Domestic growth potential over the next 15 to 20 years e. Projected storage capacity requirement considering growth in industrial centres f. Competitive assessment w.r.t. the logistics cost mode of transport g. Opportunity for transportation of cargo in barges through river and transit time vis--vis

Terms of Reference h. Opportunity for a new entrant to set up an lnland Container Port in the proposed location Part B Technical Plan for the Proposed Inland Container Port 1. Traffic Projections for the next 15 to 20 years The consultants shall develop models to project the total traffic handled in Bangladesh and the catchment area in particular. The future cargo traffic by commodity / sector should be projected. Also, the traffic that the proposed Inland Container Port would be able to cater to should be assessed. The various components of these elements should include but may not be limited to the following. a. (i). Assessment of containerizable traffic moving by road from India to Bangladesh and vice versa and percent of this traffic likely to shift to riverine route considering cost and transit time (ii). Assessment of traffic moving from Chittagong port to Dhaka area and percent of this traffic likely to shift to riverine route considering cost and transit time b. Assessment of commodity-wise cargo traffic by O-D considering the catchment area for the proposed location (Narayanganj) i. Destination Port-wise cargo traffic by commodities ii. Mix of mode of transportation from the catchment area to Destination Port iii. Export vs. Import cargo traffic from / to catchment area iv. Identify new cargo traffic to be generated because of future expansion in production centres in the catchment area v. Assessment of traffic that can be transported in containers by barge using riverine routes c. Assessment of traffic to be handled by the proposed Inland Container Port (on the land parcel of 40 acres in Narayanganj, Bangladesh) by commodities 2. Land Usage and Facility Plan Based on the traffic potential assessed to be catered by the proposed Inland Container Port, the total area should be apportioned at optimum level for various facilities required. Following is to be considered in this regard. a. Approximate area allocation for handling and stacking of containers, customs bonded warehouse area, storage area for warehousing requirement, paved area, repairing facility, dumping yard and administrative area b. Listing of components required to serve the proposed traffic to be catered 4

Rough schematic sketch of the proposed Inland Container Port Part C Commercial Feasibility of the proposed Inland Container Port considering the Technical Plan in Part B above The consultants will be required to assess the feasibility of the proposed Inland Container Port based on the initial total capital expenditure, ongoing capital expenditure and maintenance, various direct and indirect costs and the projected revenue for the next 15 to 20 years. The consultant may suggest a phase-wise implementation plan in view of the traffic projections that the proposed Inland Container Port will be able to cater to over the next 15 to 20 years. The various components of these elements should include but may not be limited to the following. 1. Determination of capital expenditure (CAPEX) a. Cost of Land As the land is already under possession of KWTB, KWTB will provide the actual land cost to be considered b. Cost of civil works for development of surface of Inland Container Port, paving, rail siding, office space, etc. c. Cost of Infrastructure cargo handling equipment (Top lifter, forklift, crane, truck / trailers, etc.), warehouse, fire fighting, lighting, electrical, IT infrastructure and other incidental costs. The consultants may suggest the model to procure equipment outright purchase or outsourcing 2. Revenue projections from the proposed Inland Container Port over the next 15 to 20 years a. Freight earned by transportation of containers b. Terminal handling charges for container traffic projected to be moved c. Income from CFS operation including Terminal Service Charges d. Warehousing income e. Revenue from Value added services f. Other revenue as identified during the course of assessment by the consultants 3. Associated direct and operational expenditure (OPEX) a. Cost of running rakes b. Terminal handling costs c. Manpower costs d. Depreciation e. Electricity expenses f. Government taxes, levies etc. 5

Terms of Reference g. Annual / periodical maintenance costs h. Other miscellaneous expenses 4. Assessment of project feasibility based on internal rate of return, payback period, etc. 5. Scenario Analysis The consultant will be required to conduct a sensitivity analysis of critical project feasibility parameters considering variation in traffic projections and / or capital expenditure requirements, and any other variable contingent upon the success of the project. 6. Assessment of Joint Venture models between CONCOR and KWTB and Recommendations by consultant. 3. Deliverables The consultant shall at the end of the study deliver the Final Techno-Commercial Feasibility Report including the technical and commercial assessment of the proposed Inland Container Port. The report should include the following: a. Traffic handling capacity b. Traffic to be catered c. Facility plan d. Capital expenditure e. Projected revenue with detailed assumptions f. Cost with detailed assumptions g. Comment on project feasibility h. Sensitivity analysis i. Recommendation on the JV model between KWTB and CONCOR 4. Timelines: The proposed study is to be completed within 14 weeks in phase-wise manner as listed below: Milestone Part A Deliverable Time period

Terms of Reference 5. SUBMISSION OF BIDS The consultancy work will be awarded to the selected agency for execution of all Parts A, B and C of the Scope of Work. The selection process will proceed in two stages technical and financial. Bid documents may therefore be submitted in two separate sealed envelopes marked Inland Container Port at Nrarayanganj Technical Bid and Inland Container Port at Narayanganj Financial Bid respectively. The two sealed covers should be put in a bigger cover which should also be sealed and duly superscribed. 5.1 The bidders shall submit the following documents along with the Technical

Bid (Cover-1) i. Full profile of the Company with details such as

composition/ownership/shareholding pattern, management structure, details of top management (Board members), key officials. ii. iii. iv. v. General organizational capability and resources including manpower, other resources etc. List of consultants customers in the last 7 years: List of consultancy services of comparable nature successfully completed during last 7 years and current commitments. Proof of similar works on hand and best 5 assignments of similar nature completed during past 7 years. [Similar works means providing consultancy services for preparation feasibility study reports for construction of Ports, river terminals, riverine structures, logistics hub etc.]. vi. Proof of financial strength of the bidder. [Attach Annual reports and audited financial statements for the last three years]. vii. viii. Any other proof/document considered relevant in the context of the proposed assignment. A brief write-up on the port likely to be proposed by the consultant with schematic diagram, indicative drawings of structures/infrastructure etc and layout. ix. A written undertaking that the representatives of the Consultant have visited the site of the proposed terminal before submission of bids and that they are familiar with the location and requirements of work. It is advised that such visit be undertaken prior to the pre-bid meeting. 5.2 The financial proposal which should be submitted in a separate envelope must clearly indicate the Consultancy fees of the total project cost. The fees should cover all direct and indirect costs related to implementation excluding service tax which is reimbursable 7

Terms of Reference as per the actual in India. The financial offer should be valid for 90 days from the date of receipt of bids. 5.3. The bid shall be evaluated as per the evaluation criteria indicated in instructions to

bidders (Annexure-I). 5.4. The tender document can also be downloaded from the following websites : www.mea.gov.in & www.eprocure.gov.in .A signed declaration stating that no alteration has been made in any form in the downloaded tender document is also to be enclosed with the tender. 5.5. A pre bid meeting will be organized at 11: 00 hrs. on 24.05.2013 at Conference Room, 23-D Janpath Jawaharlal Nehru Bhawan, New Delhi. Minutes of the pre-bid meeting shall form the part of the tender document. 5.6. Tender duly complete in all respects shall be submitted before 15.00 hrs. on 07.06.2013 in the office of Shri Prem K. Nair,Under Secretary DPA I, Room no. 3100,Jawahar Bhavan, 23 D,Janpath, New Delhi and shall be opened on same day at 15.30 hrs. in the presence of bidders representative who chose to be present. 5.7. In case the above scheduled dates are declared public holidays the tenders will be received and opened at the same time on next working day. 11. The tender shall be accompanied by Earnest Money Deposit (EMD) of Rs. 1,00,000/-) (Rupees one lakh only) in the form of Demand Draft of any nationalized/scheduled bank drawn in favour of Pay and Accounts Officer, Ministry of External Affairs payable at Delhi. The Earnest Money Deposit received by cheque or in the form of Bank Guarantee will not be accepted. Tender(s) not accompanied by EMD as mentioned above will not be considered. After the finalization of the award, EMD of the unsuccessful bidders will be returned. 5.8. The tenderer shall submit the tender satisfying every condition laid down in this notice and tender documents, failing which, the tender will be liable to be rejected. 5.9. The Ministry of External Affairs reserves the right to cancel the tender or reject the bid of any tenderer(s) without assigning any reason.

PAYMENT TERMS 10% of the total cost at the time of award of work on submission of Bank Guarantee valid for a period till submission of the final report. 30% on submission of draft report. 30% on submission of final report. 30% on acceptance of Final Report. 7. CONFIDENTIALITY AGREEMENT: The successful bidder (Bidder) will have to enter into a Confidentiality Agreement with MEA at the time of the study undertaken under which the Bidder will require to undertake: a) to use the Confidential Information solely for the purpose of the study report; b) to keep the Confidential Information in strict confidence; c) to keep confidential and not disclose to anyone the fact that the Confidential Information has been made available or the extent, nature or status of any discussions or negotiations which are taking place or have taken place between the Bidder or its Affiliates and MEA or its Affiliates in connection with the purpose to complete the study report; d) not, without the prior written consent of MEA, to disclose the Confidential Information furnished to it to anyone other than its Representatives who have a legitimate need to know the Confidential Information in order to perform their duties relating to the purpose to complete the study report; e) so far as is possible to keep separate all Confidential Information from all documents and other records of the Bidder. (Confidential Information means any and all data, reports, records, correspondence, notes, compilations, studies and other information disclosed directly or indirectly by MEA and/or its Affiliates or any of their Representatives, agents, or advisers to the Bidder or its Affiliates or any of their Representatives agents or advisers relating to or in any way connected with MEA or any Affiliate of MEA or any of their business activities actual or proposed including the study report to be carried by the Bidder whether such information is disclosed orally, in writing, in machine readable form or by any other means, regardless of whether such information is identified as confidential, and includes, without limitation, any information ascertainable by inspection by the Bidder or its Representatives.) The Agreement will be drafted by MEA and the successful Bidder 8. LIQUIDATED DAMAGES: Time is the essence of this contract. Therefore, MEA will be at liberty to levy Liquidated Damages @ 0.5% per day subject to maximum of 10% of the contract value. However, the provision of this clause would not be invoked where the delay is due to Force Majeure only in the event of time-overruns not attributable to consultant.

9. SETTLEMENT OF DISPUTES: 9.1 EMPLOYERS DECISION: (i) If a dispute of any kind whatsoever arises between the Employer and the Consultant in Connection with, or arising out of provision of assignment, whether during the execution of or after their completion including any dispute as to any opinion, instruction, determination, Certificate or valuation of either party, the matter in dispute shall, in the first place, be referred in writing to the other party. Such reference shall state that it is made pursuant to this clause. Not later than the 45th day after the day on which he received such reference, the receiving party shall give his findings and opinion in the matter of dispute to the other party. Such opinion shall state that it is made pursuant to this Clause. (ii) Unless the Contract has already been repudiated or terminated, the Consultant shall, in every case, continue to carry out the Assignment with all due diligence even while any such dispute is under consideration. (iii) Both parties shall make their best efforts to settle the matter amicably. In case of failure to settle the matter amicably, within 60 days from the day of receipt of reply from the other party, the aggrieved party shall give notice to the other party of his intention to commence arbitration, as hereinafter provided, as to the matter in dispute. (iv) Where notice of intention to commence arbitration as to a dispute has been given in accordance with Above Clause, the parties shall attempt to settle such dispute amicably before the commencement of arbitration. Provided that, unless the parties otherwise agree, arbitration may be commenced on or after the fifty-sixth day after the day on which notice of intention to commence arbitration of such dispute was given, even if no attempt at amicable settlement thereof has been made. 9.2 Arbitration 9.2.1 Any dispute in respect of which, amicable settlement has not been reached shall be referred for arbitration in the manner provided as under: (i) Either of the parties may give to the other notices in writing of the existence of such question dispute or difference as per above clause. (ii) Within thirty (30) days of receipt of such notice from either party. MEA at the time of such dispute shall send to the Consultant within fifteen (15) days the name of one of the person/persons and such a person shall then be appointed as sole arbitrator by the competent authority. However, the arbitration so appointed shall not be an officer or the employee of MEA. (iii) Provided that if the Consultant fails to communicate the selection of a name out of the persons/persons so forwarded to him by MEA then after the expiry of the aforesaid stipulated period, the competent authority shall without delay select one person and appoint him as the sole arbitrator. 10

9.2.2 The arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reason, then the competent authority shall appoint another person to act as sole arbitrator, such person shall be entitled to proceed with the reference from the stage at which it was left by the predecessor. 9.2.3 The award of the Arbitrator shall be final and binding. The Arbitrator shall decide in what proportion the Arbitrators fees, as well as the cost of Arbitration proceeding shall be borne by either party. 9.2.4 The Arbitrator with the consent of the parties can enlarge the time, from, time to- time to make and publish his award. 9.2.5 The Arbitrator shall give reasons for the award if the amount of claim in dispute is Rs. 75,000/- and above. 9.2.6 The Assignment under this Contract shall continue during Arbitration proceedings and no payments due from or payment by the Ministry of External Affairs shall be withheld on account of such proceedings except to the extent which may be in dispute. 9.2.7 The arbitration and conciliation Act 1996 with any statutory modifications or Reenactment thereof and the rules made there under and being in force shall apply to the Arbitration proceedings under this clause. 9.2.8 The parties to the agreement hereby undertake to have recourse only to arbitration proceedings under for Arbitration Act 1996 and the venue of the arbitration proceeding shall be New Delhi and the parties will not have recourse to Civil Court to settle any of their disputes arising out of this agreement except through arbitration. 9.3 Laws governing the Contract i) The laws of India shall govern this contract. ii) Irrespective of the place of Works, the place of performance or place of payment under the contract, the contract shall be deemed to have been made at the place from which the Letter of Acceptance has been issued. iii) Courts in Delhi shall alone have jurisdiction to decide any dispute arising out of or in respect of contract, but not settled through the dispute resolution provisions in the Contract. 10. Force Majeure 10.1 Definition (a) For the purposes of this Contract, Force Majeure means an exceptional event or circumstance which is beyond the reasonable control of a Party, is not foreseeable, is 11

Terms of Reference unavoidable and not brought about by or at the instance of the Party claiming to be affected by such events and which has caused the non-performance or delay in performance, and which makes a Partys performance of its obligations hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances, and includes, but is not limited to, war, riots, civil disorder, earthquake, fire, tsunami, explosion, storm, flood or other extreme adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or other industrial action are within the power of the Party invoking Force Majeure to prevent), confiscation or any other action by Government agencies. (b) Force Majeure shall not include (i) any event which is caused by the negligence or intentional action of a Party or by or of such Partys Sub-Consultants or agents or employees, nor (ii) any event which a diligent Party could reasonably have been expected both to take into account at the time of the conclusion of this Contract, and avoid or overcome in the carrying out of its obligations hereunder. 10.2. No Breach of Contract: The failure of a Party to fulfil any of its obligations hereunder shall not be considered to be a breach of, or default under, this Contract insofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, all with the objective of carrying out the terms and conditions of this Contract.

10.3 Measures to be taken: (a) A Party affected by an event of Force Majeure shall continue to perform its obligations under the Contract as far as is reasonably practical, and shall take all reasonable measures to minimize the consequences of any event of Force Majeure. (b) A Party affected by an event of Force Majeure shall notify the other Party of such event as soon as possible, and in any case not later than fourteen (14) days following the occurrence of such event, providing evidence of the nature and cause of such event, and shall similarly give written notice of the restoration of normal conditions as soon as possible. (c) Any period within which a Party shall, pursuant to this Contract, complete any action or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure. (d) During the period of their inability to perform the Services as a result of an event of Force Majeure, the Consultant, upon instructions by the Employer, shall either: (i) Demobilize; or (ii) Continue with the Services to the extent possible (e) In the case of disagreement between the Parties as to the existence or extent of Force Majeure, the matter shall be settled according to Clause on dispute resolution / Arbitration. 12

11. PERFORMANCE SECURITY The Consultant shall provide 10% of the agreed Consultancy fee as performance security for his proper performance of the Contract to the Employer within 15 days after the receipt of the Letter of Award. The performance security shall be in the form of a bank guarantee in prescribed form and shall be issued either by a Nationalised or Scheduled bank located in the country of the Employer. Bank guarantee shall cover entire duration of consultancy period (i.e. upto acceptance of Final Report by the Employer). Prior to making a claim under the performance security, the Employer shall, in every case, notify the Consultant stating the nature of the default in respect of which the claim is to be made together with the applicable provision in the Contract for the claim.

this Guarantee without any demur, merely on a demand from the Employer stating that the amount claimed is due by way of loss or damage caused to or would be caused to or suffered by the Employer by reason of breach by the said Contract or any of the terms or conditions contained in the said time frame or by reason of the Consultants failure to perform the said Agreement. Any such demand made on the Bank shall be conclusive as regards the amount due and payable by the Bank under this guarantee. However, our liability under this guarantee shall be restricted to an amount not exceeding Rs .. (Rupees.only). 3. We, (Bank) undertake to pay the Employer any money so demanded

notwithstanding any dispute or disputes raised by the Consultant in any suit or proceeding pending before any court or Tribunal relating thereto, liability under this present being absolute and unequivocal. The payment so made by us under this guarantee shall be valid discharge of our liability for payment there under and the 14

Terms of Reference Consultant shall have no claim against us for making such payment. 4. We, (Bank) further agree that the guarantee herein contained shall remain

in full force and effect till completion of project work to the complete satisfaction of the Employer in terms of conditions of contract and Letter of Acceptance and that it shall continue to be enforceable till all the dues of the Employer under or by virtue of the said Agreement have been fulfilled and its claim satisfied or till the scheduled date of completion of Works as per the Agreement. We(Bank) shall consider that the terms and conditions of the said Agreement have been fully and properly carried out by the said Consultant and accordingly discharge this Guarantee after defects liability period of one year from the date of completion of the said contract unless a demand or claim under this Guarantee is served by the Employer in writing on the bank but before the expiry of the said period in which case it shall be enforceable against the bank notwithstanding the fact that the same is enforced after the expiry of the said period or after the extended period as the case may be. 5. We (Bank) further agree with the Employer that the Employer shall have

fullest liberty without our consent and without affecting in any manner our obligations hereunder to vary any of the terms and conditions of the said Agreement or to extend time or performance by the said Consultant from time to time or to postpone for any time or from time to time any of the powers exercisable by the Employer against the said Consultant and to forbear or enforce any of the terms and conditions relating to the said Agreement and we shall not be relieved from our liability by reason of any such variation, or extension being granted to the said Consultant or for any forbearance, act or omission on the part of the Employer or any indulgence by the Employer to the said Consultant or by any such matter or thing whatsoever which under the law relating to sureties would, but for the provision, have effect of so relieving us. 6. It shall not be necessary for the Employer to proceed against the Consultant

before proceeding against the Bank and the guarantee herein contained shall be enforceable against the bank notwithstanding any security which the Employer may have obtained or obtain from the Consultant at the time when proceedings are taken against the bank hereunder be outstanding or unrealized.

Terms of Reference 7. Notwithstanding anything contained herein above our liability under the

guarantee is restricted to Rs.(Rupees.. only) and shall remain in force until . or otherwise until the extended date by the Employer. Unless a claim or suit under this guarantee is filed with us on or before or the extended date . ALL OUR RIGHTS UNDER THE GUARNTEE SHALL BE FORFEITED and the bank shall be relieved and discharged from all liabilities therein.

This Guarantee will not be discharged due to the change in the constitution

of the Bank or the Consultant. 9. We, (Bank) lastly undertake not to revoke this Guarantee during its currency

except with the previous consent of the Employer in writing.

The tender shall be evaluated by the Tender Evaluation Committee (TEC) constituted by the employer.

12.2

The employer shall consider the financial proposal only after analyzing and evaluating the Technical Proposals and finding the bidder fit/qualified for considering his financial proposal.

12.3

Evaluation of Technical Proposal:

The tender evaluation committee shall evaluate the

Technical Proposals on the basis of the merit of the consultant, their experience and exposure in the respective field, their responsiveness to the Terms of Reference and the schematic terminal plan, tentative diagrams and drawings as submitted by the consultant by applying the specified evaluation criteria as given in the Part-II, Data sheet. A proposal may be rejected if it is found deficient as per the requirement indicated in the tender document. Only responsive proposals shall be further taken up for evaluation. Evaluation of the technical proposal will start first and at this stage the financial bid (proposal) will remain unopened. The Ministry of External Affairs may request any / all bidders for furnishing clarifications on its technical proposal during the evaluation process. Such requests will be communicated in writing and the clarifications to be furnished thereon shall not lead to any changes in the financial offer. Method of selection of the Consultant considering Technical and Financial offers shall be as given in Part-II , Data Sheet. 12.5 Opening of financial proposals: Financial proposals of only those firms who are technically qualified shall be opened on 28.06.2013 at 1500 hrs. or in case of any change, a subsequent date with due prior intimation in the presence of the Consultants representatives who choose to attend. The name of the Consultants, their technical score and their financial proposal shall be read out. The TEC will correct any computational errors. When correcting computational errors, in case of discrepancy between a partial amount and the total amount, or between word and figures, the former will prevail. In addition to the above corrections, the items described in the Technical Proposal but not priced, shall be assumed to be included in the prices of other activities or items.

Evaluation of Technical and Financial proposals:


The Technical proposals and financial proposals shall be evaluated as mentioned in Data Sheet (Part-II of ITC). The Technical and financial proposals shall be given weightage of 70% and 30% for overall evaluation of the combined proposals. The evaluation mechanism has been explained in Data Sheet. (Part II of ITC).

The Consultant shall visit the site prior to bid submission. The consultant shall familiarize themselves about applicable costs, taxes etc. in Bangladesh required to carry out the assignment. The consultant shall state the cost / fee in Indian Rupees. The consultant must submit one original and one copy each of Technical and Financial proposals. Evaluation Criteria: sub-criteria, for evaluation of Technical Proposals (a) Team leader must score a minimum of 70 % marks. A Proposal may be rejected if the team leader scores less than 70 % marks. (c) Selection of Consultants on the basis of evaluation of Technical Proposals: Consultants whose Technical Proposals secure 70 points or more shall be short-listed for evaluation of their Financial Proposals. However, if the number of such pre-qualified consultants is less than two, the Employer may, in its sole discretion, pre-qualify the consultant whose technical score is more than 60 points, provided that in such an event, the total number of pre-qualified and short listed consultant shall not exceed two. Method of Selection: (a) Each Financial Proposal shall be assigned a financial score (SF). For financial evaluation, the total cost indicated in the Financial Proposal shall be considered. (b) The Evaluation Committee shall determine whether the Financial Proposals are complete, unqualified and un- conditional. The cost indicated in the Financial Proposal shall be deemed as final and reflecting the total cost of services. Omissions, if any, in costing any item shall not 20

Proposals will finally be ranked according to their combined technical score (ST) and financial score (SF) as follows: S = (ST) x TW + (SF) x FW

Where, TW and FW are weights assigned to technical and financial proposal that shall be 0.7 and 0.3 respectively. The successful Consultant shall be the Consultant having the highest combined score. The second highest consultant shall be kept in reserve and may be invited for negotiations in case the first-ranked Consultant withdraws or is not selected for any reason.
