LICENSE AGREEMENT THIS AGREEMENT made this 15th March 2013 BY 1. Mr.S/o ., aged about.. years, 2.Mrs.

.W/o aged about.. all the two are residing at Kolkata-700064 hereinafter collectively referred to as the LICENSORS (which expression shall unless excluded by or repugnant to the subject or context shall be deemed to mean and include their heirs, administrators, representatives and or assigns)of the ONE PART. AND 1.M/s CONSOLIDATED CONSTRUCTION CONSORTIUM LTD & 2.M/s CCCL SAM INDIA JV having a registered office at No 5, IInd Link Street, CIT Colony, Mylapore, Chennai-600004, Hereinafter referred to as the LICENSEE of the OTHER PART represented by Mr. PRADIP KUMAR MUKHERJEE Regional sector head. WHEREAS A. The Licensee herein is interested in taking on leave and license the Ground floor flat as premises No. 67 , CD Block Sector 1 Salt lake Kolkata 700 064) and the Licensors, co-owners of the Ground floor flat, which is more fully described in the schedule hereunder and has agreed to give on leave and license the Ground floor flat.

B. Along with the said flat the licensee has also promised to render maintenance services to the licensors in respect of the said flat. The Licensors have also provided the Licensee with

certain fittings and fixtures free of charges for the usage of Licensee. NOW THIS AGREEMENT WITNESSETH AND THE PARTIES HERETO AGREE AS FOLLOWS 1. The Licensors have agreed to permit the use by the Licensee of ALL THAT Ground floor flat as premises No. 67, CD Block, Sector 1, Salt lake Kolkata 700064) hereinafter referred to as the said FLAT and the LICENSEE has agreed to take on leave and License commencing from 15.03.2013 for business purpose only. 2. The Licensee has agreed to pay to the Licensors a sum of Rs.30,000- (Rupees Thirty thousand only) per month for a period of 36 (Thirty six) months with effect from the date of handover of the possession of the premises which shall be automatically renewed for another period of 36 (thirty six) months on the terms and condition set further in this agreement. The payment should be paid in the following manner, i. A sum of Rs.15,000/- (Rupees Fifteen thousand only) to be paid to Mr.. subject to applicable TDS. ii. A sum of Rs.15,000/-(Rupees Fifteen thousand only) to be paid to Mrs.. subject to applicable TDS towards occupational charges for the use and occupation of the said flat, and towards maintenance and service charges of the flat as well as common facilities. The Licensors acknowledge the receipt of an interest free Security Deposit of Rs.60,000/-(Rupees Sixty thousand only) paid by the Licensee vide. Cheque bearing No: dated ..drawn on Bank of Baroda Kolkata , which shall be returned by the Licensors to the Licensee at the expiry of the License period without any interest whatsoever. 3. In addition to the license fee the Licensee has also agreed to pay the Licensors electricity charges at the prevailing WBSEDC

rates in respect of the said flat as per the bills raised in respect of the said room. The Licensee shall pay electricity charges for the units used by him in respect of the said flat as per the bill raised by the WBSEDC for the said Flats. The licensors will arrange to provide a sub meter in the said flat so that electricity charges can be paid directly based on the meter readings. 4. The Licencee shall pay to the Licensors the said licensee fees/occupational charges within the 10h day of each English calendar month for which it is due. The said occupational charges shall be paid by cash/Draft//Cheque (local Cheques).The Licensors further agree that a receipt will be issued acknowledging the receipt of the cash/Draft/Cheque.
5. The Licensee shall not make any addition or alterations, repairs

or painting in the said rooms, structural or otherwise, in any form whatsoever. The Licensee shall however have the right to make Fixing of Air conditioners, fixing of electrical connections, Networking and phone connection for computer operation and official use. 6. The Licensee shall at no time and under no circumstances whatsoever alienate or part with possession of the said flat, to any individual, firm, company, or to any other person or family for any business or residential purposes whatsoever. 7. The Licensee shall upon the expiry of the period of license and / or sooner determination thereof delivery up vacant and peaceful possession of the said flat to the Licensors in as good a condition as it now stands, making an exception for normal wear and tear. 8. It is clearly understood that this arrangement shall not be construed as a tenancy or lease agreement or otherwise. This is intended to be a purely temporary arrangement, m e r e l y to allow the Licensee to use and occupy the said flat, but the Licensors shall have exclusive and juridical possession, full charge and control and free and unobstructed access over the said flat, at all times. The Licensors shall have the liberty to inspect the said flat at any time as and when required if the

situation does not warrant otherwise during business hours of the Licensee. 9. The Licensee shall use the said rooms solely for business purposes and shall not use the flat for any other purposes other than for which the license is granted. 10. The Licensee shall have entire responsibility for the maintenance of the said flat and! The Licensors shall have no responsibility to maintain the flat. The Licensee shall however have to take the prior permission of the Licensors to make any changes in the said flat minor or major. 11. The above said monthly licence fee amount of Rs.30,000/(Thirty thousand only) shall be increase by 15% after 36 (thirty six) months from the License fee commencement date. The increase of the license fee shall be calculated on the license fee amount last paid. 12. The licensee shall also not be responsible for any act of God like floods, fire or earthquake affecting the said flat. 13. The Licensee shall not cause any nuisance in the said premises and shall not disturb the neighbors and other occupants of the said premises. 14. If the Licensee damages the said flat in any manner whatsoever the Licensors shall have a right to deduct from the said security deposit such amount as the Licensors shall deem fit and proper. However the Licensee may at his expense repair the damages in which case no amount will be recoverable from the security deposit by the licensors. 15. The license can not store any dangerous or inflammable goods in the demise portion. 16. The Licensee has to make own arrangements for servicing viz clearing, sweeping, cleaning of the demised portion including passage and latrine.

17. Any taxes or charges imposed on the flat by any Government, corporation or any other authorities shall be borne by the Licensors. 18. The Licensee shall give 2 months prior written notice to the Licensors in case he is desirous of renewing the arrangement for further periods as provided in this agreement on the terms and conditions to be decided mutually by the parties. 19. The parties shall give three months prior written notice in case of termination of the Licensee. If the Licensee fails to give the said notice the Licensors shall have the right to deduct such amount from the security deposit as he may deem fit and proper. If the Licensors fails to give such prior notice, the Licensee shall have the right to proceed against the Licensors in accordance with law. 20. The Licensee shall not have the right to claim any tenancy rights or any other right of any other nature whatsoever in respect of the said flat. 21. The Licensors has given assurance to get TRADE Licence from competent authority and shall permit the Licensee to display suitable signboards which are required statutorily. NOW THIS INDENTURE WITNESSETH:

1. For the said services rendered the said Licensee shall pay a sum o f 30,000/- (Rupees Thirty thousand only) per month as occupational charges for the use and occupation of the said flat, and towards maintenance and services charges of the rooms as well as common facilities. 2. The Licensee shall keep the said fittings and fixtures in good condition and shall return the same at the expiry of the License period.
