Ingles 8) MATERIAL ACCEPTANCE AND TESTING Bilfinger Water Technologies S.r.l.

acknowledges only the weight and the quantity of material verified on the arrival. In case the quantity exceeds the ordered one it can be returned to the Supplier, to whom the transport expenses will be changed. The simple delivery or the payment of the Products does not imply in any case the acceptance of the same, which are always received unless following check. The verification of the conditions and quality of the material will be carried out exclusively by Bilfinger Water Technologies S.r.l. testing department, and the material that is not accepted will be returned to the Supplier by the carriage forward. The scrap of the supply matrials (material for manufacturing) will be debited likewise. Any possible repair of the material kept for urgency reasons, will be previously signalled and debited. The scrap shall be replenished by 30 days from the first delivery date. At fault Bilinger Water Technologies S.r.l. will have the right to suspend the relevant payment, updating the effect of the time-limits from the delivery of the material considered suitable trough our testing.

9) GUARANTEE The Supplier shall guarantee the Products included in the present order and Contract exempt from defects and faults of material, manufacturing and functioning for twelve months from the commissioning, and in any case not over eighteen moths from the date of effective delivery, or for the longest term arranged by the parties or "ex lege". During such period the Supplier shall have to repair and/or replace, at its our care and expenses, all the parties that for any reason may turn out as defective or in any case not in compliance with the requirements. The guarantee period, for the repaired and/or replaced parts renewed from their commissioning. The Supplier, shall intervene promptly, without any delay, in case it is required by Bilfinger Water Technologies S.r.l. at the premises of thus last or of the end user, for the repair or substitution interventions that may be neccesary, bearing in full all the related costs. The civil and criminal responsibility that may derive from any infraction or breaking of the law weigh down exclusively on the Supplier, that has to keep Bilfinger Water Technologies S.r.l. as unhurt from any compensating or indemnifying consequence deriving from such violations, as well as to pay Bilfinger Water Technologies S.r.l. any amount that this last may have to pay

as a sanction or penalty. In any case Bilfinger Water Technologies S.r.l. has the right to pay the a.m su advance, deducting them from the amounts due to the Supplier. The Supplier shall also compensate any direct or indirect damage (including, but not limited at damages of missed manufacturing, stops, penalties, damages to public image or of commercial kind) that Bilfinger Water Technologies S.r.l. or the end user may be subjected to: in case of faults, nonconformity, missed compliance with the contractual specifications and, in any case, if the products do not conform to what has beem arranged or to the foreseen employment. In case Bilfinger Water Technologies S.r.l. taken to court for whatever title (including the case of "product liability") or is contested for the breaking or law prescriptions as a consequence of the defectiveness, nonconformity or non-reliability of the supplied Products, the Supplier will be compelled to keep Bilfinger Water Technologies S.r.l. unhurt and to compensate any damage to which Bilfinger Water Technologies S.r.l. may be subjected, including the direct and indirect damages, as well as the ones caused to Bilfinger Water Technologies S.r.l. public image. In case Bilfinger Water Technologies S.r.l. has to necessary to proceed to a campaign of return from the market of the products because of manufacturing defects, the Supplier shall hace to keep Bilfinger Water Technologies S.r.l. integrally unhurt for the a.m. costs. The Supplier has to provide itself the suitable coverage in relation to the a.m. damages and risks. 10) DELIVERY TERMS The delivery terms shall always be seen as fundamental and peremptory and, therefore, no extension is allowed whitout a preventive written authorization of Bilfinger Water Technologies S.r.l.. In case of a delay of the Supplier not deriving from documented circumstances beyond its control, Bilfinger Water Technologies S.r.l. will have the right of cancel the present order and rescind the contract, keeping the right to act for the attainment of the damage. 11) GOODS TRANSPORT AND INCOTERMS The packing shall be suitable to the supplied material and to the foreseen means of transport, consequently all the damages due to defect of the packing will be charged to the Supplier even if the foreseen incoterm is free on board. The delivery if the products takes place, unless explicit instruction to the contrary, at Bilfinger Water Technologies S.r.l. and the transfer of any risk, that may be connected with the execution of the contract, occurs at the moment of the delivery of the products. The Supplier is responsible for the missed or incorrect carrying out of the transport by the carner or the forwarding agent, for the total or partial loss or the fault of the products during the same transport, for the non-observance or incorrect execution of the specific instruction given by Bilfinger Water Technologies S.r.l..

12) UNFORESEEABLE CIRCUMSTANCE In case the execution of the order and/or of the Contract is stopped because of grounded unforeseeable circumstances, the delivery terms are meant as extended and the new term shall be agreed by the parties with relation to the impediment on condition that the Supplier has promptly informed Bilfinger Water Technologies S.r.l. per fax and registered letter with acknowledgement of receipt about the arising of the unforeseeable circumstance and has taken all the necessary measures for limiting its effects. The unforeseeable circumstance shall not be appealed to if it arises after the expiry of the agreed delivery date. the delay of the sup-suppliers will not be considered as force majeure in any case.

13) SECRECY AND CONFIDENTIALITY The conditions and terms of the present order and/or of the contract are strictly confidential and they cannot be disclosed to third parties. The Seller commits itself not to publicize the business relations with Bilfinger Water Technologies S.r.l. and to handle as confidential all the technical, commercial or other kind of information that have come to its knowledge with relation to or in connection with the execution of the order and for with the fulfilment of the contract. 14) DISPUTES For any dispute that may arise from the execution of the present order and/or from the Contract, the exclusive competence and jurisdiction of the Court of Ravenna, with express exclusion of any other alternative place of jurisdiction.

15) PROHIBITION OF ASSIGNMENT OF CREDIT The credit deriving from the present order and/or from the Contract cannot be subjected to assignment to third parties or to delegation in any kind of form. The Supplier can appeal the sub-suppliers only after receiving a written authorization from Bilfinger Water Technologies S.r.l.

ESPAOL 8) ACEPTACIN DE MATERIALES Y PRUEBAS Bilfinger Tecnologas del Agua S.r.l. reconoce slo el peso y la cantidad de material verificado en la llegada. En caso de que la cantidad excede el pedido puede ser devuelta al Proveedor, a la que se modificarn los gastos de transporte. La simple entrega o el pago de los productos no implica en ningn caso la aceptacin de la misma, que siempre se reciben menos despus de cheque. La verificacin de las condiciones y la calidad del material se llevar a cabo exclusivamente por Bilfinger Tecnologas del Agua Srl departamento de pruebas, y el material que no es aceptada se devolvern al Proveedor por el carro hacia adelante. La chatarra de los matrials suministro (material para la fabricacin) se deducir del mismo modo. Cualquier posible reparacin del material conserva por razones de urgencia, se seal previamente y adeudado. La chatarra ser repuesta por 30 das a partir de la primera fecha de entrega. En falta Bilinger Tecnologas del Agua S.r.l. tendr el derecho de suspender el pago correspondiente, la actualizacin de los efectos de los plazos de la entrega del material que se considere adecuado a travs de nuestras pruebas.

9) GARANTIZAR El Proveedor deber garantizar los productos incluidos en la presente orden y contrato exento de defectos y fallas de materiales, fabricacin y funcionamiento durante doce meses a partir de la puesta en servicio, y en todo

caso no ms de dieciocho meses desde su fecha de entrega efectiva, o para el ms largo plazo dispuesto por las partes o "ex lege". Durante dicho perodo, el proveedor tendr que reparar y / o reemplazar, a su atencin nuestra y gastos, todos los partidos que por ningn motivo puede resultar defectuosa o en todo caso que no cumpla con los requisitos. El periodo de garanta, las piezas reparadas y / o reemplazadas renovados desde su puesta en marcha. El Proveedor, deber intervenir con rapidez, sin demora, en caso de que sea requerido por Bilfinger Water Technologies Srl en las instalaciones de lo pasado o del usuario final, por las intervenciones de reparacin o de sustitucin que pueden ser NECESARIO, teniendo en completo todos los costes relacionados. La responsabilidad civil y penal que pudiera derivarse de cualquier infraccin o ruptura de la ley pesan exclusivamente en el proveedor, que tiene que tener Bilfinger Water Technologies Srl como indemne de cualquier compensacin o para resarcir consecuencia que se desprende de tales violacines, as como para pagar Bilfinger Water Technologies Srl cualquier cantidad que este ltimo puede tener que pagar una sancin o pena. En cualquier caso Bilfinger Water Technologies S.r.l. tiene derecho a abonar el anticipo am su, su deduccin de las cantidades adeudadas al Proveedor. El Proveedor tambin deber indemnizar los daos directos o indirectos (incluyendo, pero no limitado a daos de fabricacin perdido, paradas, multas, daos a la imagen pblica o de tipo comercial) que Bilfinger Tecnologas del Agua Srl o el usuario final podr ser sometido a: en caso de fallos, no conformidad, se perdi el cumplimiento de las especificaciones contractuales y, en cualquier caso, si los productos no se ajustan a lo que ha dispuesto Beem o al empleo previsto. En caso Bilfinger Water Technologies S.r.l. llevado a los tribunales por cualquier ttulo (incluyendo el caso de la "responsabilidad del producto") o se impugna por la ruptura o la ley recetas como consecuencia de la deficiencia, falta de conformidad o falta de fiabilidad de los productos suministrados, el proveedor se ver obligado a mantener Bilfinger Tecnologas del Agua Srl indemne e indemnizar los daos a los que Bilfinger Tecnologas del Agua Srl pueden ser objeto, incluidos los daos directos e indirectos, as como los provocados a Bilfinger Tecnologas del Agua Srl imagen pblica. En caso Bilfinger Water Technologies S.r.l. tiene que proceder a una campaa de retorno del mercado de los productos debido a defectos de fabricacin, el Proveedor HACE mantener Bilfinger Tecnologas del Agua Srl integralmente ilesos por los costos a.m.. El proveedor tiene que dotarse de la cobertura adecuada en relacin con los am daos y riesgos. 10) PLAZO DE ENTREGA Los plazos de entrega sern siempre considerados como fundamentales y perentorio y, por lo tanto, no se permite la extensin debe de existir una

autorizacin preventiva escrita de Bilfinger Tecnologas del Agua Srl. En caso de retraso del Proveedor no se deriva de las circunstancias documentadas ms all de su control, Bilfinger Tecnologas del Agua Srl tendr el derecho de cancelar la orden actual y rescindir el contrato, manteniendo el derecho de actuar para la consecucin de los daos. 11) TRANSPORTE DE MERCANCAS Y INCOTERMS El embalaje deber ser adecuado para el material suministrado y para los medios de transporte previstos, por consiguiente, todos los daos debidos a un defecto del embalaje debern pagar a los proveedores, incluso si el incoterm previsto es libre a bordo. La entrega si los productos se lleva a cabo, a menos que la instruccin explcita en contrario, a Bilfinger Tecnologas del Agua Srl y la transferencia de cualquier riesgo, que puede estar conectado con la ejecucin del contrato, se produce en el momento de la entrega de los productos. El Proveedor es responsable de la perdida o incorrecta ejecucin del transporte por el Carner o la agencia de transportes, por la prdida total o parcial o por culpa de los productos durante el mismo transporte, por la inobservancia o incorrecta ejecucin de la especfica instruccin dada por Bilfinger Tecnologas del Agua Srl. 12) CIRCUNSTANCIAS IMPREVISIBLES En caso de que la ejecucin de la orden y / o del Contrato se detiene debido a circunstancias imprevisibles a tierra, las condiciones de entrega se entiende como extendida y el nuevo trmino se acordado por las partes en relacin con el impedimento siempre que el proveedor tiene prontitud informada Bilfinger Water Technologies Srl por fax y correo certificado con acuse de recibo por la aparicin de las circunstancias imprevisibles y ha tomado todas las medidas necesarias para limitar sus efectos. El caso fortuito no se apel a si se presenta despus de la expiracin de la fecha de entrega acordada. El retraso de los proveedores de apoyo no se considerar como fuerza mayor en ningn caso.

13) SECRETOS Y CONFIABILIDAD Las condiciones y trminos de la presente orden y / o del contrato son estrictamente confidenciales y no podrn ser divulgados a terceros. El vendedor se compromete a no dar a conocer las relaciones de negocios con Bilfinger Water Technologies Srl y manejar de manera confidencial toda la clase tcnica, comercial o de otro tipo de informacin que han llegado a su conocimiento con relacin a, o en relacin con la ejecucin de la orden y con el cumplimiento del contrato.

14) LITIGIOS Para cualquier controversia que pudiera derivarse de la ejecucin de la presente orden y / o en el contrato, la jurisdiccin y competencia exclusiva del Tribunal de Ravenna, con expresa exclusin de cualquier otro lugar alternativo de la jurisdiccin.

15) PROHIBICIN DE CESIN DE CRDITO El crdito derivado de la presente orden y / o desde el contrato no se puede someter a la asignacin a terceros ni a la delegacin en cualquier tipo de formulario. El proveedor puede apelar los sub-proveedores slo despus de recibir una autorizacin por escrito de Bilfinger Tecnologas del Agua Srl
