ANNEXURE

Annex-A: SCOPE OF WORK for 5 KVA Mobile Genets’


O&M and 122 nodes standby power supply backup in
(Defence, Clifton, PECHS, GSN, Saddar) Karachi.

1 PREREQUISITES

There are some prerequisites which CONTRACTOR must follow. These


prerequisites are related to team formation, test gear, minimum inventory
level of fuel node locations familiarity. Comprehensive prerequisites are
outlined in ANNEX-G.

1.1 Team Formation

CONTRACTOR teams must be stationed at predefined locations along the


COMPANY’s nodes locations and will not leave locations or relocate without
prior approval of COMPANY’s designated representative.

CONTRACTOR will match the regional management hierarchy of COMPANY


and CONTRACTOR team will comprise of at least one team leader / Genset
operator expert, four labor and . Actual team members will be formulated as
per Annex-G.

COMPANY may assess the professional and technical expertise of the


CONTRACTOR Project team through on field test. If found unsatisfactory
COMPANY may request the CONTRACTOR to replace such personnel’s from
the team within fifteen working days. Failure to which may result in penalty
to the CONTRACTOR as per Annex-H.

CONTRACTOR’s team will be equipped with all test and measure instruments
in good working condition which may or may not be required to locate,
analyze and rectify any Genset related fault in field. Further, the
CONTRACTOR will be responsible at its own cost to maintain instruments and
spares at all times in good working condition. This also includes replacement
of such spares. CONTRACTOR will have one set of such spares for Genset as
backup in his HQ. If incase field equipment gets faulty then that can be
replaced by the backup equipment.

Minimum requirements as per the scope of work detailed in this contact


regarding the team formation, and spares are highlighted in ANNEX-G.
2 HELPDESK FACILITY

CONTRACTOR will make Helpdesk facility available during the coverage


hours (24 / 7) at a central location which will also include a Landline number
on which initial faults could be reported. Access should also be possible
through Cell No. and/or E-mail. All faults will initially be escalated on this
helpdesk.

3 NODE BACK UP POWER THROUGH MOBILE GENSET.

1.2 This includes power back up services through mobile genset which are
to be executed based on the alarms escalated by the COMPANY. In such
cases, connectivity will be down and system may or may not be running
on battery backup and service availability of the network may be
affected. These services would be executed under an emergency
condition so all power failure escalated under this should be rectified on
immediate basis. Following activities would be carried out for
emergency power back up through mobile genets’.

1.2.1 To carry out this task, CONTRACTOR has to reach at the (node) site as
identified by the COMPANY’s engineer with gensetand required
equipment. Time lines for restoration of node can be extended for
multiple locations depending on KESC outage and it will be mutually
agreed between the COMPANY and CONTRACTOR regional managers.

1.2.2 For this purpose genset operator crew availability with the
CONTRACTOR “on site team” is a must so that the down nodes are
restored in the defined and agreed timelines.

1.2.3 During any emergency restoration of node through mobile genset till
KESC power restored contractor will depute one person at site.

4 REPORTS AND MEETINGS

In order to organize all the activities in the network CONTRACTOR will


provide periodic reports as per COMPANY requirements.
1.3 Reports

In all power back up activity CONTRACTOR will submit genset running report
to Company area team leader weekly.

• Complete activity
• Total nodes back up in that week
• Per node weekly back up in time.
• Used BOQ items if any and fuel consumption details shall be verified by
Company designated official.

Weekly reports format will be as per COMPANY specification.

1.4 Monthly Reports

CONTRACTOR will submit its monthly report in the first week of every month
to COMPANY respective Regional Manger.

CONTRACTOR will cover all the activities carried out in a month in the
monthly report will include the following (but not limit to):

Regional Reports
• Total nodes power up in previous month.
• Node wise mobile genset power back time in previous month.
• Fuel consumption of previous month.
• Genset over hauling, tuning, oil change,filter change Etc, against each
genset.
• Used spares for Genset to keep in running status as per agreed BOQ list.

Monthly report format will be as per COMPANY specification.

1.5 Quarterly Reports

On Quarterly basis CONTRACTOR will share Performance/Technical report


with COMPANY. Quarterly report will be submitted in the first week of next
quarter. The data will work as baseline working for manipulation to bring the
nodes power up in acceptable time lines. Quarterly report format will be as
per COMPANY specification.

Following quarterly test reports will be submitted:

• Total nodes power up in previous month.
• Node wise mobile genset power back time in previous month.
• Fuel consumption of previous month.
• Genset over hauling, tuning, oil change,filter change Etc, against each
genset.
• Used spares for Genset to keep in running status as per agreed BOQ list.

1.6 Review Meetings

Monthly review meeting will be held in between CONTRACTOR Regional


Manager and COMPANY Regional Manager in which all issues will be
discussed on regional basis. Also incase in emergency, meeting can be called
by COMPANY regional manager/Head office to discuss the future strategy for
improvement in power back up handling scenarios etc.

Annual and Quarterly meetings will held in between CONTRACTOR and


COMPANY management in which all issues will be discussed.

Review meetings will be held at COMPANY or CONTRACTOR head quarters to


discuss the performance of CONTRACTOR in the first week quarter. This
meeting will be chaired by the COMPANY management.
ANNEX-B: Rectification Timelines:
During the execution of this Contract, CONTRACTOR shall follow the power
back up time lines during KESC outage to restore the nodes. Any delays in
agreed time lines to power the nodes through mobile gensets CONTRACTOR
shall be liable for penalties as mentioned in the Annex-H. The use of any
subcontractor shall not relieve CONTRACTOR of any of its obligations
hereunder. Following are the timelines under which CONTRACTOR will be
executing its responsibilities otherwise it will be liable for a penalty failing to
provide such services.

Additional Factors:

1) Both parties shall make all reasonable efforts to reduce to a minimum and
mitigate the effect of any delay occasioned by event of Force Majeure.
2) Other than as stated above any amendments, variations or additions to
this Agreement and / or any Schedule(s) shall be made in writing by
COMPANY and signed by both the parties.

ANNEX-C: (Goods to be covered by this contract)
The following is a list of the items which are defined as GOODS, covered by
this CONTRACT.
ANNEX-D:
For the Services outlined in ANNEX-A, the BOQ to COMPANY is as follows:
ANNEX-E: Payment & Taxes
All payments by COMPANY to CONTRACTOR shall be made in Pak Rs through
crossed Cheque or Bank Transfer of a scheduled bank of Pakistan in favor of
CONTRACTOR.
COMPANY Shall Pay Price as per below terms

A) Agreed BOQ prices. Annexture D.


B). Fuel as per consumption Annexture D.
C) 20% advance of monthly rental in 45 days after contract signing.
D) Quarterly advance payment of rental after deploying required teams with
all necessary tools as mention above.
E) For payments below mention documents shall be attached with invoices.
• Copy of NTN certificate.
• Copy of GST certificate.
• Exemption from at source deduction of Tax
Taxes

1. CONTRACTOR will be treated as a resident for tax purposes in Pakistan.

2. Payment for Fuel rendered by CONTRACTOR will be subject to withholding


tax rate of 6%. In case CONTRACTOR fails to provide its NTN to COMPANY
the withholding tax rate would be 8%.

3. Spares provided by CONTRACTOR would be subject to withholding tax rate


of 3.5%. In case CONTRACTOR fails to provide its NTN to COMPANY the
withholding tax rate would be 5.5%.

4. In case CONTRACTOR provides an exemption certificate for either services


of sale of goods, then no withholding will be required.

For any new section, CONTRACTOR can charge maintenance amount against
it only after providing agreed HR and tools.
ANNEX-G: (Rectification teams formation, test gear and tools.)
This is non exhaustive list of items and it can be changed by mutual
agreement between both Parties.
