MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (Agreement) is made by and among the AK-CHIN INDIAN COMMUNITY (the Community),

MARICOPA UNIFIED SCHOOL DISTRICT #20 (MUSD) and the CITY OF MARICOPA, (the City), (collectively called the Parties). WHEREAS each of the Parties hereto is authorized to enter into this Agreement by A.R.S. 11 -951 et seq.; WHEREAS MUSD is the public school district that serves students (Pre-school through Grade 12) residing within the City and in the surrounding areas, including students who reside within the Communitys reservation; and WHEREAS, MUSD has a need for additional funding to support its educational programs; WHEREAS, the Community and MUSD share a common goal for the education of MUSD students and agree that it is in their mutual best interest to work together to benefit the community through communication, collaboration, and sharing; and WHEREAS, the Community desires to provide MUSD with tribal funding to assist MUSD with its unmet financial needs. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Community hereby agrees to make a Grant to MUSD and MUSD agrees to accept said Grant, with the City acting as Fiscal Agent, as set forth below. 1. Content of Agreement. The Parties agreement shall consist of this Agreement and its attached and incorporated Exhibit A (MUSD Academic Success Project - Scope of Work) (the Project or Scope of Work), Exhibit B (MUSD Grant Budget), and the Resolution or other document evidencing that the City of Maricopa has agreed to act as Fiscal Agent for this Agreement (collectively called the Agreement). Term. The term of this Agreement (Term) shall be for a period of approximately two (2) years, commencing upon execution by the Parties and ending on June 30, 2015, unless sooner terminated by the Parties. Scope of Work. MUSD shall be responsible for managing the Grant funding provided by the Community for the Project and shall use the Grant as detailed in Exhibits A and B to this Agreement. Beyond acting as the Fiscal Agent and accepting the Grant funding on behalf of MUSD and subsequently distributing the funding as detailed in this Agreement, the City assumes no responsibility for participating in the Project or financially supporting MUSD through this Agreement. Amount and Authorized Uses of Grant Funds. 4.1 In consideration of the various obligations undertaken by MUSD and the City pursuant to this Agreement, the Community agrees to provide MUSD with a Grant in the amount of TWO MILLION, SIX HUNDRED THOUSAND DOLLARS 1 of 15

($2,600,000.00), the funding for which shall be accepted by the City on behalf of MUSD. 4.2 MUSD shall use the Grant exclusively to support the Project. MUSD shall be responsible for monitoring and ensuring that the funding is used for only those purposes indicated in Exhibit A and complying with the related terms and conditions of this Agreement. The City may impose any additional fiscal monitoring and oversight measures it determines prudent, provided that such measures do not deter or prevent MUSD from fulfilling the purposes of the Project. The Grant made under this Agreement has been awarded in reliance upon MUSDs representations that the Grant will be used as set forth in Exhibit A. Any material change in the use of Grant funds must be presented to the Community for written approval, which may be given in the form of a Community Resolution and without requiring further written amendment of this Agreement. MUSD and the City shall notify the Community in writing if the relationship between MUSD and the City changes in such a manner that the City is no longer willing to collaborate with MUSD and act as a fiscal agent for MUSD or if the City has reason to believe that MUSD is mismanaging the funds provided under this Agreement. The Community reserves the right to terminate this Agreement, pursuant to Paragraph 9 of this Agreement if either MUSD or the City fails to fulfill its respective obligations under this Agreement or if the Project changes in a material way. Any personal property purchased with this Grant shall be taken in the name of MUSD. However, if MUSD fails to fulfill its obligations under this Agreement during the Term of the Agreement, title to such property shall, in the Communitys sole discretion, be transferred to the Community. At the conclusion of the Term, the Community shall not retain any rights or interests in any property purchased with this Grant. Unless otherwise stipulated in writing, this Grant is made with the understanding that the Community has no other obligation to provide MUSD or the City with other funding or support in addition to the amount granted in Section 4.1. Disbursement of Grant. 5.1 Upon the Communitys receipt of a fully executed copy of this Agreement, the Community will arrange to issue to the City the Grant funding in the amount set forth in Section 4.1, pursuant to the following schedule: a. b. c. d. $650,000.00 upon execution of this Agreement $650,000.00 on or before December 31, 2013 $650,000.00 on or before June 30, 2014 $650,000.00 on or before December 31, 2014

The Grant funding shall be sent by certified mail, FedEx or other express mail service to the City, at the address provided in Section 16 below. In the alternative, MUSD may arrange in advance to pick up the Grant funding in-person. Upon receipt of the Grant funding, the City shall follow its own internal administration and processing policies to accept and account for the funding. The City shall not charge the Community any administration, management, or other fee for acting as the fiscal agent; however, the City may retain all interest earned on the Grant funding while such funds are held for MUSD. The City shall disburse the funding to MUSD in four (4) equal payments, within seven (7) days from the date the City receives the funding from the Community. If the City determines there is a need to deviate from the disbursement schedule, the City must obtain written approval for such deviation from the Community Council prior to making any changes and such approval shall not unreasonably be withheld. MUSD shall return all Grant funding to the Community that is not expended by the end of the Term of this Agreement. The Citys Representations, Warranties and Specific Obligations.

By executing this Agreement, the City represents and warrants that: 6.1.1 All resolutions or other formalities necessary to authorize the execution and delivery of this Agreement by the person executing this Agreement on behalf of the City have been fully adopted, passed, or enacted by the Citys governing body. This Agreement is valid and legally binding upon the City, and has been executed and delivered by the City in a manner and form as to comply with all applicable laws or organizational documents of the City. Except as allowed in Section 5.3, the City shall not assess any fee, tax, or other charge upon the Community in relation to this Agreement or any administrative or management obligation arising hereunder. The City shall comply with the disbursement schedule established in Section 5.1 above and will notify the Community immediately of any change to the disbursement schedule and reasons therefor. The City acknowledges that nothing contained in this Agreement, nor any act of the Community, the City, or MUSD, shall be deemed or construed to create any principal and agency, partnership, joint venture, or other similar association or relationship between the Community and the City or the City and MUSD. The City shall comply with all applicable federal, state and local laws in carrying out its obligations under this Agreement. 3 of 15

The City acknowledges that nothing contained in this Agreement, nor any act of the Community, the City, or MUSD, will be deemed or construed to create any principal and agency, partnership, joint venture, or other similar association or relationship between the Community and the City. Grantees Representations, Warranties and Specific Obligations.

7. 7.1

By executing this Agreement, MUSD represents and warrants that: 7.1.1 This Agreement is valid and legally binding upon MUSD, and has been executed and delivered by MUSD in such manner and form as to comply with all applicable laws or organizational documents of MUSD. There is no action, proceeding, or investigation (whether legal or otherwise) now pending, nor any basis therefore, known or believed to exist by MUSD, that: (a) raises questions regarding the legal authority of MUSD or its officers ability to enter into this Agreement and validly execute this Agreement; or (b) is likely to result in any material adverse change in the authorities, properties, assets, liabilities, or conditions (financial or otherwise) of MUSD which would materially and substantially impair MUSDs ability to manage funding or to perform any of the obligations imposed upon MUSD by this Agreement. The representations, statements, and other matters contained in this Agreement and Exhibit A are true and complete and are not misleading in any material respect. MUSD is aware of no change that would require any modification to the Project as of the date of execution of this Agreement. MUSD shall immediately notify the Community of any change to the Project. Nothing contained in this Agreement, nor any act of the Community, the City, or MUSD, shall be deemed or construed to create any principal and agency, partnership, or joint venture, or other similar association or relationship between the Community and MUSD. MUSD shall comply with all applicable federal, state and local laws in carrying out its obligations under this Agreement. MUSD will use Grant funds for costs actually incurred or to be incurred in fulfillment of the obligations agreed to in this Agreement. The Grant funds requested by MUSD do not duplicate a payment or reimbursement of costs and services received from any other source.

Defaults and Remedies. MUSD shall be considered in default if MUSD: (a) uses Grant funds for any purpose other than activities related to the Project; or (b) fails to perform its obligations agreed to in or imposed by this Agreement. 4 of 15

8.2

The City shall be considered in default if it fails to distribute the funding held for MUSD in accordance with the schedule set forth in paragraph 5.3 of this Agreement. If the Community has reason to believe that there has been a default on any obligations under this Agreement, the Community may issue a Notice of Default (Default Notice). No later than fifteen (15) days after receipt of the Default Notice, the allegedly defaulting party shall deliver to the Community: (a) all reports, records, and accountings necessary to provide the Community with the current status of the Project, including MUSDs use of the Grant funding or the Citys distribution of the Grant funding; and (b) any other information that the defaulting party determines is necessary to respond to and refute the allegation of default. If the Community determines that there has been a default on any of the obligations arising under this Agreement, the Community shall provide the allegedly defaulting party with written notice and such notice shall provide the allegedly defaulting party with five (5) days opportunity to cure the alleged default. Should the Community subsequently determine that the default has not been or cannot be cured, the Community may, in its sole discretion, take any or all of the following actions: 8.4.1 Demand that the defaulting party commence performing as required under the Agreement, which must be proven through documentation showing progress; Terminate this Agreement; Demand that the defaulting party repay to the Community any funds used in contravention with the terms and conditions of this Grant; Take any appropriate action to recapture the Grant funding. For purposes of this Section, "appropriate action" means any remedial action legally available, including, without limitation: (a) terminating the Agreement; (b) suits for declaratory judgment, specific performance, temporary or permanent injunctions; and (c) and any other available remedy.

8.5 The Community shall be considered to be in default if it fails to distribute the Grant funds, as outlined in paragraph 5.1 of this Agreement. If MUSD determines that there has been a default on any of the Communitys obligations arising under this Agreement, MUSD shall provide the Community with written notice and such notice shall provide the Community with five (5) days opportunity to cure the alleged default. If the Community fails to fulfill its obligations under this Agreement during the Term of the Agreement, title to personal property previously purchased with Grant funds shall remain in MUSDs sole ownership. 9. 9.1 Termination of Agreement. MUSD may terminate this Agreement at any time during the Term by providing thirty (30) days written notice to the Community and the City and either returning to the Community ALL unexpended Grant funding and, in the Communitys sole 5 of 15

discretion, all personal property purchased with Grant funds, or requesting that the City return to the Community all Grant funding held by the City on MUSDs behalf. 9.2 The City may terminate this Agreement at any time by providing at least fifteen (15) days written notice to the Community and MUSD. If, at the time of termination, the City has accepted and has possession of any Grant funding from the Community, the City must either: (a) provide the Grant funding to MUSD in-full and provide the Community with documentation of this distribution within ten (10) business days of providing the Community with the notice of termination; or (b) return the Grant funding to the Community in-full with the notice of termination. The Community may terminate this Agreement if the Community determines that either MUSD or the City has defaulted on its respective obligations agreed upon herein, as explained in Paragraph 8 of this Agreement. The Communitys rights and remedies shall survive termination of the Agreement. MUSD Reports to the Community. 10.1 During the Term of this Agreement, MUSD shall submit to the Community Council: (a) Written progress reports to the Community and the City that summarize the expenditures made and provide updates on the general status of the Project, no later than thirty (30) days after the end of each fiscal quarter; and (b) Copies of audited financial statements for the periods covered under this Agreement, no later than ten (10) business days after such statements become available. 10.2 During the Term of this Agreement, MUSD may request time on Community Councils agenda to give in-person progress reports. 10.3 Copies of all reports shall be mailed to the Community and the City at the addresses set forth in Paragraph 16 of this Agreement. 10.4 MUSD may keep the Communitys Education Director apprised of the Project; however, any reports made to the Education Director do not relieve MUSD of the reporting obligation under this Section and it is not the Education Directors responsibility to relay to the Community Council any information provided related to this Agreement or the Project and any related progress. 10.5 Upon request by the Community, the Grantee shall provide promptly such additional information, reports, and documents as the Community may request. 11. Written Communication. All amendments, notices, requests, and disclosures of any kind made pursuant to this Agreement shall be in writing unless otherwise provided for in this Agreement. Publicity. MUSD and the City are permitted to issue press releases and host other publicity events highlighting the Grant from the Community. Copies of all press releases 6 of 15

and notification of all publicity events should be mailed to the Community and any other party at the address in Paragraph 16 of this Agreement. 13. Transfer or Assignment. This Agreement, including any right, benefit, or obligation arising hereunder, may not be transferred or assigned without the prior written approval of the Community. Notice of any assignment approved by the Community must be provided to all other parties by the party requesting the assignment. Savings Clause. If any part of this Agreement is held to be illegal, invalid or void by a court of competent jurisdiction, the remainder of this Agreement shall remain in full force and effect with those offending portions omitted. No Waiver. The Community reserves and has the exclusive right to waive any requirement or provision under this Agreement; provided that, no act, by or on behalf of the Community, will be deemed or construed to be a waiver of any such requirement or provision, unless the same be in writing expressly stated to constitute such waiver. Further, nothing in this Agreement shall be deemed a waiver of any partys sovereign immunity. Notices. All notices or other correspondence between the Parties required to be sent under this Agreement and regarding this Agreement shall be mailed U.S. mail (return receipt requested) or sent via email (with a hard copy to be mailed) to the respective parties at the following addresses:

This Agreement, and any attachments or incorporated documents, constitutes the entire agreement between the Community, the City, and MUSD, and supersedes all prior oral and written agreements between the parties hereto with respect to this Grant. Governing Law. This Agreement shall be governed by the laws of the State of Arizona, and a court of competent jurisdiction shall have jurisdiction over disputes arising under or out of this Agreement. Counterparts. This Agreement may be executed in any number of counterparts. Allsuch counterparts will be deemed to be originals and together will constitute but one and the same instrument. Responsibility. Each party agrees to be responsible for the conduct of its operations and performance of its contract obligations and the actions of its own personnel while 8 of 15

performing services under this Agreement. The Community and the City shall have no liability for any of MUSDs actions under or pursuant to this Agreement. Each party, to the greatest extent legally permissible, shall indemnify, defend and hold harmless the other Party(ies) from any liability resulting from the negligence, intentionally tortious or willful misconduct of the indemnifying Partys employees, offices or agents. 21. Conflict of Interest. MUSD and the City may cancel this Agreement for conflict of interest pursuant to A.R.S. 38-511. Non-Discrimination. The Parties agree to comply with all provisions of applicable, federal, state, and local laws, and executive orders that require that all persons shall have equal access to employment opportunities and to education opportunities regardless of race, color, religion, disability, sex, age, national origin, genetic code, veterans status, or political affiliation during the term of this Agreement. Nothing contained in this paragraph shall prevent the Community from complying with Indian Preference in employment.

Memorandum of Understanding EXHIBIT A Scope of Work MUSD Academic Success Project

SCOPE OF WORK The MUSD Academic Success Project (the Project) is designed to improve academic achievement and educational outcomes for MUSD students in all nine (9) schools within MUSD. Grant funds will be utilized during the 2013-2014 and 2014-2015 school years. This Scope of Work derives from the Strategic Plan approved by the MUSD Governing Board for School Years 2013-2016. Set forth below are: (a) The specific Goals included in the MUSD Strategic Plan that are targeted for inclusion in the Project; (b) An explanation of how the Grant monies will be used to further the identified Goals; and (c) The rationale for the use of the funds as indicated. Project Goal #1: To continue a Math Improvement Initiative to improve Math achievement for K-12 students who are not demonstrating the skills needed to meet or exceed State mandated high stakes testing.

Project Goal #1 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy D, Support for students Provide supplemental supports and interventions across all grade levels in core subjects. Use of Grant Monies: The Grant monies will be used to hire five (5) Math teachers who will be assigned based upon student enrollment numbers at the following schools within MUSD: (a) Maricopa High School; (b) Maricopa Wells Middle School; and (c) Desert Winds Middle School. Rationale: Math is the subject with the lowest level of student achievement in the three identified schools. Hiring additional teachers will enable students to receive an extra class period of remedial Math instruction. Teachers will work entirely with students who have tested in the bottom quartile for Math. Project Goal #2: To continue a Reading Improvement Initiative by supporting the Move On When Reading program for children in Grades K-3.

Project Goal #2 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy D, Support for students Provide supplemental supports and interventions across all grade levels in core subjects. Use of Grant Monies: The Grant monies will be used to hire five (5) trained paraprofessionals who will be assigned based upon student enrollment numbers at the following schools within MUSD: (a) Maricopa Elementary School; (b) Butterfield Elementary School; (c) Santa Cruz Elementary School; and (d) Saddleback Elementary School. 10 of 15

Rationale: Student achievement in reading at the Elementary Schools identified above is disproportionately low. Hiring additional paraprofessionals will enable students to receive an extra class period of Reading instruction. Paraprofessionals will work entirely with students who have tested in the bottom quartile for Reading. Project Goal #3: To provide children of Kindergarten age, who are approved for enrollment by the Ak-Chin Indian Community, with additional academic instruction and positive social interaction opportunities by providing families with the ability to enroll their Kindergarten children in MUSDs full-day, tuition based Kindergarten program at no cost to the families.

Project Goal #3 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy D, Support for students Provide supplemental supports and interventions across all grade levels in core subjects. Use of Grant Monies: The Grant monies will be used to fund the full-day Kindergarten tuition payments for families of Kindergarten age who wish to enroll their children in the MUSD fullday Kindergarten program and who are approved for enrollment by the Ak-Chin Indian Community. Rationale: By doubling the time the children spend in Kindergarten each day (from a tuition free half-day program to a tuition-based full-day program), MUSD believes that children will demonstrate growth in all areas of academic performance, including but not limited to Reading and Math. The additional instruction and social skills training the children receive by attending a full-day of Kindergarten program is also anticipated to help those children be more successful when they enter 1st Grade. Project Goal #4: To improve overall academic achievement for elementary students at two schools by reducing the number of disciplinary removals from school, thereby increasing the students school attendance and instructional time.

Project Goal #4 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy D, Support for students Provide supplemental supports and interventions across all grade levels in core subjects. Use of Grant Monies: The Grant monies will be used to hire a teacher whose special assignment will be to promote student attendance and success by reducing absences due to disciplinary removals from school. The teacher will be assigned to work half-time at Saddleback Elementary School and half-time at Santa Cruz Elementary School. While working at Saddleback Elementary, the teacher will work cooperatively with the Ak-Chin Student Advisor, the Ak-Chin Truancy officer and parents to improve student behavior and academic achievement. While working at Santa Cruz Elementary, the teacher will work closely with parents to ensure parental involvement in improving the academic achievement and behavior of all students. Rationale: In 2012-2013, there were 101 student suspensions at Saddleback Elementary School and 281 student suspensions at Santa Cruz Elementary. At all other MUSD Elementary Schools, 11 of 15

there were a combined total of 99 student suspensions. MUSD believes that by having a certificated teacher whose time can be devoted entirely to important collaborations with others (as described above), MUSD will experience a reduction in student suspensions and a corresponding increase in student attendance, resulting in improved academic performance for students. Project Goal #5: To provide credit recovery opportunities in Math for high school students within MUSD.

Project Goal #5 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy D, Support for students Provide supplemental supports and interventions across all grade levels in core subjects. Use of Grant Monies: The Grant monies will be used as an overload stipend for two (2) teachers, each of whom shall be responsible for one period each, to supervise, instruct and support high school students who enroll in an on-line Math credit recovery program at their home high school. Rationale: At the beginning of the 2013-2014 school year, MUSD identified 372 high school students whose transcripts reflect that they are deficient in Math credits. Of those students, 121 were 12th Graders who are at risk of being unable to graduate from high school in May 2014 as a result of the Math credit deficiency. MUSD believes that if credit recovery opportunities are readily available to students at their home high school, more students will take advantage of the opportunity to earn necessary Math credits and thereby be in a position to graduate high school with their same aged peers. Project Goal #6: To install wireless technology at all nine (9) schools and upgrade instructional technology, including student workstations and other necessary instructional technology.

Project Goal #6 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #4, Strategy A, Improve Instructional Technology Improve computer labs and infrastructure so that students in Grades 3-10 can participate in the new state assessment in the winter and spring of 2015. Use of Grant Monies: Grant monies will be used to improve and expand wireless technology in all nine (9) MUSD schools and to replace 275 student computers (but continue to use existing monitors). Rationale: MUSD does not currently have sufficient wireless technology or a sufficient number of computers to enable MUSD to administer new State mandated assessments for its 4600 students in Grades 3-10 (aligned with the Common Core State Standards). All of the new assessments are scheduled to be computer based. Improved and expanded wireless technology and the availability of more computers in MUSD schools will enable MUSD to comply with State assessment requirements. Project Goal #7: To implement an I-Pad pilot project that will improve educational outcomes for children with disabilities. 12 of 15

Project Goal #7: Aligned with MUSDs Strategic Plan for 2013-2016, Goal #4, Strategy C, Improve Instructional Technology Begin an I-Pad pilot project. Use of Grant Monies: Grant monies will be used to purchase 15 I-Pads. The I-Pads will be assigned for use in special education self-contained and pre-school classrooms based upon student need and classroom enrollment. Rationale: The Ak-Chin Community Council specifically requested that this pilot project be included in the grant project. MUSD has many students from preschool through high school who have significant communication and learning deficiencies who are unable or limited in their ability to access and/or participate in the academic curriculum or interact with peers and staff even on a social level. Although MUSD participated in an Assistive Technology training program through ADE with their ARRA capacity building grant in 2009, MUSD has been unable to fund subsequent requests for assistive technology devices such as I-Pads. Project Goal #8: To improve MUSDs employee retention rate by providing modest salary or wage rate increases to employees.

Project Goal #8 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #3, Strategy D, Recruit, Train, and Retain a High Quality Staff Improve employee compensation and benefit package. Use of Grant Monies: The Grant monies will be used to implement a modest salary and pay rate increase for certified, classified and administrative employees who had completed the following number of years of employment as of the start of the 2013-2014 fiscal year: a. b. c. 4 or more years: 2-4 years: 1 year: $665.00 per employee $465.00 per employee $265.00 per employee

The salary and pay rate increases will be allocated in a similar fashion for fiscal year 2014-2015. The following employees shall not be entitled to receive salary or pay rate increases using Grant monies: (a) The Superintendent; and (b) Newly hired employees for the 2013-2014 and 20142015 fiscal years. Rationale: During the past four fiscal years, MUSD has been unable to increase salary schedule experience steps due to budget restraints. This has led to a higher rate of employee turnover than is desirable. High turnover rates result in reduced effectiveness and efficiencies throughout MUSD and result in higher costs associated with recruitment and training. Project Goal #9: To maximize the benefits associated with the Grant monies, through continuous monitoring and evaluation of funded projects.

Project Goal #9 is aligned with MUSDs Strategic Plan for 2013-2016, Goal #1, Strategy B Leadership Development All certified staff will create, implement, and maintain an ongoing 13 of 15

vision and mission that is aligned to student achievement, professional growth, and safety, resulting in a productive learning environment. Use of Grant Monies: The Grant monies will be used to hire a part-time individual (Grant Specialist) with the qualifications and skills necessary to monitor and evaluate MUSDs success in meeting Goals 1-8 above. Rationale: The Grant Specialist will oversee all compliance monitoring, data submissions, budgeting and evaluation of all tasks associated with the 2013-2014 & 2014-2015 Grant from the Ak-Chin Indian Community to help ensure that Grant monies are being expended in a manner that most efficiently and effectively assists MUSD in meeting its designated Goals.

Ancillary Funding Provision: In the event that MUSD is unable to hire for the projected positions outlined in goals 1-8, the all-day kindergarten program is converted to a free program and is no longer tuition-based, and/or if another event results in the reduced need for funding to implement Goals 1-8, MUSD will reallocate the funds to provide for additional technology (as outlined in Project Goal #6).
