LEAVE AND LICENCE AGREEMENT

NOW THIS AGREEMENT OF LEAVE AND LICENCE WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:
1. The Licensor hereby grants Leave and Licence to the Licensee to occupy and use

2. The lock-in period for the license period shall be ______________________.

3. The licensee and the licensor cannot terminate the agreement before the lock-inperiod. If licensee terminate and vacates the agreement before the lock-inperiod than its deposit will be forfeited.

4. The Licensee having been granted Leave and Licence to use and occupy the said Premises shall deposit with the Licensor an amount of Rs. ___________ only) as and by way of refundable interest free security deposit (the deposit). The Deposit shall be refunded to the Licensee by the Licensor upon termination/early determination of this agreement. 5. The Licensee shall pay to the Licensor an amount of Rs. ______________ per month plus the applicable Service Tax as license fees , to be paid in advance each month on or before the ___th day of each month during the term of this agreement. The Licensee agrees that the Licensor shall be at liberty to terminate this agreement in the event the Licensee commits default in payment of the license fees.

6. The Licensee shall pay license fees for the use of the said premises as under and Service tax if any to be paid by licensee in addition to the license fees.

7. The Licensee agree to pay the electricity bills, and telephone bills, cable TV charges, central air conditioning monthly bills, etc in respect of any utilities consumed in the premises, without dispute, default or deduction and on the licensee`s failure to do so without sufficient or reasonable cause, the Licensor shall be at liberty to terminate the agreement after due notice. All such paid bills shall be handed over to the Licensor for his records. Monthly Maintenance of the said unit shall be borne by __________

8. Either of the parties can present a _____ months notice in writing before the expiry of the license period or after lock-in period whichever is earlier, it is compulsory to serve the notice via registered post, email, sms and telephonic call.

9. In case of Non-payment of rent a penalty of Rs. _________ shall be charged per month. If incase the license fees cheque bounces or remains unpaid for more than two months , the licensee shall be liable to pay the pending amount within 10 working days , if futher the licensee fails to pay the same a one month notice period shall be deemed to be given to vacate the premises and this agreement there-in shall be declared to be terminated.

10. The Licensee shall keep the interior of the premises and the floor, walls, ceilings, doors, windows, furniture, electronic items, electric installations, water taps and other fittings in good condition (reasonable wear and tear and damage by fire, tempest, and acts of God exempted) and shall repair, make good or replace any damage or breakage caused to the same or any part thereof at the cost of the Licensee.

11. The Licensee agree to observe the rules, regulations and bye laws of the society and to use the premises only for the legal business after obtaining the requisite permissions from any concerned authorities.

12. The Licensor and the licensee hereby agree that the original key of the said Premises would be with the Licensor and whereas the duplicate key will be with the Licensee.

13. On expiry or sooner determination of this License, the Licensee shall remove belongings, chattels, articles and things from the said Premises and shall not claim any alternate accommodation and shall hand over vacant possession of the said Premises to the Licensor against the refund of the deposit by the Licensor to the Licensee. The Licensee shall however allow/ permit the Licensor to enter the Premises for the purpose of inspecting upon any reasonable time without giving any prior notice to the Licensor.

14. That the Licensee shall use the said premises at his own risk and the Licensor shall not be held responsible or liable in any manner whatsoever for any loss, or damage that may be caused to the life, limb or property of the Licensee whether by way of fire, rain, calamities or by any other cause or reason whatsoever.

15. At the time of handing over possession of the said premises back to the Licensor on expiry or sooner determination of this agreement, the Licensee shall ensure that the said premises are restored at their cost, to the exactly similar condition as obtained at the time of initial occupation by the Licensee, reasonable wear and tear accepted.

16. The Licensee shall keep the Licensor indemnified against any demand or damages that may result on account of the negligence or default on the part of the Licensee.

17. The agreement is governed strictly under the Leave and License terms and the Licensee shall deliver possession of the said premises to the Licensor on the expiry of the period of this agreement and/or its early determination, The refundable deposit will be repaid, after deducting the dues, arrears, levies as damages, penalties by the Licensor to the Licensee.

18. The Licensor shall not in any event be held responsible or liable for any loss or damage to any goods or property of the Licensee whatsoever to be the cause of such loss or damage.

19. If the Licensee fail to hand over to the Licensor quiet, vacant and peaceful possession of the said Premises at the time when the entire or part security deposit amount is adjusted, then in that event, the Licensee shall be treated as trespasser on the said Premises and the Licensor shall be at liberty to remove articles, things, furniture and fittings of the Licensee installed, lying and being in the said Premises at the cost and expenses of the Licensee and the Licensor shall not be responsible or liable for any theft or damage done to the articles, things, furniture and fixtures of the Licensee.

20. On the expiration or earlier determination of this agreement, the Licensee shall hand over the vacant and peaceful possession of the said Premises to the Licensor.

21. In case, if the Licensee for whatsoever reason, fails to hand over the peaceful possession of the said Premises on the expiration of this agreement, then time being the essence, the Licensee hereby unconditionally agrees to pay to the Licensor the Liquidated damages of Rs. 5,000/- (Rupees Five thousand only) per day of delay in addition to the monthly compensation payable to the Licensor. This agreement shall be without prejudice to the other rights and remedies and action available to the Licensor against the Licensee. This payment/ penalty does not absolve the Licensee of its obligation to vacate the Premises promptly on the termination of the License.

22. The Licensee shall not make any additions, variations or alterations in the said premises without the prior written consent of the Licensor. However the Licensee shall at his own costs, be at liberty to install in the said premises, electric and other household appliances, furniture and fittings of a temporary and non-structural nature, sanitary and electrical installations, as required for the proper use and enjoyment of the said premises, provided the same does not entail any structural breakage alterations or additions and does not damage the said premises. On expiry or sooner determination of this agreement, the Licensee shall remove, at his costs, such additions, alterations, variations or partitions as are done or brought by him and as are capable of being removed without damage being caused to the said premises. Moreover, if any permanent fixture is fixed or any permanent alteration is made, the Licensee shall not be entitled to remove the same from the said premises, nor shall the Licensee claim from the Licensor any compensation or costs whatsoever for such permanent fixtures/ alterations.

23. All Municipal rates, taxes, duties, cesses and society including but not limited to maintenance and water charges etc. shall be paid by the Licensor during the subsistence of this agreement. In the event of the Licensee paying any of the aforesaid dues, the Licensor shall upon being informed of the same by the Licensee, immediately reimburse the Licensee for the amounts paid by him/ her/ them. Non payment of the aforesaid dues by the Licensor and/or non

reimbursement of the amounts, paid by the Licensee to satisfy the aforesaid dues, by the Licensor to the Licensee shall be a cause for termination of this agreement by the Licensee.

24. The Licensor declare that he is well and sufficiently entitled to the Licensed premises and has obtained all necessary permits and consents for letting out the Premises on Leave and License basis to the License. The Licensor further state that the Premises is free from encumbrance lien or charge at the time of grant of license.

25. It being agreed that the Licensor shall be at all times in complete possession, control and dominion of the said Premises and every part thereof and the Licensee shall not be or claim to be in possession of any kind whatsoever of the said Premises or any part thereof.

26. Any notice intended to be given to the Licensee shall be deemed to be properly and validly given if it is sent to the Licensee by Registered Post AD to the said premises and likewise, notice meant for the Licensor shall be addressed to and delivered or sent by Registered Post A. D. to the Licensors address.

27.

All expenses relating to legal expenses, stamp duty & registration charges

shall be paid by the licensor and icensee e!ually. The licensee further agrees that at re!uest of licensor he shall present himself at the "ffice of the #ub-$egistrar of assurance and admit his executions of this presents

28. The Licensee hereby admits and acknowledges that it is the express intention of the parties to this agreement that the relationship of the LANDLORD and TENANT shall not be deemed to be created hereby or otherwise between them under any circumstances whatsoever. This agreement hereby confirms bare

permission of Leave and Licence and does not create any lease or sublease or any other right, title and interest into or upon the said Premises in favour of the

Licensee and the Licensee hereby agrees that under no circumstances, the Licensee shall claim any right to tenancy, sub-tenancy or any other nature into upon the said Premises.

29. Not to further sublet or give on Leave and License basis or on any other basis the said Premises or any part or portion thereof nor shall the Licensee permit any one to use and occupy the said Premises or any part or portion thereof other than by those whose use arises out of the aforesaid business activities of the Licensee, its associates, affiliates and parent companies and that the associates, affiliates and parent companies shall be under the control and management of the Licensee and that they shall be bound and liable to observe and perform all the terms and conditions of this agreement and shall vacate and hand over the quiet, vacant and peaceful possession of the areas occupied by them along with the Licensee on the expiry or sooner determination of the License.

authority for getting possession of the said -remises after the expiry of this agreement as per the provisions contained herein, in case the icensee failing or refusing to hand over the charge of the said -remises and this agreement shall be sub.ect to exclusive .urisdiction of court at )umbai/Thane.

31. It is agreed by and between the parties that the Licensee shall have no right of tenancy, sub tenancy and/or any right title and interest in the said premises and/or shall not sublet, re-let or underlet the said Premises or any portion thereof.

32. It is agreed that if the Licensee commits a breach of the terms and conditions of this agreement, the Licensor shall be entitled to revoke the License hereby granted after giving the Licensee one month written notice to remedy the breach complained of. On the expiry of the said period of the one month if default complained of not having been remedied, the License hereby granted stands revoked.

Schedule 1:
Amenities/furniture and fixtures provided by the licensor &ill remain exclusive property of the licensor and licensee cannot take this furniture and fixture &ith it. Any maintenance, damages or day to day wear and tear as required shall be the licensees responsibility during the said period. Any damages done to this amenities/furniture and fixtures by licensee &ill be replaced by him or the amount &ill be deducted from its security deposit.
