Kingsway Canoe Club Constitution

1.Name & Annual General Meeting.


i. The name of the club will be Kingsway Canoe Club affiliated to the British Canoe Union.(B.C.U.)
ii. Annual General Meeting will be held on the second Thursday of December each year.
iii. The chair of the A.G.M. is authorized to adjudicate on matters of dispute.

2.Purpose and Objectives.


The club shall be a non-profit making organization; pool based existing to pursue the sport of canoeing for
the purposes of competition, personal achievement and general leisure and recognizing governance of the
British Canoe Union (BCU). Affiliation to the BCU and/or associated bodies will be maintained for public
liability insurance purposes.

3.Activities
The activities of the club shall include canoeing in all its aspects and any other activity approved by the Club
Management Committee (CMC).

4.Membership
i. Membership of the club shall be open to any person subject to approval by theCMC and completion of
an application form for the purpose of maintaining accurate club records.
ii. Any member adjudged guilty of violating the rules of the club may, by resolution of the EGM, have
his/her membership suspended or rescinded. He/she shall have the right of appeal to a special general
meeting if sponsored by not less than 51% of club members.

5.Management
i. A committee shall manage the club not less than 6 persons elected annually by ballot at the A.G.M. A
quorum shall consist of four members of the committee.
ii. The members shall elect a chairman, secretary and treasurer and such other officers, as they deem
necessary. These officers shall determine the structure of the CMC.
iii. The CMC shall meet at least once per month, starting from Thursday of the first week of January
unless a changed date is agreed by the CMC officials.
iv. The committee shall have the power to co-opt onto the management committee with full voting rights
additional members who, in their opinion are able to render valuable services.
v. Nomination for election to the management committee must be made with a proposer and seconder,
with the candidate’s approval.
vi. The CMC shall cause to be kept proper accounts of all monies belonging to the club. The Hon. Auditor
approved by the committee shall audit accounts, and such accounts will be presented at the AGM.
vii. The AGM will set the annual subscription rate for the following year.
viii. Pool sessions at Kingsway Recreation Centre are arranged by Halton District Council Leisure Services.
Members attending pool sessions are required to conform to Centre codes of conduct.
ix. Club equipment used away from the poolside attracts a Club loaned equipment fee, which reflects the
greater wear on equipment when using it out of doors. The Club loaned equipment fee rate is set at
£1.00 per item borrowed per day and may be amended by majority vote at a 0GM or the AGM. Club
equipment is only to be used on waters grade 2 and below. All loaned equipment to be returned to the
swimming baths.

6.Bank Account
The Club will operate a bank account. The purpose of this account will be collection of members’ payments,
fees and contributions and any other funding received in respect of ‘canoe sport’ activities, specifically meant
for finance of Club equipment and training and the cost incurred in running the club at the chosen venue of
Kingsway Recreation Centre, Widnes. There will be no authority, actual or implied, for Club officials or
members to obtain credit facilities in the name of Kingsway Canoe Club.
i. To amend account-operating details, both the Chairman and Secretary must provide certification.
ii. To withdraw money by cheque or cash from the club bank account, the signatures of two of the
following will be required:

a) The Chair’s signature,
b) The Secretary’s signature,
c) The Treasurer’s signature,
d) The signature of any person nominated by the Chair and Secretary, and duly notified to the bank
as a bone fide signatory in accordance with the rules of the bank.

7.Sources of Finance:
i. Membership fees shall be levied at 1st January each year.
ii. Members will be allowed four weeks to pay fees or suffer exclusion until paid.
iii. Structure and rates of membership fees shall be set at the preceding AGM.
iv. A split fee is levied: the local authority fee (set as a swim session fee payable at Reception); and a
minimal club fee contributing towards wear and tear on poolside canoe sport equipment, collected prior
to each session. The Club contribution fee rate for year 2001 is set at £1:00p per session and may be
amended by majority vote at a EGM or the AGM.
8.Extraordinary General Meetings (EGM).
i. An EGM shall require any member to give 21 days notice to the Club Secretary, stating in writing
his/her intentions. Those entitled to vote shall be those present at the meeting who are paid up members
of the club and who have been approved by the CMC.
ii. General meetings may be convened at any time by the CMC, or shall be convened by the secretary if he
or she receives a requisition for this purpose signed by at least 51% of the members.

9.Responsibility
All members attending club events, including training courses, are reminded that they are governed by the BCU
club code of conduct and the rules contained therein.

10.General Duties
Chairman-The chairman shall be responsible for guiding the activities of the club in accordance with its general
rules and regulations. He shall represent the club at meetings of other organizations unless he appoints a deputy
to act on the club’s behalf. He shall be an ex-officio member of any other committee of the club.
Secretary-The Hon. Secretary will be responsible for guiding the organization of meetings of the general
committee and of the club. He/she shall record all minutes relating to such meetings and shall be responsible for
all correspondence relating to the general business of the club.
Treasurer-The Hon. Treasurer shall be responsible for the collecting and disbursement of all monies and such of
books of account as are required for the running of the club.
He shall produce audited accounts and balance sheets at the AG.M.

11.Business Interest
i. Any person having any commercial interest in canoeing or associated activity must declare such
interests as they have. The interest will recorded in the minutes and will be borne in mind by the other
committee members where recommendations are being considered for the purchase of equipment or
promotion of events.
ii. The constitution shall only be altered by resolution passed by a two-thirds majority of the members
present at the EGM. Notice of proposed amendments must be given in writing not less than 21 days
before the EGM.

12.Dissolution.
In the event of the club being dissolved, any property remaining after satisfaction of all its debts, shall be put
at the disposal of a body or bodies with similar objectives or to a charity or charities by resolution of the
CMC.
