2. FORM OF BUSINESS ORGANIZATION 2.1 Management Control When the salon is already operating the share of the employee will be 40% for each customer and the remaining 60% will be the income of the owners of Filipino Touch Salon. This is our way to manage to the profit equally for the employees and the owners of our salon. We manage our salon through controlling the operating system of our salon. We decide to be the manager of our salon, for the reason

that we are a small business and also we can know how our salon runs. 2.2 Financing Aside from the proponents cash on hand capital, Filipino Touch Salon is seeking additional loan financing in help to achieve its objectives. This loan will be paid from the cash flow from the business, and will be collateralized by the assets of the company, and backed by the character and personal guarantees of the owners. 2.3 Business Relation The business relation of Filipino Touch Salon is our customers and employees having them are the success of our salon. Thats what we do to make them satisfied to our services and the way to have their loyalty to our salon. 2.4 Taxes The main tax advantage of a limited partnership is that it is a flow through entity-all profits and losses flow directly to the individual

limited partners. The business itself pays no taxes on its income. Limited partners receive income on the forms of distribution. Part of the distribution may be taxed as ordinary income, part maybe treated as capital gains, and part may not be taxed at all if it is a return on invested capital. However, because the limited partners do not participate actively in the business, the income from a limited partnership is considered to be passive income, and the losses can only be used to offset other passive income until the investors interest in the partnership is terminated, after which, losses can be used to offset other types of income. 2.5 Liability of Owners Limited Partners cannot participate actively in the management of the business. Receive or hold as collateral or security of any property of the partnership. Receive from a general partner or the partnership any money payment or release of liability, if at time the partnership assets are insufficient to pay debts. Limited partners contribute financially to the business but have minimal control over business decisions or operations and normally cannot bind the partnership to business deals. They are not personally liable. In return for giving up management power, limited partners get the benefit of protection from personal liability. It also faces slightly different tax rules. Limited partners exceptions is to vote on issues that affect the basic structure of the partnership, including the removal of general partners,

terminating the partnership, amending the partnership agreement or selling all or most of the assets of the partnership without jeopardizing limited partner status. 2.6 Legal Requirement Partners need to sign a deed of partnership. It includes the names of the partners and their addresses. Next are the responsibilities of the partners, this should be clearly stated so they can do this in action. The shares of each partner should be well distributed and the entire document must present. The legal requirements are the following that needs to be complied: SEC DTI BIR Municipality
