CURRENT POSITION The Johnson Law Firm, 2014-Present Private practice with focus on drafting, reviewing, and negotiating sophisticated contracts for business clients. IN-HOUSE COUNSEL EXPERIENCE General Attorney-Policy and Compliance, AT&T Inc., 1999-2013 Drafted, reviewed, and negotiated a broad variety of sophisticate business agreements, including contracts with external vendors, services and product contracts with businesses as well as governmental and educational organizations, software development contracts, responses to requests for proposal, and intellectual property licensing provisions. Legal advisor to wholesale marketing client groups, negotiating all aspects of agreements with wholesale providers, including provisions governing patents and trademarks, indemnity and limitation of liability, tax liability, OSHA, and environmental law. Reviewed and approved advertising and other marketing materials (including review for compliance with trademark and copyright laws). Provided compliance support on a wide variety of regulations including non-discrimination requirements, privacy and data-security issues, antitrust issues, and video franchising requirements. Also supported the internal audit organization; responded to Department of Justice and regulatory agency inquiries; and provided records information management advice. Primary corporate counsel on complex requirements imposed by federal and state agencies as conditions for their approval of several significant mergers (including three of the most significant mergers in corporate history). Primary attorney responsible for securing regulatory approval of the SBC/AT&T and AT&T/BellSouth mergers in several states. General Counsel to the AT&T affiliate providing hosted Voice over IP (VOIP) services. Counsel to the companys Citizenship and Sustainability organization, including providing advice on compliance with regulations governing environmental claims in marketing materials.
