SEAVEES VEE CORPS COLLEGE CAMPUS AMBASSADOR INDEPENDENT CONTRACT AGREEMENT (MM/DD/YYYY MM/DD/YYYY) This Independent Contract Agreement

Services. Contractor/Ambassadors main objective is to increase product sales, brand recognition, consumer loyalty and excitement on their campus through advertising SeaVees events and campaigns. Contractor/Ambassadors shall be responsible for promoting the SeaVees brand to the desired demographics, and managing the brand outreach on his/her college campus. Contractor/Ambassadors are responsible for penetrating and growing the SeaVees brand on their campus through advertising campaigns, searching for alerting SeaVees to potential Legends in the Making, sampling and providing product to influential students and spearheading brand presence at notable events on campus. It is the Contractors responsibility to be the Ambassador of this product/Client and act in the best interest of SeaVees. Examples of promoting the SeaVees brand are: making appearances at multiple college campus events, handing our flyers for trunk shows, reaping the brand at sporting events and general campus life activities. 2. Program Guidelines . The following is a list of Program Guidelines to be followed by Contractor/Ambassador on behalf of SeaVees: a) Reputation of SeaVees

The Contractor/Ambassador is to represent SeaVees in a professional manner. The Contractor/Ambassador is to use their influence to promote SeaVees tastefully to the appropriate demographics. b) Photos

Photos are a required part of this program. Photos shall not include alcohol, nudity, destruction of SeaVees product or merchandise, or any other activities that diminish the brand value of SeaVees.

Necessary Event Diversity

SeaVees should be advertised to as many students as possible. Contractor/Ambassadors should ensure that they are working with a variety of college groups and local venues in order to get maximum brand exposure. d) Age Appropriate Markets

The target market is the college demographic. Within this demographic, it is the Contractor/Ambassadors responsibility to represent the brand in high impact areas on and off-campus. If there is an appropriate opportunity to advertise to high school or post college groups, it may be done, but this is not the target demographic for this program. e) Never Profiting from Product

The Contractor/Ambassador should not sell SeaVees merchandise to individuals, venues, organizations, online (i.e. EBay, Craigslist, etc.). The product is to be used to grow brand awareness on campus and to grow a sense of brand lifestyle, not to make a profit for the Contractor/Ambassador. If SeaVees becomes aware that any Contractor/Ambassador is selling or assisting in the selling of SeaVees product, the Contractor/Ambassador will be terminated. 3. Photo Library

Contractor/Ambassador shall be responsible for submitting digital photos to SeaVees as verification of exposure and outreach. Photos should be captured and submitted for activities and events that have SeaVees representation. Photos must capture SeaVees product f possible. Photos shall not include the following or they shall be deemed non-acceptable and SeaVees shall have the right to terminate the Contractor for violating acceptable photos: alcohol, nudity, drugs/ drug use, destruction of SeaVees products, brand or reputation. 4. Timing of Services

Contractor/Ambassador shall actively provide such services for approximately eight (_) months during the year, per the following schedule: _______________________________________ This schedule can be modified by SeaVees based on the start dates and graduation dates of the different college campuses or specific needs as fit. 5. Conflicts of Interest

No Contractor/Ambassador may enter into an agreement with another competing product, marketing client or sponsor. Additionally,Contractor/Ambassadors involved with campus affiliations (including but not limited to: Greek organizations, sporting, or other clubs), shall not permit any competing sponsor within said affiliations if within their power. 6. Termination without Cause Contractor/Ambassador may terminate this Agreement without cause with written notice. 7. Notices

Any notice, request, demand,instruction or other communication to be given to any party here under ("Notice") shall be in writing and delivered personally, by mail, by facsimile (fax"), or via email as follows to: Attention: _____________________ _____________________ _____________________

IN WITNESS WHEREOF , the parties hereto have carefully read and understand the meaning of each of the provisions in this Agreement and agrees with each provision. The parties executed this Agreement on the date set forth above.
