AND REQUEST TO WAIVE SERVICE OF A SUMMONS

Why are you getting this?

A lawsuit has been filed against you, or the entity you represent, in this court under the
number shown above. A copy of the complaint is attached.

This is not a summons, or an official notice from the court. It is a request that, to avoid
expenses, you waive formal service of a summons by signing and returning the enclosed waiver.
To avoid these expenses, you must return the signed waiver within 30 days from the date shown
below, which is the date this notice was sent. Two copies of the waiver form are enclosed, along
with a stamped, self-addressed envelope or other prepaid means for returning one copy. You
may keep the other copy.

What happens next?

If you return the signed waiver, I will file it with the court. The action will then proceed
as if you had been served on the date the waiver is filed, but no summons will be served on you
and you will have 60 days from the date this notice is sent (see the date below) to answer the
complaint (or 90 days if this notice is sent to you outside any judicial district of the United
States).

If you do not return the signed waiver within the time indicated, I will arrange to have the
summons and complaint served on you. And I will ask the court to require you, or the entity you
represent, to pay the expenses of making service.

Duty to Avoid Unnecessary Expenses of Serving a Summons

Rule 4 of the Federal Rules of Civil Procedure requires certain defendants to cooperate in
saving unnecessary expenses of serving a summons and complaint. A defendant who is located in
the United States and who fails to return a signed waiver of service requested by a plaintiff located
in the United States will be required to pay the expenses of service, unless the defendant shows

COMPLAINT

COMES NOW Plaintiff, The Mayor and Aldermen of the City of Savannah, Georgia, and
asserts the following claims against Defendant, Liberty Mutual Insurance Company, and in
support thereof, shows this Court the following:
1. Plaintiff, The Mayor and Alderman of the City of Savannah, Georgia (hereinafter,
Plaintiff or the City), is a municipal corporation organized and existing under the laws of the
State of Georgia, with its principal office in Savannah, Georgia.
Parties
2. Defendant, Liberty Mutual Insurance Company (hereinafter, Defendant or
Liberty Mutual), is a corporation organized and existing under the laws of the State of
Massachusetts, with its principal office and legal citizenship at 175 Berkeley Street, Boston,
Massachusetts 02116. Liberty Mutual transacts business in the Southern District of Georgia and
is subject to service of process through its registered agent, Corporation Service Company, at 40
Technology Parkway South, Suite 300, Norcross, Georgia 30092.

3. This Court possesses original diversity jurisdiction over this civil action pursuant
to 28 U.S.C. 1332 because Plaintiff and Defendant are citizens of different states and the
amount in controversy exceeds the sum of $75,000.00.
Jurisdiction and Venue
4. This Court possesses personal jurisdiction over Defendant because Defendant
transacts business in this judicial district and because it breached a contract entered into in this
judicial district for purposes of guaranteeing performance of the construction of improvements
on real property located in this judicial district.
5. Venue is proper in this Court pursuant to 28 U.S.C. 1391(b) because the events
and omissions giving rise to this civil action occurred in this judicial district and because the real
property that is the subject of this civil action is situated in this judicial district.
6. Plaintiff incorporates by reference the averments set forth in paragraphs 1-5 above
as though they were set forth at length hereunder.
Factual Background
7. On or about August 22, 2007, the City entered into a Development Agreement
with ALR Oglethorpe, LLC, a Georgia limited liability company (hereinafter, ALR), which
provided that ALR, as owner and developer, agreed to develop certain infrastructure (the
Infrastructure) on property owned by it, located along the banks of the Savannah River in
Savannah, Georgia and commonly known as Savannah River Landing (the Property), and to
convey to the City certain portions of the Property to be used as public spaces and rights of way.
8. In exchange, the City agreed to convey to ALR certain unopened street rights-of-
way then existing within the Property and to install and maintain certain landscaping,
hardscaping and lighting on the portions of the Property to be conveyed by ALR to the City. A

true and correct copy of the Development Agreement and Amendments thereto are attached
hereto and collectively marked as Exhibit A.
9. The Development Agreement defined the term Owner to mean ALR
Oglethorpe, LLC, a Georgia limited liability company, or its successors or assigns. See
(Exhibit A, Development Agreement at Article 2, Definitions) (emphasis supplied).
10. The Development Agreement defined the term Developer to mean Owner
[ALR] and all successors in title or lessees of the Owner who undertake Development of the
Property or who are transferred Development Rights. See (Id.) (emphasis supplied).
11. The Development Agreement, and the Citys applicable Zoning Regulations,
which were incorporated by reference into the Development Agreement, required ALR, as
Owner and Developer, to obtain the following performance bonds ensuring ALRs performance
under the Development Agreement:
5.2.1 Bonds for the installation of all roads, drainage, and related water and
sewer improvements, necessary to serve all lots shown on any Plat, shall
be provided to the City at the time the Plat is submitted to the City for
approval.
5.2.2 Bonds for the installation of all sidewalks, landscape and street lights
shall be submitted on a Parcel by Parcel basis at the time a Land
Disturbance Activity permit is requested for the parcel.
5.2.3 Bonds for the installation of landscape / hardscape work at each
individual public park as set forth in the Civic Master Plan shall be
provided at the time the Plat, which shows such public park, is submitted
to the City for approval.

12. Ambling Construction Company, LLC (Ambling) is a limited liability company
organized under the laws of the State of Georgia. Ambling and ALR share the same principal
office address, registered agent address and registered agent. A true and correct copy of the

corporate registration information maintained by the Georgia Secretary of State with respect to
Ambling and ALR is attached hereto as Exhibit B.
13. Upon information and belief, Ambling and ALR share a complete or substantially
similar identity of ownership.
14. Upon information and belief, Ambling is a successor, assign or alter ego of ALR,
and/or ALR transferred Development Rights under the Development Agreement to Ambling.
15. On January 11, 2008, Ambling obtained three (3) separate Construction Bonds
that were were issued by Liberty Mutual, and pursuant thereto, Ambling and Liberty Mutual
were bound, as Principal and Surety, respectively, to the City, as Obligee, for the completion of
the Infrastructure outlined in the Development Agreement. True and correct copies of each of the
Construction Bonds are attached hereto as follows:
a) Bond No. 016035629 in the sum of $1,903,101.90 Exhibit C;
b) Bond No. 016035628 in the sum of $653,358.35 Exhibit D;
c) Bond No. 016035630 in the sum of $653,358.35 Exhibit E.
16. The three (3) Construction Bonds specifically provide that they are intended to
secure performance of the projects identified as Infrastructure at Savannah River Landing (OP-
132-06) Phase 1A; Infrastructure at Savannah River Landing (OP-132-06) Phase 1B; and
Infrastructure at Savannah River Landing (OP-132-06) Phase 1C. See (Exhibits C, D and
E, Construction Bonds).
17. The three (3) Construction Bonds contain designations of OP-132-06, which is
the Capital Improvements Project (CIP) Number for the Savannah River Landing project, as
assigned by the City, and reflected in the referenced the Development Agreement.

18. The Phases covered by each of the Construction Bonds are reflected in the
Savannah River Landing site maps, with overlays, attached hereto as Exhibits F, G and H,
respectively. See (Id.).
19. Upon information and belief, in connection with the issuance of the Construction
Bonds, Liberty Mutual was supplied with a copy of the Development Agreement and
Amendments thereto (collectively marked as Exhibit A), was advised that the Construction
Bonds were being sought by Ambling in order to satisfy ALRs obligations pursuant to the
Development Agreement, and was afforded an opportunity to conduct appropriate due diligence
with respect to ALR and Ambling.
20. Ambling commenced construction of the Infrastructure on or about December 7,
2006. Ambling ceased construction of the Infrastructure in or about September of 2008.
21. Upon information and belief, ALR did not complete any relevant construction of
the Infrastructure, nor did it obtain any applicable bonds securing such performance.
22. After Ambling ceased work on the project, the City determined that Ambling had
materially breached the Development Agreement and the Amendments thereto by failing to
properly construct the Infrastructure in the manner required by the Development Agreement.
The deficient and incomplete work was catalogued as accurately as possible at this juncture, at
the Citys direction. A true and correct inventory of those items identified by the Citys agents is
attached hereto and marked as Exhibit I.
23. On August 25, 2011, the City supplied ALR and Ambling with written notice of
their collective failures. A true and correct copy of the default notice letter is attached hereto as
Exhibit I. Neither ALR nor Ambling attempted to cure the specified failures within ten (10)

days of said notice, thereby placing ALR and Ambling in default under the Development
Agreement. See (Exhibit A, Development Agreement at 9.1).
24. The City declared ALR and Ambling to be in default under the Development
Agreement and, in correspondence dated October 17, 2011, notified Defendant: (a) that
ALR/Ambling was in default and (b) that the City was exercising its rights and demanding
payment pursuant to the three referenced Construction Bonds. A true and correct copy of the
October 17, 2011 correspondence to Defendant is attached hereto as Exhibit K.
25. On June 5, 2012, Defendant sent correspondence to the City, advising that it was
refusing to pay the submitted claims. A true and correct copy of the June 5, 2012
correspondence to Plaintiff, with enclosures, is attached hereto as Exhibit L.
26. In its correspondence of June 5, 2012, Defendant incorporated by reference the
purported defenses raised by Ambling, as Principal under the Construction Bonds. See (Exhibit
L).
27. Defendant and Ambling contended that Ambling Construction had no agreement
whatsoever with the Claimant [i.e., Plaintiff] or the Owner [i.e., ALR] to construct any
improvements for the Project, and as such, Defendant contends that the bonds have nothing to
guarantee and, therefore, have no force or effect. See (Id.).
28. Defendant has not asserted, at any time prior to the filing of this Complaint, that
the construction deficiencies and failures do not exist, and that the breaches of ALR/Ambling are
not material.
29. More than sixty (60) days have elapsed following the Citys notice to Defendant
of its claims and its demand for payment of the same.

30. At the filing of this Complaint, Defendant has not paid any amount to Plaintiff
pursuant to its obligations under the three (3) referenced Construction Bonds.
31. Plaintiff incorporates by reference hereunder the averments contained in
paragraphs 1-30, above.
Count I - Breach of Construction Bond Obligations Phase 1A
32. Ambling undertook to perform the obligations of ALR pursuant to the
Development Agreement.
33. Defendant, as Surety pursuant to Construction Bond 016035629, guaranteed the
performance of Ambling pursuant to the terms of the Development Agreement (which
Development Agreement was incorporated by reference into the Construction Bonds) for Phase
1A work. See (Exhibits C and F).
34. Ambling defaulted pursuant to the terms of the Development Agreement, thereby
triggering Defendants obligations to issue payments to Plaintiff, as Obligee, pursuant to the
Construction Bond 016035629.
35. Plaintiff has demanded payment from Defendant pursuant to said Construction
Bond, and said demand for payment has been denied by Defendant.
36. Defendants refusal to pay pursuant to its obligations under said Construction
Bond constitutes a material breach of Defendants contractual obligations.
37. Defendants breach has caused Plaintiff substantial monetary harm, and Plaintiff
is therefore entitled to recover the full amount of its losses occasioned thereby.
38. Plaintiff incorporates by reference hereunder the averments contained in
paragraphs 1-37, above.
Count II - Breach of Construction Bond Obligations Phase 1B

39. Ambling undertook to perform the obligations of ALR pursuant to the
Development Agreement.
40. Defendant, as Surety pursuant to Construction Bond 016035628, guaranteed the
performance of Ambling pursuant to the terms of the Development Agreement (which
Development Agreement was incorporated by reference into the Construction Bonds) for Phase
1B work. See (Exhibits D and G).
41. Ambling defaulted pursuant to the terms of the Development Agreement, thereby
triggering Defendants obligations to issue payments to Plaintiff, as Obligee, pursuant to the
Construction Bond 016035628.
42. Plaintiff has demanded payment from Defendant pursuant to said Construction
Bond, and said demand for payment has been denied by Defendant.
43. Defendants refusal to pay pursuant to its obligations under said Construction
Bond constitutes a material breach of Defendants contractual obligations.
44. Defendants breach has caused Plaintiff substantial monetary harm, and Plaintiff
is therefore entitled to recover the full amount of its losses occasioned thereby.
45. Plaintiff incorporates by reference hereunder the averments contained in
paragraphs 1-44, above.
Count III - Breach of Construction Bond Obligations Phase 1C
46. Ambling undertook to perform the obligations of ALR pursuant to the
Development Agreement.
47. Defendant, as Surety pursuant to Construction Bond 016035630, guaranteed the
performance of Ambling pursuant to the terms of the Development Agreement (which

Development Agreement was incorporated by reference into the Construction Bonds) for Phase
1A work. See (Exhibits E and H).
48. Ambling defaulted pursuant to the terms of the Development Agreement, thereby
triggering Defendants obligations to issue payments to Plaintiff, as Obligee, pursuant to the
Construction Bond 016035629.
49. Plaintiff has demanded payment from Defendant pursuant to said Construction
Bond, and said demand for payment has been denied by Defendant.
50. Defendants refusal to pay pursuant to its obligations under said Construction
Bond constitutes a material breach of Defendants contractual obligations.
51. Defendants breach has caused Plaintiff substantial monetary harm, and Plaintiff
is therefore entitled to recover the full amount of its losses occasioned thereby.
52. Plaintiff incorporates by reference hereunder the averments contained in
paragraphs 1-51, above.
Count IV - Bad Faith
53. Upon information and belief, Ambling and ALR share a complete or substantial
identity of ownership.
54. Upon information and belief, Ambling is an alter ego entity to ALR.
55. Upon information and belief, ALR assigned its development rights pursuant to the
Development Agreement to Ambling.
56. Upon information and belief, Ambling is a successor in interest to ALR.
57. The Construction Bonds issued by Defendant specify that the Bonds guarantee the
performance of Ambling pursuant to the project designated as Savannah River Landing and
reference the City of Savannahs Capital Improvement Project (CIP) designation of OP-132-

06 for the Savannah River Landing Project. See (Exhibits C, D and E, Construction
Bonds).
58. Upon information and belief, in connection with the issuance of the Construction
Bonds, Liberty Mutual was supplied with a copy of the Development Agreement, was advised
that the Construction Bonds were being sought by Ambling in order to satisfy ALRs obligations
pursuant to the Development Agreement, and was afforded an opportunity to conduct
appropriate due diligence with respect to ALR and Ambling.
59. More than sixty (60) days have elapsed, without payment, since Plaintiff notified
Defendant of Plaintiffs claims pursuant to the Construction Bonds and made demand for
payment of same.
60. Defendants purported reason for denying Plaintiffs claims i.e. that Ambling
Construction had no agreement whatsoever with the Claimant [Plaintiff] or the Owner [ALR] to
construct any improvements for the Project and, consequently, that the bonds have nothing to
guarantee and, therefore, have no force or effect is an utter sham because no reasonable
person could believe that: (a) Ambling was performing work at Savannah River Landings for any
reason other than to fulfill ALRs duties pursuant to the Development Agreement; and/or, (b)
either Defendant, as Surety, or Plaintiff, as Obligee, voluntarily entered into three (3) separate
Construction Bonds with the understanding that none of the Construction Bonds would have any
legal force or effect.
61. Defendant has no reasonable basis for denying Plaintiffs claims, and said denial
constitutes bad faith.
62. Pursuant to O.C.G.A. 10-7-30, Defendant is liable to Plaintiff for the full
amount of the loss occasioned by Defendants bad faith denial of Plaintiffs claims, plus twenty

five percent (25%) of the amount of said loss, plus all reasonable attorneys fees incurred by
Plaintiff in the prosecution of this civil action.
WHEREFORE, Plaintiff, The Mayor and Aldermen of the City of Savannah, Georgia,
prays for relief as follows:
(a) That summons and process be issued and served upon Defendant;
(b) For a trial by jury composed of twelve persons;
(c) An award of full compensation for its losses occasioned by Defendants actions as
determined at trial;
(d) An award of an additional twenty five percent (25%) of its losses and all reasonable
attorneys fees incurred by it as authorized by O.C.G.A. 10-7-30; and
(e) Any other relief that this Court deems to be just and proper.
