MONTHLY RETAINER AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is entered into by XXXX LAW OFFICES with
office address at located at Suite 305 Laperal Building, Session Road
Baguio City hereinafter referred to as the LAWYER,

- and -

DEBORAH ANDROMEDA-EVEREST of legal age, Filipino
citizen, owner of MY COLLECTING AGENCY with business address at
101 Lopez Bldg. D, E. Rodriguez, Quezon City hereinafter called the
CLIENT.


WITNESSETH


WHEREAS, the CLIENT wishes to retain the legal services of the LAWYER.


WHEREAS, the LAWYER is likewise willing to accordingly extend legal
services to the CLIENT.


NOW THEREFORE, upon the foregoing recitals, the parties have agreed as they
hereby agree, to enter into this MONTHLY RETAINER AGREEMENT subject to the
following terms and conditions:


1. That the monthly retainer shall be FIVE THOUSAND PESOS
(P5,000.00) per month payable on the first ten (10) days of the
subsequent month;

2. That the services to be rendered by virtue of this agreement includes,
but not necessarily limited to the following:

a.} Rendition of legal opinion on all matters pertaining to the affairs of
CLIENTS company, when such advice or counsel is sought;

b.} Preparation and/or notarization of documents and
communications which may be needed or required by the CLIENT except
for deeds of sale, conveyances and other documents, where the LAWYER
requires the standard rate of the IBP, which is 1% of the actual monetary
consideration, but as to our arrangement, shall be of 1% but not less
than Php 1,000.00;

c.} Represent the CLIENT, its officials or employees before the courts or
agencies wherein the CLIENT or its officers or employees are made parties
in their official capacities, PROVIDED, the undersigned or his
representative shall be entitled to a representation or appearance fee of
P2,000.00;

3. In case any matter should arise between the CLIENTS business and
another client of the LAWYER by virtue of which the latter might be
embarrassed by conflicting interests, then it reserves the right to
withdraw insofar as that particular matter is concerned. In which
case, the CLIENT will be expected to secure counsel elsewhere for that
particular controversy;

4. Conformably with the lawyer-client confidential relationship, the
LAWYER unconditionally commits to keep all information, data and
documents revealed by you in strict confidentiality;


5.} It is understood that the proposed retainership contract is subject to periodic
review and adjustment upon mutual agreement. This contract shall be binding until
properly revoked, and that if the contract is subject to termination by either party, a 60-
day notice in writing shall be accorded to both the parties;
