SECOND PART+. desirous of appointing Super Stockiest / Distributor have agreed it to
an agreement to conduct business for and on behalf of the -FIRST PART+. the terms &
condition agreed to amongst the parties are reduced to writing as under:-

STATUS 1 POSITION: 0 That the SECOND PART+. shall hold the position of
super stockiest /distributor on his authori#ed territory and shall en$oy all the rights
privileges and facilities and simultaneously by bond by all duties and liabilities as the
distribution network development sales promotion and payment recovery on behalf
term & condition of company with own responsibilities"
PRICE STRUCTURE:0 The price finali#ed between the F23st Pa3t4 and the Se5678

)AT/CST REGISTRATION:0 That Super Stockiest / Distributor will have to obtain
the necessary )AT CST registration number in the name of the own firm in the specified
territory and will be liability for own cost/e,perience" That all direct ta,es including
CST / )AT shall be born by the -SECOND PART+. and reimburse by the -FIRST
PART+. in way of credit note sub$ect to fulfillment of all reports information &
clearance of dues payments by the -SECOND PART+. on time to -FIRST PART+.*
CARRIAGE 1 TRANSPORTATION OF GOODS:0 That freight of goods on /0)
basis to the SECOND PART+1 transport destination shall be borne by the FIRST
PART+. on way of credit note" Thereafter loading/unloading charge & freight will be
reimburse by SECOND PART+1 own cost to the S2304D (.)T1"
DAMAGE 1 DEFECTED : 0 Super Stockiest /Distributor/ will event of receipt of any
Damaged / Shortage -aterial of receipt from the transportation will keep the company
informed within % days of receiving as all particular product wise in writing us to settle
the claim in kind either should not be accepted"
MODE OF SUPP"+ OF GOODS: 0 That the -FIRST PART+. shall supply goods to
the SECOND PART+. against road permit & form. C -29 re!uired" The
delivery of material shall be affected as 5 days of before payment receiving in advance
make supply upon depending the availability of suitable appropriate 6oods / (lace /
Transportation / Situation"
*OB"IGATION OF CUSTOD+ OF GOODS: 0 That the SECOND PART+. shall
also responsible for safe custody of the goods including their storage and
Delivery with own risk they are delivered to the only authori#ed
Distributors/ Dealer / )etailer of order through local delivery on own /"0")"
cost sales and payment shall strictly ensure that the goods only yours responsibilities
and also inform you company in fruitful way"
PA+MENT TERMS: - payment shall be made against on place order in advance 5
days before dispatch of goods only" That the secondary payment shall be collected by
the SECOND PART+1 and the FIRST PART+1 shall not any involvement in
regards to payment" 3redit will be issue on the company nature not be bounded"
MINIMUM ORDER :UANTIT+: 0 6oods once 0rder / Sold should not back either

as per company norms" Super Stockiest / Distributor shall only be responsible for
their omission or commissions company8s representative also obligation for that but
not be bounded"
*SUPP"+ TO SUBORDINATE DISTRIBUTION:- That the SECOND
PART+. will supply stock to the authori#ed subordinate distribution network
only on his territory as for the instruction from the company8s officer
assigned for the purpose not make any differences and fully responsible for the same
only SECOND PART+."
SA"ES TARGET:- The company shall fi, and inform about sales target of !uantity in a

Super Stockiest" in primary phases and shall ensure to achieve the above target with own

SECOND PART+. shall be responsible for their omission or commission only"

FIRST PART+ will provide it:s logo to the SECOND PART+ only to include in
business cards catalogs vehicles T shirts ;anners Stickers" 0ther then this if
SECOND PART+ want to use logo somewhere else then they have to inform to the
FIRST PART+ in prior"
PROMOTION: 0 That the -FIRST PART+. will try to maintain of the (roduct
price <uality (ackaging and Delivery Schedule also with scheme and advertisement
for promotion"
ON DEFAU"T TERMS:- That the /=)ST (.)T91 shall be entitled to terminate
the agreement in case the S2304D (.)T91 default or act in contravention of any
clause for the present agreement of any misbehavior on the part of second part and in the
event /=)ST (.)T91 will not be obliged to give notice what so ever and may forfeit
the deposit amount and may claim losses encored the business from the S2304D
(.)T91"
TERMINATION OF CONTRACT:0 That the -FIRST PART+. reserves the right to
terminate this agreement without any notice if make unfortunate circumstances specified as
