ACUERDO DE COOPERACION ENTRE EL GOBIERNO DE LA REPUBLICA ARGENTINA Y EL.GOBIERNO DE LA REPUBLICA POPULAR CHINA SOBRE LACONSTRUCCION, EL ESTABLECIMIENTO Y LA OPERACION DE UNA, ESTACION DE ESPACIO LEJANO DE CHINA ENLA PROVINCIA DEL NEUQUEN, ARGENTINA, EN EL MARCO DEL PROGRAMA CHINO DE EXPLORACION DE LA LUNA | Gobiemo de la Reptblica Argentina (en adelante, "Gobierno de Argentina’), y el Gobiemo de ta Repiblca Popuiar China (en adelante, “Gobieme de China’), denominadas en conjuno "las Partes, o individualments “ta Pare’ CONSIDERANDO: Las cisposiciones det “Tratado sobre los princpios que deben regir las ‘actividades de los Estados en la exploracién y utiizactén del espacio Uuraterreste, incluso la Luna y otros cuerpos celesies", celebrado el 27 de ‘enero de 1967, del que la Argentina y China son parte, El Convenio sobre Cooperacién Cientiica y Técnica entre el Gobierno fe China el Gobiemo de la Argentina, frmado el 7 de junio de 1980, El "Acuerdo Matco de Cooperacién Técnica para el Uso Pacifico de! Espacio Utraterrestr entre la Comisién Nacional de Actividades Espaciales {(CONAE) dela Argentina y la Agencia Espacial Nacional de China (CNSA) de a Repablica Popular de China’, celebrado el 16 de noviembre de 2004, {Que los Gobiernas de Argentina y China recenocen la importancia dat desarrollo do la ciercia y tecnologia espacial en beneficlo de sus pueblos y de toda la humaridad: Que es de interés de los Gobiemos de Argentina y China, trabajar Cconjuntamente en el desarrolo de ia tecnologia espacial con fines pactfcos y ‘cooperar en el campo ce las actvidedes espaciales para benefcio mutuo, ‘Que el Gobiemo dela Replica Popular Chine ests llevando a cabo un Programa de Exploracién de la Luna, y prevé futuras_stapas de exploracon de‘0t0s cuerpos celestes del Sistema Solar, en particular! Planeta Marte; ‘Que para garantizar el éxito del mencionado programa, y con el fn de asegurar visibldad y dar apoyo desde la Tierra a las misionesInterpianctaias ¥ de estudios astronémicos, el Gobierno de China debera contar, ademés de Jas instalaciones disponibles en su pals, con una Estacién para seguimiento terestre, comando y adguisiciin de datos, inctuida una Antena para la Investigacién del espacio Lejano, en América del Sur, {Que a Argentina manifesta su firme voluntad co contribur al programa de Exploracion Lunar del Gobierno de China, feciitando la instalacion de una estacién, en su tertorio, que formara parte de la red de Telemetra, ‘Seguimiento y Comando de ese pals; Que el Gobierno de China ha identicado que el teritorio dela Provincia dol Neuquén, Argentina, es el que rene las_conciciones mas favorables para alojar una esiacion de espacio lejano, en América del Sur; Que, asimismo, para aribar ala concusién precedente, el Gobiemo de China, a través del Gent de Lanzamiento, Seguimiento y Control (CLTC), ‘organism chino respansable dela Red China de Comunicaciones del Espacio lLejano, ha tenido en cuenta las capacidades espaciales de la Republica ‘Argentina, a través de las acividades desarroladas por fa Comisién Nacional de Actividades Espaciales (CONAE), Que es de interés para el Gobierno de la Argentina poder dar apoyo y fomentar el crecimiento nacional de las capacidades vinculadas al desarrato Centifco tecnolégico que generaré el proyecto, teriendo en cuenta que la CCONAE se benefiiard con el acceso a un minima del diez (10) por cleo de! tiempo de uso de la antena para desarroliar proyectos propio. Que la Provincia del Neuquén, reconociendo el beneficio socloeconémico y clentifco tecnoldgica de alojar una Estacién del Espacio LLejano en su teritoro, uso a disposicdn del proyecte una parcela de terra en el rea identifoada como la més propica; ‘Que a fn de sentar tas bases minimas para hacer viable e! proyecto, se ‘suseribleron dos instumentos, a saber 4) El Acuerdo de Cooperacién en el émbito del Programa Chino de Exploracién de la Luna ente la China Satelite Launch and Tracking Gonttol General (GLTC) y la Comisién Nacional de Actividades Espaciales (CONAE) para establecer las condiciones que rigen Ia implantacion de las instalaciones de sequimiento terreste, comando y fadquisicion de datos, Incuida Una antena para nvestigacion del espaco lejano en ta provincia del Neuquén, Argentina, frmado el 20 de jufo de 2012, y sus anexos,2) E! Acuerdo de Cooperacién en el marco del Programa Chino de Exploracion ce la Luna ente la China Satalife Launch and Trackng Control General (CLTC), la Comision Nacional ce Actividades Espaciales (CONAE) y la Provincia del Neuquén para establecer las condiciones {que rigen al implaniacién de las inetalaciones de eeguimiento terrestre, comands y sdquisicgn de datos, includa una antena para Investigacion {el espacio lejano en la provinela del Neuquén, Argentina, fimado e! 28 e dloiembre de 2072 y sus anexos. ‘Que, para concretar de forma defritiva el mencionado Proyecto resuta ‘convenients proceder a la instumentacién del presente Acuerdo de CCooperaciin acordéndose, tal fin, benefiics impositves, aduaneros, migratorios y consulares, entre otros. Las partes, ACUERDAN el siguiente articlado: Axticulo 1 ‘OBJETO Las partes acuerdan cooperar pera la constuccién, el establecimiento y ‘operacién de Instalaciones de Seguimiento Tereste, Comando y Adqusiién de Datos, incluida una Antena para Investigacion dsl Espacio Lejano en el teritorio de la Provincia del Neuquén, Repiblica Argentina. Las Instalaciones ‘serdn construidas y operadas por China con el fin de brindar soporte terreno @ Jas misiones de Exploracion del Espacio Lejano, Asticulo 2 DESGRAVACIONES IMPOSITIVAS ‘Todas las operaciones de comercio exterior, realizadas por el Gobiemo do China, para el establecimiento,construccién y operacién de la estacin del espacio lejano en la Provincia del Neuquén, as/ coms también las comoras y Contrataciones de bienes, obras, locacones 0 prestaciones de servicios realzadas en la Argentina, estaran exentas de todo impuesio y/o derecho Aaduanero, los Impuesios ‘internos, asi como tanbién de los. impuestos nacionales al consumo, incuido el VA, Articulo 3 VIGENCIA Y APLICAGION DE LA NORMATIVA GENERAL 1. El Gobiemo de China levara a cabo sus actividades en Argentina de ‘acuerdo con las leyes y regiamentaciones nacionales de la Argertina, las leyes, ¥ reglamentaciones de la Provincia del Neuguén, y las dlsposiiones previstas, ‘en los Acuerdos de Cooperacion Inernsitucional, mados oportunamente2, I Gobiemo de China declara que las oblgacones y derechos que se Feconocen en el presente Acuerdo de Cooperacién son aplicabes y deberan ser cumplidos por el Centro de Lanzamienio, Seguimiento y Cont! (CLTO),organismo Chino responsable de la consirwcion y operacion de la Red China de comunicaciones del Espacio Lejano. 3. EI Gobierno de Argentina no intereriré ni interumpird las actividades ormales que se leven a cabo en virtud del presente Acuerdo de Cooperacién, Sin perjuiio de lo_ anterior, en caso de que la Argentina deba tomar decsiones. ‘que puedan interfer con las actividades de China, se compromete a informar @ ésta_con la debida antcipaccén, ast como a explora salucones alternativas, ‘cuando sea necesati, a fin de asegurar que tales actividades no se vean sustanclalmente afectadas. Articulo 4 ‘CUESTIONES MIGRATORIAS El Gobierno argentino faciltara la tramitacién de los permisos de Ingres yo Ia emision de visas en las categorias corespondientes, de acuerdo con la ‘ormatva vigente, Articulo 5 REGIMEN LABORAL 1. Las relaciones laborales necesarias para la ejecucién del objeto del presente ‘Acterdo se regiran por a ley del lugar de ejecucién del contrato, sin pejuicio ‘8 [as reglas establecidas en el preserte, En todos los casos, la Argentina eeoerd las potestades correspondientes al Poder de policia en materia laboral y de seguridad = higiene, prevsto en la hormativa aplicable, i Gobiemo de China, en consecuencia, se compromete a cumplir con las reglamentaciones vigentes en la Argentina, en materia de poder de policia laboral, seguridad e higiene del abo. 2. Las remuneraciones y otros ingresos, abonados por el Gobierna de China a los empleados de nacionaidad China, que trabajen en el proyecto, se regiran por la legslacién del pals de orgen, siempre y cuando se respeten los ‘derechos laborales consagrados en el preserte, Articulo 6 INDEMNIDAD a Goblerno dela Argentina no $2 respensabilza, nacional 0intemacionalmente, en razén de las actividades del Gobiemo de China en su tector vinculadas al proyecto, sea por accion U onision de ésta, 0 d= SUS representantes. EI Gobierno de China mantendré indemne a Argentina de toda ‘bligacién que surgiere de reciamos de cualquier naturaleza, a pedido e Instancia de terceros, como consecvencia de fales actos u omisiones. Aticulo 7 ‘SOLUCION DE CONTROVERSIAS. “Toda controversa reativa a la interpretacion y aplleacién del presente acuerdo o que surja durante la ejecucién del mismo se dirimira amigablemente através de los correspondientes canales dplomaticos. Articulo 8 VIGENCIA 1. El presente Acverdo tendré una vigencia de cincuenta (50) aflos. Las artes se notifcaran mutuamente por escito a través de canales diplomats, luna vez que se hayan completace los procedimientos iternos necesarios para la entrada en vigor del presente Acuerdo. El mismo, entrard en vigor en la fecha de recepcién de ia ttima notiicacién eseita ene las partes 2. Las enmiendas de cualquler articulo del presente acuerdo serdn ‘cordadas entre las Partes por escrito y entrarén en vigor de acuerdo con lo establecido en el primer parafo el presente articul, 3. _Elplazo de vigencia del presente acuerdo puede ser extendido mediante Fegociaciones entre las Partes. La parte que desee extender el plazo de \igencia deberd notfcare a cra part con una antoasién de al menos tes (3) _afios previos al vencimiento del presente acuerdo, 4. Cada una de las partes tend derecho a termnar el presente acuerdo ‘con justa causa, debidamente acredtada. En especial, constitrd causal de Terminacion. la cicunstancia por la cual una de las Partesincurrese en una vilacion de una disposicién esencial del Acuerio que imposiiite a ‘consecucién del mismo. La parte peticionante deberd notfcar a la oa parte por escrto con al manes cinco (5) anos de antelacion, 5.__ Enel caso de Ia terminacion antcipada, las partes firmardn un acuerdo lego de realizar las consultas comespondientes relacionadas con la finaizacién y haran su mayor esfuerzo para minimizar el impacto negatvo dela terminacién.Celebrado el 23 de abil de 2014 en Buenos Aires en ds elemplares de lun mismo tenor y a un solo efecto en idiomas espafol, chino e ingles. The Cooperation Agreement inthe Framework ofthe Chinese Program for ‘Noon Exploration between the China Satelite Launen and Tracking Control General (CLTC) and the National Commission of Space Actviles (CONAE) ‘of the Argentine Republic to Establish Ground Tracking, Command and Data ‘Acquisiton Facies, including the conditions that govein the constuction of the facilites for ground tracking, command and data aequlsion, including Deep Space Antenna, in the province of Neuguén, Argentina, signed on July 20, 2012, and its Annexes. 2, The Gooperaton Agreement within the Framework of the Chinese Program fer Moon Exploration between the China Satelite Launch and ‘Tracking Control General (CLTC) of the People's Republic of China, the National Commission on Space Activites (CONAE) of the Argentine Republic and the Province of Neuquén to Establi the Conditions for tho 2Implementation of Ground Tracking, Command and Data Acquistion Facies, including a Deep Space Antenna, in the province of Neuguen, ‘Argentina signed on December 28, 2012, and its Annexes. ‘hatin order to conerotize the aforesaid Project itis convenient to implement this Cooperation Agreement by establishing grant tax, customs, migration and ‘consular benefits, among other. ‘The partes AGREE to the folowing: Article 1 OBJECTIVE ‘The Parties agree to cooperate for the construction, establishment and ‘operation of Ground Tracking, Command and Dale Acquistion Facies, Including a Deep Space Antenna, in the toritery of the Neuguén Province, ‘Argentine Republic, The Facies wil be bult and operated by China to provige ‘round support to Deep Space Exploration Missions Article 2 ‘TAX EXEMPTIONS. Every foreign trade operation conducted by the Sovernment of China for the establishment, construction and operation of the deep space station inthe Province of Neuguén, as wall as the acquisitions and contracting of good works, services made in Argentina, shall be exempted from every tax andlor Customs duly, domestic taxes, as well as national taxes on consumption, including VAT. Article 3 VALIDITY AND APPLICATION OF GENERAL RULES 41. The Government of China shall conduct its activites in Argentina in accordance withthe national laws and regulators of Argentina, the laws {and reguiations of the Province of Neuquén, and the provisions included in the Inter-Instuional Cooperation Agreements, signed in due time. 2. The Government of China declares thet all rights and obligations recognized in this Cooperation Agreement are applicable and must be fulflied by the Satelite Launch and Tracking Cortrot General (CLTO), the Chinese organization responsibie for the constucion and operation ofthe Chinese Deep Space Network 3, The Government of Argentina wll not interfere with or interupt the normal 3activites. cared out in accordance with this Cooperation Agreement. [Notwithstanding the foregoing, should Argentina have to make decisions that might interfere with China's actives, Argentina undertakes to inform CChina in advance, and to explore alematve solutons, if necessary, in Corder to ensure that such activities are not significant affected Article 4 MIGRATION MATTERS: ‘The Government of Argentina shall grant the appropriate entry permits and visas, through simplified procedure, in the coresponding legal category to the Chinese staff assigned tothe performance ofthis azreement. Article § LABOUR REGULATIONS. 1. Working relations necessary for the execution of the object of this ‘Agreement shall be governed by the laws of tho place in which this ‘agreement Is. performed, notwithstanding the established rules In the present agreement. ‘Argentina shall retain the powers 8s enforcement authority for all health and safety matters, in accordance wih applicable regulations. our, ‘The Government of China agrees to comply with Argentne regulations presently in effect on labor enforcement matters, occupational health and safety 2. Wages and other income payments made by the Government of China to Chinese employees working onthe projec shal be governed bythe laws of their country of origin provided that employment rights hereby established are respected. Article 6 INDEMNITY The Government of Argentina shall not be lable, nationally or Interationally, for any project-eated activity performed by the Government of China in is teritory, be it through act or fallure to act by China oF is representatives. The Government of China shall hold Argentina harmless of any ‘ities arising fom claims of any nature, at the request of a third party, as @ Consequence of such acts or omissions.-——_---— Article 7 DISPUTE SETTLEMENT All disputes related to he interpretation and eprication of this agreement arising during its execution shall be sates by friendly consultations trough the Pertinent diplomatic channels. Article 8 EFFECTIVE TERM, 1. This Agreement shall be effective for fy (50) years. The Parties shal roffy each other in wring through diplomstic crannels, once the intemal procedures necessary forthe enty into force of tis agreement have been ‘completed. This agreement shall Become effective upon receipt cf the last \welten notfeation among the partis, 2, The amendments of any article ofthis agreement shall be agreed upon between the Parties in wring and shal be effective in accordance withthe fist paragraph ofthis atl, 3. The effective term ofthis agreement can be exterded thraugh negotiations between the Parties. The party wishing fo extend the effective term shall roffy the other party atleast three (3) years pricr to the expiration of this ‘agreement 4. Each party shall have the right to terminate this ageement fora just cause: duly proven. In partcular, any cxcumstance by which one of the Parties breaches a crucial provision of this Agreement, thus preventing. ts Completion, shall be considered a cause for termination. The pettoner shall notiy the other party in wting at least five (8) years in advance, 5. In the event of early termination, the parties shall sign an agreement following appropriate consultations related to the termination of this ‘Agreement and shall make their best efforts te minimize the negative Jimpact of such termination, ‘Signed on 23th April 2014 in Buenos Aires in two originals in Chinese, ‘Spanish and English language, al texts being equally authentic.
