KorekTelecomLLCalimitedliabilitycompanyincorporatedunderthelawsofIraq,withits
principalofficeatKorekTelecomCompanyHQErbilPirmam(Korek).
WITNESSETH
WHEREAS,theeffortcontemplatedbythisAgreementforMarketResearch(Agreement)is
ofmutualinterestandbenefittoKorekandResearcherandwillfurthermarketresearch
objectivesofKorek;
WHEREAS,Researcherhasvaluableexperience,skillandabilityinperformingresearch
WHEREAS,KorekdesirestohaveResearcherundertakeaprojectinaccordancewith
thescopeofworkdescribedinExhibitA(StatementofWork);

NOWTHEREFORE,formutualconsiderationsetforthherein,theadequacyofwhich is
herebyacknowledged,KorekandResearcher,intendingtobelegallybound,herebyagree
asfollows:

1.SCOPEOFWORK
A.ResearcheragreestousereasonableeffortstoperformtheProject.Projectshallmeanthe
StatementofWorkapprovedunderthisAgreementasdescribedinExhibitA.

SubstantivechangestotheProjectrequirepriorwrittenapprovalofKorek.

3.TERMOFAGREEMENT
ThetermofthisAgreementshallcommenceonthedatethatallrequiredsignatureshavebeen
affixedandshallendatthecloseofbusiness_______________fromtheeffectivedate.The
effectivedateshallbefixedaftertheAgreementhasbeenfullyexecuted.

4.REPORTS
ProjectManagershallmaintainrecordsoftheresultsoftheProjectandshallprovideKorek
with
reportsoftheprogressandresultsoftheProjectinaccordancewithExhibitA.

5.PUBLICATION
A.Korekshallhavetheright,atitssolediscretion,toreleaseanyinformationortopublishany
materialresultingfromtheProject.
B.ResearchershallnotuseKoreksnameorlogo,withoutKorekspriorwrittenconsent.
C.ResearchershallnotidentifyorinanywayrepresentitselfasbeingtheKorekorasbeingan
agentofKorek

6.RELATIONSHIPOFPARTIES
A.Nothingcontainedhereinshallcreateorestablishajointventureorapartnershipbetween
KorekandResearcher.Exceptasotherwiseprovidedherein,eachpartyshallbesolely
responsibleforanyandallclaimsfortaxes,fees,orcosts,includingbutnotlimitedto
withholding,incometax,FICA,andworkmenscompensation.
B.ForthepurposesofthisAgreementandallservicestobeprovidedhereunder,theparties
shallbeandshallbedeemedtobeindependentcontractorsandnotagentsoremployeesofthe
otherparty.
C.NothingcontainedinthisAgreementshallbeconstruedorimpliedtocreateanagency,
partnership,jointventure,oremployerandemployeerelationshipbetweenKorekand
Researcher.
D.Neitherpartyshallhavetheauthoritytomakeanystatements,representationsor
commitmentsofanykindortotakeactionwhichshallbebindingontheotherparty,exceptas
maybeexpresslyprovidedforhereinorauthorizedinwriting.
8.DISCLAIMEROFWARRANTY

Thewarrantiescontainedhereinareinlieuofallotherwarrantiesorconditions,expressor
implied,including,withoutlimitation,thoseofmerchantabilityorfitnessforaparticular
purposes.InnoeventshallKorekbeliablefordamages,directorindirect,includingincidental
orconsequentialdamages,sufferedbytheResearcherorotherthirdpartyarisingfrombreach
of
warrantyorbreachofcontract,negligence,oranyotherlegalgroundofactions.
9.TERMINATION
KorekshallhavetherighttoimmediatelyterminatethisAgreementforanyreasonorforno
reason,bygivingwrittennoticetoResearcher.
11.FORCEMAJEURE
Neitherpartywillbeliablefor,orwillbeconsideredtobeinbreachofordefaultunderthis
Agreementonaccountof,anydelayorfailuretoperformasrequiredbythisAgreementasa
resultofanycausesorconditionsthatarebeyondsuchpartysreasonablecontrolandthatsuch
partyisunabletoovercomethroughtheexerciseofcommerciallyreasonablediligence.Ifany
forcemajeureeventoccurs,theaffectedpartywillgivepromptwrittennoticetotheotherparty
andwillusecommerciallyreasonableeffortstominimizetheimpactoftheevent.

12.NOTICE
A.AnynoticerequiredtobegivenunderthisAgreementshallbeinwriting
B.Eitherpartymaychangetheaddresstowhichnoticeistobesentbywrittennoticetothe
otherpartyunderanyprovisionofthisparagraph.

13.JURISDICTION/DISPUTES/INTERPRETATION
ThisAgreementshallbegovernedinaccordancewiththelawsoftheIraq..Alldisputesunder
thisAgreementshallberesolvedby
litigationinthecourtsoftheErbil,includingthefederalcourts
therein.
14.ORALMODIFICATION
ThisAgreementmaynotbemodifiedorally.
ExceptorprovidedinthisAgreement,all
modificationsmustbebywrittenamendmentsignedbyKorekandResearcher.
15.AGREEMENTBINDINGONSUCCESSORS
TheprovisionsoftheAgreementshallbebindinguponandshallinuretothebenefitofthe
partieshereto,theirheirs,administrators,successors,andassigns.
16.ASSIGNABILITY
NeitherpartymayassignthisAgreementortherightsandobligationsthereundertoanythird
partywithoutthepriorexpresswrittenapprovaloftheotherparty,whichshallnotbe
unreasonablywithheld.
17.WAIVER
Nowaiverbyeitherpartyofanydefaultshallbedeemedasawaiverofpriororsubsequent
defaultofthesameofotherprovisionsofthisAgreement.

18.SURVIVABILITY
Theobligationssetforthinpublicationsectionshallsurvivetheexpirationorterminationof
this
Agreement.
19.SEVERABILITY
Ifanyterm,clauseorprovisionhereofisheldinvalidorunenforceablebyacourtofcompetent
jurisdiction,suchinvalidityshallnotaffectthevalidityoroperationofanyotherterm,clauseor
provision,andsuchinvalidterm,clauseorprovisionshallbedeemedtobeseveredfromthe
Agreement.

20.INTEGRATION
ThisAgreementandtheattachmentsappendedtheretoconstitutetheentireunderstandingofthe
partiesandareintendedasafinalexpressionoftheirAgreement.Itshallnotbemodifiedor
amendedexceptinwriting,signedbythepartieshereto,andspecificallyreferringtothis
Agreement. ThisAgreementshalltakeprecedenceoveranyotherdocumentswhichmay
conflictwiththisAgreement.

INWITNESSWHEREOF,thepartieshereto,intendingtobelegallybound,hereby,have
each
causedtobeaffixedheretoitsorhis/herhandandsealthedayindicated.

Scope of Work:
On March 9th2015, IPSOS Jordan will start the fieldwork to perform face to face interviews in selected
Iraqi governorates to measure the quality of service they are experiencing from Korek and its
competition. The purpose of the fieldwork is to collect information from actual customer feedback on
his/her experiences with our touch points such as points of sales, call center, brand, network
coverage/quality and pricing etc. This information is also collected for competition subscribers based on
their experiences with their primary operators.
Services to be provided by the Contractor:
1. Sample Size:

A random sample of 1,002 respondents from 8 selected Governorates i.e. Erbil, Duhok,
Sulymaniyah, Baghdad, Basrah, Najaf, Karbala and Kirkuk. The detailed sample breakup is given
below:

2. Geographical Coverage:

A random sample of 1,002 respondents from 8 selected Governorates i.e. Erbil, Duhok,
Sulymaniyah, Baghdad, Basrah, Najaf, Karbala and Kirkuk.
3. Average Survey Duration:
The questionnaire should follow a tested and standardized flow of questions. Note that the
questionnaires administration time should not exceed 35 Minutes.
4. Methodology:
Face-to-Face Interviews will be the main basis of data collection. This will entail the
administering of interviews by Ipsos Jordan qualified interviewers, who in turn, will be monitored by
specialized Ipsos supervisors.

5. Sampling:

The Respondents will be randomly selected from each city; no quotas are placed on the number of
respondents selected from each provider within each city. Daily tallies will ensure the achievement of
interviews for each MSP as detailed above. Rural areas will not be covered within this activity and it
will be limited to Urban and Sub Urban regions in each targeted city. The definition of low, medium and
high expenditure levels will be as below:

6. The Field work:


The research will follow the below described procedures:
a) Field Execution:

The number of teams & professional interviewers who will carry out the
fieldwork will be decided upon as required by the research scope. These will be headed
by a Field Supervisor.
b) Training:
Before the start of the fieldwork, the Project Head will conduct training sessions
to brief the interviewers and the Field Supervisor on the study, highlighting tricky
elements and explaining the methods of collecting the information. The training sessions
will include:

No interviewer will be sent to the field unless deemed qualified by IPSOS
fieldwork guidelines

c) Pilot Test:
Through conducting a number of real interviews for testing purposes, the Project
Head will verify the questionnaire and the performance of all interviewers. After the Pilot
Test, the questionnaire will be refined and the interviewers will be briefed on the
difficulties expected and the methods by which they should deal with them. The Pilot
Test inquiries are not included in any of the study results. They are used for testing
purposes only.
d) Tools Used for the Collection of Information:
During the fieldwork, the interviewers will have the following materials:

e) Fieldwork Control:
The control (external and internal), will be done on three levels.

1st level:

2nd level:

In the office, all questionnaires will be reviewed and edited by the supervisors no
later than the day following its execution. This will be done for the purpose of identifying
all incomplete or wrongly filled questionnaires, which will then be substituted.

3rd level - Optional:

The 3rd level of control will be done in the data processing department in order to
review and check in detail all the information in the questionnaires before the data entry
is done.

The surveys will be conducted in Kurdish and Arabic


8. Timelines:

The fieldwork should be completed within 5 weeks, ideally by April 10th 2015.
9. Deliverable:

The filled questionnaires will be uploaded to a specific URL shared by Korek.


10. Project Cost:

The final cost of the QOS fieldwork covering 1,002 interviews is $53,000 USD
11. Payment Terms:

A 50% down payment will be paid upon approval and contractual agreement. The
balance (50%) will be paid after the data has been uploaded and sent to Korek. IPSOS will
reserve the right not to commence any activities related to this offer prior to receipt of 50% down
payment.
