TRUST DEED

THIS DEED is made the

BETWEEN
** of ***(hereinafter referred to as "Beneficiary") of the one part;
AND
** of ****(hereinafter referred to as "Trustee") of the other part.
WHEREAS:(1) The Beneficiary has caused to be transferred into the name of the
Trustee the Shares specified in the Schedule annexed hereto
(hereinafter referred to as "the said Shares") in a company known as
***** with its registered office at **** (hereinafter referred to as the
said Company).
(2) All money for the purchase of the said Shares was provided by the
Beneficiary.
(3) All such transfers as aforesaid were made to the Trustee as a nominee
of the Beneficiary and it was agreed prior to the transfer that the
Trustee should execute this Declaration of Trust as hereinafter
contained.
NOW THIS DEED WITNESSETH as follows:1.

The Trustee hereby declares that he holds the said Shares in the said
Company and all dividends interest and benefit accruing or to accrue
upon the same upon trust for the Beneficiary and his successor-in-title
and assigns and agrees to transfer pay and deal with the said Shares
and the dividends and interests payable in respect of the same in
such manner as the Beneficiary shall from time to time direct.

The Trustee shall at the request of the Beneficiary attend all meetings
of Shareholders or otherwise which he shall be entitled to attend by
virtue of being the registered proprietor of the said Shares or any of
them and shall vote at every such meetings of shareholders in such a

manner as the Beneficiary shall have previously directed and further

shall if so required by the Beneficiary execute all proxies or other
documents which shall be necessary or proper to enable the
Beneficiary, his successors-in-title or assigns or nominees to vote at
such meeting in the place of the Trustee.

The Trustee shall, as and when there shall be any person who is ready
and willing to purchase or receive the said Shares or any part thereof
and on being so required or directed by the Beneficiary transfer to
such person as shall be nominated by the Beneficiary the said Shares
or any part thereof as the Beneficiary may direct from time to time.

The Trustee shall hold any new shares (hereinafter referred to as

"such new Shares") offered from time to time to the Trustee in respect
of the said Shares as aforesaid and subscribed for by him upon the
trusts and subject to the powers and provisions hereby declared
concerning the said Shares as if the same were accretion thereto and
the expression "the said Shares" wherever appearing in this Deed
shall mean all the said Shares including such new Shares.

The Beneficiary shall at all times hereafter indemnify and keep

indemnified the Trustee against all liabilities which the Trustee may
incur by reason of such Shares or any of them being so registered in
the name of the Trustee as aforesaid and in particular shall punctually
pay all calls and other demands which the Trustee may be or become
liable to pay in respect of the said Shares or any of them the Trustee
may in his discretion subject as hereinafter mentioned think fit to
subscribe and all costs and expenses incurred by the Trustee in the
execution of the trust of this Deed.

6.

The Beneficiary is vested with the power to revoke the appointment

of the Trustee at any time the Beneficiary so wishes. Upon such
revocation the Trustee shall execute the Shares Transfer Form in
respect of the said Shares in favour of any person as the Beneficiary
may direct. The Trustee may also retire from the appointment at any
time with the consent of the Beneficiary.

7.

The Beneficiary is also vested with the power to appoint a new

Trustee in respect of the said Shares.

8.

This Deed shall be binding upon the respective heirs executors and
assigns of the Beneficiary and the successors-in-title and assigns of
the Trustee.

IN WITNESS WHEREOF the parties hereto have caused this Deed to

be duly executed as of the date first mentioned above.
