Mokhwa Library Foundation Articles

Article 1【Name】
The Foundation's official name is “Mokhwa Library Foundation”(foundation).

Article 2【Location】
Main office is be in Seoul Metropolitan City and branches can be installed where necessary.

Article 3【Objective】
① It is objective of the foundation to establish, operate library for guarantee right of unrestricted access of knowledge, information,
culture and communicate based knowledge, set share learning culture in living by Library Act(도서관법).
② It is objective of the foundation to support individual, organization that establish or operate library and research, study for
enhancement of library culture include correct knowledge system building, welfare realization and growth of democracy by Library
Act article 17 similar to article 1 in this articles.

Article 4【Works】
Foundation works followings to achieve article 3.
1. Establishment and operation of library by Library Act
2. Support to individual or organization that establish, operate library human resources, materials and management, etc
3. Publication and research or education of library service
4. Fund-raising and execution for establishment or operation support of library
5. Consignment management of library
6. Any works to achieve objective of foundation

Article 5【Earning works】


Foundation can works for earning to appropriate expenses in objective works by article 4 within against essence.
1. Operation of 'library school' for librarian reeducation curriculum to enhance library service.
2. Holding of lecture, seminar, symposium for expansion of library and reading culture.
3. Issuing of publication and release.
4. Promotional material producing and selling.
5. Lease of real estate of foundation
6. Rent of facilities of foundation.

Article 6【Provision of Benefit】


① As working by article 4, foundation would provide beneficiary free, but it can charge partially by gain of a council decision.
② Provided benefit for objective works of foundation cannot differentiate beneficiary by birthplace, graduate, occupation, sex, social
status, etc. except cases have limitation especially.
Article 7【Kind and personnel of Staff】
The followings are staff in foundation.
1. A chief director.
2. 5 or more 15 directors (include chief director)
3. Two inspectors.

Article 8【Election of Staff】


① Staff are elected in council.
② Staff to fill shall be elected within 2 months from vacancies occur.
③ New staff shall be elected 2 months before the end of director.

Article 9【Displacement of Staff】


① As staff did following(s), staff can be displaced by decision of council.
1. Acts against objective of foundation
2. Conflicts between staff, financial injustice or unfair practice
3. Acts that interfere in works of foundation

Article 10【Election Limitation of Staff】


① As election of staff, director that has relationships by establishment, operation of public interest foundation between directors in
article 12 shall be lower than one-fifth of present staff.
② There is no Inspector that has relationships by establishment, operation of public interest foundation between directors or
inspectors in article 12.

Article 11【Executive Director】


① The foundation can keep executive directors to specialize in objective of foundation.
② The executive directors would be elected in director via decision of council endorsed by the chief director.

Article 12【Term of Staff】


Term of staff is that. Director holds foundation for 4 years, inspector holds foundation for 2 years and they may be re-elected.

Article 13【Duty of Staff】


① Chief director represent foundation and generalize works in foundation, will be a chairman in council.
② Directors attend council and take action about work, transact delegated articles from council or chief director.
③ Inspectors do following duties.
1. Inspection of financial condition in foundation
2. Inspection of operation and articles about that work in foundation
3. Finding out injustice of inspection or wrongfulness, correction requests.
4. Request of council's convention for report about third item if necessary
5. As attending council, state opinions.

Article 14【Acting of Chief Director】


① When accident of chief director, director who be nominated by chief director act for him.
② When chief director will be vacated, director who be elected in council act for chief director.
③ In council at issue 2, majority convene council and elect agent with the approval of majority under the oldest man who attend.
④ Directors will elect agent who acting for chief director at the request of section 2 without delay.

Article 15【Organization of Council】


The council has chief director and directors.
Article 16【Convocation】
① Chief director convoke council when he recognize need.
② Chief director shall notify directors and inspectors of convocation of council include agenda, day and time, location before a week.

Article 17【Special Cases of Council's Convention】


① Chief director convoke council when need at followings each issue 1 within twenty days.
1. When majority request convocation bringing forth the goal.
2. When inspectors request convocation at article 13, section 3, issue 4.
② When convocation would be impossible as vacancy of council convocation owner or avoidance, council can be convoked with the
approval of majority on the register endorsed by The Minister of Culture, Sports and Tourism.
③ In council at issue 2, directors elect chairman under the oldest man who attend.

Article 18【Documentary Resolution】


① Chief director can decide slight or urgent problems in questions under discussion by documentary resolution. In these cases, chief
director shall report results next council.
② When majority on the register request discussion about agenda by documentary resolution at issue 1, chief director shall follow
that.

Article 19【Quorum】
① Council would be held by attention of majority on the register and the agenda would be decided with the approval of majority.
② In case of a tie, the chairman shall decide the issue.
③ Directors cannot delegate voting rights in council.
④ Change of articles requires more than two thirds of the approval on the register and shall be licensed by the competent
authorities.
⑤ Inspectors can state opinion as attending in council.
⑥ The co-chief in the support can attend council and state opinion but doesn't have voting right.

Article 20【Matters for Decision of Council】


Council shall discuss and decide followings.
1. Election and dismissal of staff.
2. Dissolution of foundation
3. Change of articles
4. Loaning of fund or acquisition, disposal and management of asset.
5. Budget or settlement
6. Management of business plan
7. Matters belong to the authority by rule of articles
8. The other matters discussed by chief director for operation of foundation

Article 21【Cause of Removal in Council Decision】


Staff cannot participate in decision when they are under each issue 1.
1. When one decide matter for oneself at election or dismissal of staff
2. When oneself profit in contradiction to the foundation's profit at matter is related with receiving of money or asset

Article 22【Classification of Asset】


① Assets of foundation are divided into basic assets and general assets as follows.
1. Basic assets are realty or movables that related with objective works of foundation, and divided into assets contributed by founder
and assets appointed by council. "separate sheet 1" is basic assets at originally established, "separate sheet 2" is currently basic assets.
2. General assets are divided into assets except basic assets.
② Council shall make a list of general assets of foundation and report the competent authorities it once a year.
Article 23【Disposition of basic assets】
Council shall get confirm of the competent authorities by decision of council at sale, gift, lease, exchange or property as collateral is
provided, the burden of responsibility, the flotation of a loan.

Article 24【Receipt】
Council apply expenses for maintain and operation of foundation to the profits of basic assets, income of works, donation or other
income.

Article 25【Loan】
Foundation shall pass through resolution of council when having the loan of long-term debt for objective works.

Article 26【Financial year】


① The financial year of foundation shall follow financial year of government.
② The foundation shall use standard time at main office of foundation, it can change when location of office change.

Article 27【Compilation of the Budget】


The income, the expenditure budget of foundation shall be draw up by decision of council a month before the financial year starting.

Article 28【Settlement】
The foundation shall draw up a settlement and get approval of council within two months after financial year closing.

Article 29【Annual Surplus】


Annual Surplus shall be inserted in basic asset or waste for objective works by decision of council except for carrying forward.

Article 30【Continuing Expenditure】


The foundation can put in the budget as continuing expenditure with a certain period of time for works to spend budget beyond
each financial year.

Article 31【Fee of Staff】


The foundation shall pay the executive director that is wholly responsible for management of works and other staff fee or salary
once a month.

Article 32【The embargo of assets loan for staff, etc.】


① The assets of foundation cannot be loaned and lent for who related with each issue 1 in following except price.
1. The founder of foundation
2. The staff of foundation
3. The other enterprise that occupied who relative with families by civil law article 777, conform to it and founder or staff of
foundation.
② Despite cases for who not under article 1 each issue 1, the foundation cannot be loaned and lent for unjustified cases at
objective of foundation without proper cost.

Article 33【Financial Audit】


The inspectors shall audit once or more a year.

Article 34【Executive Office】


① The foundation shall station the executive office for works of foundation in accordance with chief director.
② The executive office can employ one executive officer and staff for necessity.
③ The chief director shall elect executive officer by decision of council.
④ The matters concerned with organizing or managing of the executive office shall determine by decision of council separately.
Article 35【Support】
① The foundation can organize a society for the support to fund-raise at article 4 works.
② The support can employ one or more co-chairman by decision of council.
③ The co-chairman can participate in council and state his opinion.
④ The matters concerned with organizing or managing of the support shall determine by decision of council separately.

Article 36【Dismissal of Foundation】


Dismissal of foundation requires more than two thirds of the approval on the register and shall report it to the competent
authorities.

Article 37【Jurisdiction of Foundation's Assets at Dismissal】


① When dismissal, foundation's assets shall return profit by basis contributed and assets to staff contributed for fund.
② When dismissal, foundation's assets can be donated to self-governing body in foundation located or similar organization to the
foundation limited to works at articles 3 object by approvals on the staff contributed, endorsed by The Minister of Culture, Sports
and Tourism or permission organization.

Article 38【Notification and Method】


The foundation shall notify newspaper and enforce it when matter to announce or dismissal of foundation is occurred.

Article 39【Change of Articles】


Change of articles requires more than two thirds of the approval on the register and shall be licensed by the competent authorities.

Article 40【Work Report】


The business plan and the budget for the coming year, summary and settlement of accounts in current year shall report to the
competent authorities before two months financial year closing.
In this case, report shall include assets' lists and summary, inspection result.

Article 41【Enactment of Rules】


Except determined in this articles, the matters for management of foundation shall enact into rule by decision of council.

Additional rule

Article 1【Enforcement Date】


The Articles shall be enforced from date registered by delegated organization or endorsed by The Minister of Culture, Sports and
Tourism.

Article 2【Interim Measures】


When enforcing this article, shall regard action that acted promoter for establishment of foundation by the articles.
