CONSTITUTION OF THE ALUMNI ASSOCIATION OF

THE FACULTY OF NATURAL SCIENCES OF


THE OPEN UNIVERSITY OF SRI LANKA

Article 1: Name

 The name of the Association shall be the Alumni Association of the Faculty of Natural
Sciences of the Open University of Sri Lanka hereinafter referred to as ‘the Association’.
 The expression ‘The Open University of Sri Lanka hereinafter is referred to as ‘the
University’.
 Faculty of Natural Sciences is hereinafter referred to as ‘the Faculty’.
 Member of the Alumni Association of the Faculty of Natural Sciences is hereinafter
referred to as ‘the Member’.

Article 2: Objectives

1. To assist and provide support the graduates and undergraduates of the Faculty/University.
2. To promote the general interest and well-being of the Faculty/University.
3. To promote and foster goodwill and fellowship among staff and students (past and
present).

Article 3: Patrons

Patron of the Association shall be the Dean of the Faculty.

Article 4: Membership

1. There shall be three categories of members


I. Members - Any person who has received a formal qualification such as a certificate,
diploma, degree or has obtained a post-graduate diploma or degree of the Faculty.
II. Associate members - A past student of any other faculties of the University who is
not entitled to be a member may become an associate member.
III. Honorary members - Any person who has rendered distinguished service to the
Faculty/University or a permanent staff member of the Faculty may be nominated by the
executive committee and elected by the association as an honorary member.
2. All members and honorary members shall have the right to vote, to be nominated for
office in the association, to propose and second the candidature of another member and to
receive all communication from the General Secretary.
3. Any member who has not paid his annual subscription fee for a continuous period of
three years shall cease to be a member.

Article 5: Executive Committee


1. The Executive Committee of the Association shall consist of the following positions.
i. The office bearers of the Association;
ii. Five executive-committee members;
iii. Five additional members
iv. Immediate Past President

2. The Office bearers of the Association shall be the following.
i. President
ii. 02 Vice-Presidents
iii. General Secretary
iv. 02 Assistant Secretaries
v. Treasurer

3. The Post of Treasurer shall be person in the rank of Senior Lecturer or above from the
permanent academic staff of the Faculty of Natural Sciences.

4. The Office bearers of the association shall be nominated by the Executive Committee
and elected at an Annual General Meeting (AGM) and shall hold office for a period
of three years.

The five Executive Committee members shall be elected at an Annual General


Meeting and shall hold office for a period of one year.

The office bearers and the five executive committee members shall be eligible for
reelection, subject to a maximum of two times in a given post.

5. The executive committee shall at its first meeting elect five persons to represent
different batches of in the Faculty and sixth person is the past president of the
Association.

6. The immediate Past President of the Association is the sixth Executive Committee
Member.

Article 6: Meetings

1. The AGM of the Association shall be held every year, in December, at a time and
place fixed by the Executive Committee, an annual general meeting of the
Association.
2. A special meeting of the Association shall be convened by the General Secretary of
the Association at the written request of such number of the Members as may be
specified by a by-law of the Association.
3. The Executive Committee shall meet at least six times a year.
4. The quorum at a special or general meeting of the Association of the members shall
be 1/3. The quorum at a meeting of the Executive Committee shall be 1/3.
Provided that the quorum at a special meeting convened on writing request as referred
to in section 2 of Article 7.
5. No proceedings of the Association, the Executive Committee or Committee of the
Association shall be invalidated merely by reason of the existence of a vacancy or of
vacancies among its members, or any defect in the election or appointment of its
members.

Article 7: Contracts
Cheques, Deposits and Funds
1. All cheques, drafts or orders for the payment of money, notes or other evidence of
indebtedness issued in the name of the Association should be signed by the Treasurer
and either President or Secretary.
2. All funds of the Association shall be deposited to the credit of the Association in such
banks or other depositories as the Executive Committee may elect.
3. The Executive Committee may accept on behalf of the Association any gift for a
general purpose or for any special purpose of the Association and should be
documented.
4. All of the funds should be deposited on the central bank approved bank.

Article 8: Fiscal year


1. the fiscal year of the association shall be from the first of December to the thirtieth of
November.
2. The account of the Treasurer shall be in accordance with the fiscal year of the
association and shall be audited at the end of the fiscal year by a registered firm of the
accountants approved by the executive committee.

Article 9: Seal
1. The executive committee shall provide a corporate seal which shall be a circular disc
with the words THE OPEN UNIVERSITY ALUMNI ASSOCIATION OF THE
NATURAL SCIENCES, SRI LANKA around the outer edge with a representation of
the University in the centre.
2. The seal of the association shall not be affixed to any document except by the General
Secretary in the presence of two persons one of whom shall be the President and the
other a Vice-President of the Association.

Article 10: By-laws


The by-laws which are annexed to the constitution as 'Appendix A' shall be the by-laws
of the Association. The Executive Committee may with the approval of two-third of the
whole number of its members including those not present amend, modify, repeal or add
to any of the by-laws.

Article 11: Amendment


This constitution shall not be amended except with the approval of at least a majority of
the members present and voting at the annual general meeting or a specially convened
meeting, provided however that notice shall be given to each voting member of the
Association at least two weeks in advance of the meeting.

APPENDIX A

The By-laws of the Association are as follows:

1. The President shall exercise the powers normally incident to the position. He shall have
responsibility for the interpretation and clarification of all procedural questions which may
arise.

He shall preside at all meetings of the Association and or the Executive Committee; in his
absence, the Association or the Executive Committee shall elect one of the Vice- President to
preside.

2. The Vice-President shall assume the duties delegated to him by the Executive Committee. He
shall act for the President in his absence.

3. The General Secretary shall be responsible for recording minutes of all meetings and keeping
all records of the Association and of the Executive Committee.

He shall circulate the minutes of all meetings of the Executive Committee or of the
Association to each member of the Executive Committee or of the Association as the case
may be, not less than seven days prior to each such meeting.

He shall have responsibility for providing written notice of meetings of the Association to all its
members. He shall convene a special meeting of the Association at the written request of not less
than one-tenth of the total number of members whichever is less, not later than thirty days from
the date of the receipt of such notice.

The General Secretary shall prepare and present an annual report at the annual general meeting.

4. The Treasurer shall assist the Executive committee and any other Committee referred to in
Article VI in the financial planning of the Association.

He shall also prepare and present an annual statement of accounts.

5. The annual subscription for


A Registration Fee 100/=.
An ordinary member Rs. 300/=.
An associate member Rs. 200/=.
A life member Rs. 3000/=.

6. at an annual general meeting where officers of the Association are to be elected, the outgoing
Executive Committee shall nominate office bearers for the succeeding term of office.
Nominations for the posts of the five Executive Committee members shall be made by any
member of the Association during such meeting.

If there is more than one candidate for any such post, an election shall be held in the manner
determined by the Association at such meeting.

The first election of the Association shall be held at the inaugural meeting of the Association.
