Virtual Contractor Program

CONTRACT AGREEMENT
OF THE Virtual Contractor PROGRAM
THIS CONTRACT AGREEMENT (Agreement) is entered into, as of the date set out below, by and between D R
Virtuals, LLC, (the Company), and ________________________________, an individual (identified as the
Virtual Contractor).
WHEREAS, the Company is in the direct response marketing and provides operator services through business
telephone lines and IP networks (the Network); and
WHEREAS, the Virtual Contractor is an individual specifically certified in furnishing services (the Service or
Services) to callers over the telephone (the Callers) in a manner that is sensitive to the needs of the Company
and its customers; and
WHEREAS, in connection with the operation of the Network, the Company is willing to direct Callers to the Virtual
Contractor as an independent contractor, and the Virtual Contractor, as an independent contractor, is willing to
provide the Service to Callers.
NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and
adequacy of which are acknowledged, the parties agree as follows:

ELIGIBILITY
The Virtual Contractor who is signing this Agreement has met all the following criteria for eligibility:
____ Has complied with the Technical Requirements.
____ Has read and fully understands each provision of this Agreement.
____ Has a minimal availability of 18 hours per week.

EFFECTIVE DATE
The arrangement described herein shall begin on ___________________________ and will continue until
termination by either party. Modifications/revisions to this Agreement can be implemented, based on business need
as determined by the Company in its sole discretion; however, the Company reserves the right to discontinue the
Virtual Contractor, and thus this Agreement, at any time without prior notice.

WORK SCHEDULE
The Company will inform the Virtual Contractor of periods in which expected higher than normal call volumes may
arise so that the Virtual Contractor may plan accordingly if the Virtual Contractor has service hours available. It is
the expectation that the Virtual Contractor will perform a minimal of 15 service hours on a continuous weekly
pattern to ensure that the Virtual Contractor remains qualified to continue to operate as a Virtual Contractor. Should
a Virtual contractor fail to remain active or reduce their availability, the Company may elect to terminate this
Agreement.

COMMUNICATION AND TIME IN THE VIRTUAL OFFICE


The phone lines shall be utilized in a satisfactory manner consistent with communications related to the Companys
business. It may be required that the Virtual Contractor meets in the Companys Virtual Office from time to time.
Virtual Contractor shall make himself or herself available at the Company offices for Certification, Virtual
Contractor Meetings, Monitoring Feedback, and other functions which are necessary to enable Virtual Contractor to
perform his or her duties as prescribed herein.

PROVISION OF EQUIPMENT BY THE COMPANY


Prior to the effective date, the Company shall provide the Virtual Contractor with the appropriate Company software
necessary to provide operator services on the Network. Company software shall remain the property of the Company
and shall be used by the Virtual Contractor only for services required pursuant to this Agreement. Upon termination
of this Agreement, the Virtual Contractor shall allow Company representatives to remove the Company software
from the Virtual Contractors equipment.

PROVISION OF EQUIPMENT BY THE VIRTUAL CONTRACTOR


The Virtual Contractor agrees to provide the following:
All equipment and materials necessary to provide the Service, including, but not limited to a designated touchtone telephone line and telephone equipment, computer equipment, modem and high-speed internet access.
All expenses relating to the Service, including, but not limited to, the cost of equipment and materials, and the
cost of obtaining any type of license which may be required.
A clean, quiet, safe and secure work environment (workspace).
An adequate work surface dedicated for the Virtual Contractor system.
A shredder for disposal of any documentation related to D R Virtuals, or its customers, or their information.

DUTIES AND RESPONSIBILITIES


The Company recognizes and acknowledges that the Virtual Contractor has unique and specialized skills, however,
by way of this Agreement the Virtual Contractor agrees to any Third-Party Audits in which the Company may use as
Quality Control measures in providing Services for the Company. Virtual Contractor shall exercise independent
judgment regarding Virtual Contractors own preparation for providing the Service. The Virtual Contractor is
responsible for the Service to the Callers in accordance with all local, state, and federal laws (the Regulations),
and is responsible for any claims by, damages or expenses to third parties that arise as a result of the Service.
o Reasonable adherence to committed times that the Virtual Contractor selects from the available contractor
hours,
o Maintaining professional conduct,
o Script adherence
o Recapping Calls
o Acceptable Quality Assurance reviews (85% average QA scores)
o Accurate input of callers information
o Adherence to contractor support guidelines
o Maintain an average of 60% CTO for inbound sales
o Maintain an average of 55% retention ratio
These guidelines may be amended from time to time by the Company. The Company will supply the Virtual
Contractor Manual upon receipt of this signed Agreement.

DISPOSITION OF RECORDS
To protect the confidentiality and integrity of Company and customer information, all paperwork must be disposed
of by means that assure it will not be accidentally released to an outside party. All documentation, including
handwritten notes that contain any information obtained as a result of providing the services to the Company shall
not be discarded in trash bins or other publicly accessible locations. Instead the Virtual Contractor shall personally
shred such documentation and place it in a secure bag for disposal. It is the Virtual Contractors responsibility to
ensure that the documentation has been destroyed and properly discarded.

COMPENSATION AND BENEFITS


The Company will pay the Virtual Contractor a flat rate for service hours provide
$5 per hr for Customer Service Only agents
The Virtual Contractor will not be eligible for or participate in any benefits provided by the Company to its
employees, including but not limited to health insurance coverage or benefits, pension plan benefits, workers
compensation benefits, bonus, paid vacation or sick pay.

WORK FOR HIRE ACKNOWLEDGMENT


Virtual Contractor acknowledges and agrees that all Work Product created or engaged in by the Virtual Contractor
as a result of the Virtual Contractors services for the Company are and shall be treated as works for hire, as
contemplated under Sections 101 and 201(b) of the United States Copyright Act of 1976. The Company alone owns
all rights, including copyrights, patents, and trademarks, in and to the Work Product, as well as the exclusive right to
use, promote, and exploit the Work Product at its sole discretion. Virtual Contractor specifically disclaims any
rights, title, or interest in or to the Work Product or any remuneration related thereto, other than the compensation
provided under this Agreement. For purposes of this Agreement, Work Product is defined as the tangible or
intangible result of the Virtual Contractors services for the Company, including but not limited to reports, records,
orders, registrations, telephone or VPN recordings and any other items or concepts prepared or developed or
contributed to by Virtual Contractor pursuant to this Agreement, for the benefit of the Company, or at the request of
the Company

STATUS OF VIRTUAL CONTRACTOR


The relationship established between the parties pursuant to this Agreement is an independent contractor
relationship not a partnership or an employment relationship. As a contractor, the Virtual Contractor agrees that he
or she is solely responsible for payment of all applicable local, state, or federal taxes assessed against Virtual
Contractors compensation. Virtual Contractor specifically warrants and agrees that Virtual Contractor is
knowledgeable regarding rules for payment of said taxes and shall comply fully with all such rules. Compensation
paid to the Virtual Contractor hereunder will be reported by the Virtual Contractor on Form 1099. Virtual Contractor
understands and agrees that Virtual Contractor may realize a profit or suffer a loss in connection with providing the
Service.

MONITORING
The Service will be subject to monitoring by the Company at the Companys discretion, and the Virtual Contractor
hereby grants consent for any and all communication pursuant to business transactions between the Virtual
Contractor and the Caller to be intercepted, monitored and/or recorded by the Company or its contractual agents for
any reason.

HOLD HARMLESS AND INDEMNIFICATION


Virtual Contractor shall indemnify and hold the Company harmless against any liability assessed against the
Company, its shareholders, directors, officers, employees, or agents (the indemnified parties) or against Virtual
Contractor as a direct or indirect result of the operation of this Agreement and/or any Service provided by Virtual
Contractor pursuant to this Agreement, including but not limited to any claim of negligence against the Company or
the indemnified parties and any claim by Virtual Contractor or any agent or employee of Virtual Contractor for
compensation for services performed or for injuries sustained, or any local or state or federal tax liability on the
compensation of Virtual Contractor

TERM AND TERMINATION

Either party may terminate this Agreement for any reason at any time upon prior notice to the other party. In the
event of termination of this Agreement, Virtual Contractor shall be paid all service fees and commissions (if any)
due and payable up and through the date of termination unless fraud has occurred. In the event of fraud the
contractor agrees to forfeit the complete final payment due as restitution for any acts of fraud committed to client.
No further commissions will be due or paid following the date of termination for any reason or circumstance and the
Company shall cease to have any further obligation or liability to the Virtual Contractor.

NON-COMPETE CLAUSE
Contractor agrees that during the term of this agreement and for a period of 24 months following termination of this
Agreement, contractor shall not, directly or indirectly, solicit or engage in any form of contracting work or
employment with any clients of D R Virtuals.

CONFIDENTIALITY
The Virtual Contractor will protect and keep confidential the trade secrets of the Company, the terms and conditions
of this Agreement, information received from the Company, the Guidelines contained in the Manual, and the terms
and conditions of the Confidentiality Agreement signed by the Virtual Contractor.

CREDIT CARD ACKNOWLEDGEMENT


This will acknowledge that the undersigned Virtual Contractor has been notified that the unauthorized use of a
CREDIT CARD ACCOUNT NUMBER to obtain anything of value without the owners consent is a criminal
offense under Indiana State and Federal laws. The Virtual Contractor further acknowledges that any unauthorized
use of a credit card account number is in violation of this Agreement and shall result in immediate termination of
Virtual Contractor status. No Virtual Contractor shall record, transmit, or otherwise use credit card account

GOVERNING LAW
1. This Agreement will be governed by and construed in accordance with the laws of the State of Indiana, and venue
for any information obtained as an Virtual Contractor of the Company. Initials _______
suit pertaining to this Agreement shall be the courts having jurisdiction in South Bend, IN.
2. This Agreement constitutes the entire Agreement between the parties with regard to the subject matter hereof,
superseding all prior understandings and agreements, whether written or oral. This Agreement may not be amended
or revised except by a writing signed by both of the parties hereto.
I have read and understand the terms and conditions described in this Agreement. I accept and will comply with all
the terms and conditions of this Agreement during and following my contracted time with the Company.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date set out below.
