Non Disclosure Agreement

THIS AGREEMENT made and executed on the

(Hereinafter called the Employer)

And:

Sowbarnika
Hereinafter called the Employee;
WHEREAS the Employer wishes to enter into a Confidentiality Agreement
governing the terms and conditions of dealing with confidential
information owned, generated or received by the Company by certain
categories of employees (which the employer may define and decide from
time to time) whilst in the employment of the employer and thereafter;
1. Definition of Confidential Information.
For purposes of this Agreement, Confidential Information shall include all
information or material that has or could have commercial value or other
utility in the business in which INSTAR FOODS is engaged.
2. Treatment of the Information
The Employee undertakes to treat all the Information directly or indirectly
disclosed as strictly CONFIDENTIAL and will not, without obtaining the prior
written consent of the Employer, disclose any part of the Information to
any third party, whether or not for the business of the Company, except in
discharge of his/her Duties.
3. Obligations of Receiving Party.
Employees shall hold and maintain the Confidential Information in strictest
confidence for the sole and exclusive benefit of the Company. Employee
shall carefully restrict access to Confidential Information to clients and
third parties as is reasonably required. Employee shall not, without prior
written approval of Company, use for employees own benefit, publish,

copy, or otherwise disclose to others, or permit the use by others for their
benefit or to the detriment of Company, any Confidential Information.
Employee shall return to Company any and all records, notes, and other
written, printed, or tangible materials in its possession pertaining to
Confidential Information immediately if Company requests
4. Unauthorized Use of the Information
The Employee shall notify the Employer/ Company immediately if he/she
becomes aware or suspects that the Information or any part thereof has
been disclosed to or is in the possession of any person which is not
authorized by this Agreement to receive such Information or otherwise
becomes aware of or suspects any breach of this Agreement.
5. Breach of Agreement
The Employee acknowledges that any violation of this Agreement will
cause the Employer immediate and irreparable harm including, financial
loss, loss of reputation.
Notwithstanding any other remedy that the
Employer may have for the breach of this Agreement, the Employer shall
have the absolute right to obtain all or any preventive order, restraint
order, or such other order as may be appropriate, restraining the
Employee or any other person who is in possession of such Confidential
Information, from disclosing or using any such Confidential Information
and for this purpose, take any exparte or other orders and implement such
orders in the manner granted by any Court or other Authority so also
proceed criminally against the Employee for breach of any of the other
terms of this Agreement/Law, during the time when the Employee is in the
employment of the Employer and for two years thereafter in so far as it
relates to Confidential Information owned by the company.
IN WITNESS WHEREOF, the undersigned have signed this Agreement as of
the day and year first above written.
