AGREEMENT

This agreement is signed on 1st day of MARCH2016.

BETWEEN
M/s FIITJEE Ltd, having its registered office at FIITJEE House, 29A, Kalu Sarai,
Sarvapriya Vihar, New Delhi- 110016, through Mr. Anuj Rathore (Centre CoOrdinator), Office address- Fiitjee Ltd, 2nd Floor, Evershine Mall, Opp. M.H. High
school, Shivaji Path, Thane (w) -400 601, its authorized representative, hereinafter
called the FIRST PARTY/ COMPANY which expression shall mean and include
their successors, legal representations and assigns.
AND
M/s. Shree Hari Enterprises ,through Mr.Narayan Babubhai Ravariya (Proprietor)
Shop Address: Station Road, PWD compound, Opp. Marathi Granth Sangrahalaya,
Thane(w) 400 601 hereinafter referred to as SECOND PARTY/ VENDOR which
expression shall mean and include their succession, legal representations and assigns.
Whereas the VENDOR is in the business of trading/printing of Stationery Items
& Photocopy and has assured the COMPANY that supply of Stationery Items &
Photocopy. (hereinafter referred to as STATIONERY ITEM.
Whereas the COMPANY is in the business of training students for IIT-JEE and i.e.
offering education to students for success in IIT-JEE and is known for academic
excellence and has attained leadership position in IIT-JEE training in the industry.
NOW THIS CONTRACT WITNESSETH AS UNDER:
1.

That the SECOND PARTY/VENDOR has approached the FIRST PARTY/

COMPANY and offered its services for supplying STATIONERY ITEM to the
FIRST PARTY/COMPANY at Thane Location as mention below Address.
(RATE LIST enclosed herewith on dated 01.03.2016.)

2.

This CONTRACT is mutually agreed on rate list of STATIONERY ITEM by

both parties which is part & parcel of this CONTRACT.

Rate of STATIONERY ITEM is not fixed & are liable to changed as per market
Prize & same will be prior intimated to the COMPANY accordingly.

4.

If any STATIONERY ITEM is not mentioned /included on RATE LIST than

prize will consider as per MRP.

5.

It is the responsibility of the VENDOR to deliver the all STATIONERY ITEM

in good condition and all risk damages with transportation would be exclusive
responsibility of the vendor.

6.

If the VENDOR does not supply the STATIONERY ITEM with in specified
quality than it will change/replace immediately after intimation by COMPANY else
penalty @50 % of that particular STATIONERY ITEM prize will imposed to the
VENDOR.

7.

VENDOR will submitted bill to the our account department before 7 th of every
month in name of M/s. FIITJEE LTD & the payment will be made through A/c payee
cheque in favour of M/s. Shree Hari Enterprises within 15 days after bill submission.

8.

That this contract can be terminated by either party by giving one month notice to the
other party in writing subject to at the time of termination. The COMPANY reserves
the right to terminate this contract with immediate effect reason in case the
VENDOR is found to be negligent in providing services .

9.

Signing of this CONTRACT by VENDOR himself/employee/representative will

mean acceptance of all the terms & conditions which is binding to the VENDOR.

10.

In the event of dispute arising out of the CONTRACT the matter shall be referred to
the sole arbitrator appointed by COMPANY for this purpose. The decision of the
arbitrator shall be final & binding on both the parties.

11.

Continuing of above clause. The arbitrator may also be the employee of COMPANY
& VENDOR shall not have any objection about it. The venue of the arbitration shall
be MUMBAI/THANE only.

12. Subject to clauses 9 & 10, above all disputes are subject to MUMBAI/THANE
Jurisdiction only.
