AUTHORITY TO SELL

This non-exclusive AUTHORITY is hereby given to AURELIO M. MENDOZA of


Barangay Trapiche, Tanauan City, Batangas, MA. THERESA D. NIETO (PRC Real
Estate ID #00118654) with office address at Level 10-1 One Global Place, 5 th Avenue
corner 25th Street, Bonifacio Global City, Taguig and GEORGE T. SIY with office
address at 7th Floor, Global Enterprise Building, 138 H.V. Dela Costa Street, Salcedo
Village, Makati City, hereinafter referred to as the BROKERS, under the following
terms and conditions:
1. The parcel of land situated in Barangay Trapiche, Tanauan City, Batangas, to be
offered for sale shall be the subject of this Authority and is hereby described as
follows, (hereinafter referred the PROPERTY);

2. That the aforementioned Property shall be offered either on a straight sale or


staggered basis at the gross price of EIGHT HUNDRED PESOS, subject to further
upward or downward adjustment in the future by the undersigned, payable in
cash or whatever payment mode or scheme that we may agree on with a
prospective buyer.
3. That in consideration for their professional brokerage services in the event of sale,
the Brokers shall be entitled to receive a brokers commission equivalent to Five
Percent (5%) of the net selling price, whether documented or not, and shall be
paid, in full, immediately at closing date in cash free and clear of any charges,
withholdings, off-settings and deductions of whatever nature except for the BIRprescribed withholding tax at source applicable to real estate brokers, if
necessary. If payment of the consideration for the sale is made in installments,
the brokers commission shall also be paid on a pro-rata basis.
4. That this AUTHORITY shall take effect from the date of acceptance herein by the
Broker and shall continue to be valid and effective for a period of 1 year from the
date hereof. This Authority may be extended or renewed upon mutual agreement
with the Broker;
5. In the event the Property is sold to a buyer with whom the Broker has offered to
and/or negotiated with and accordingly registered the name and identity to me/us
in writing during the effectivity of this AUTHORITY, he/she shall be entitled to
receive the same commission due him/her even if the sale is consummated or
executed after the expiry hereof but within six months from the date of the
expiry of this AUTHORITY or any extension/s thereof;
6. That I/We am willing to provide the Broker or any of his prospective buyers any
and all property information, data and documents, if required.
7. That I/We are the registered owner in fee simple of the Property; I/We have the
legal authority to dispose of the same and I as the representative of the owners of

the above lots have the requisite authority and is possessed of the special power
of attorney to issue and deliver the foregoing AUTHORITY for and in behalf of the
registered owners and for them and myself to be bound by the terms thereof.
