TERM SHEET ___________-TRUST

The intent of this term sheet is to describe broad terms of an arrangement

between ___________________________ represented by Mr. ___________________,
herein referred to as First Party and
_______________________________________(TRUST), represented by Mr _________________________, herein referred to as Second Party for the effective
functioning and management of both the Schools (said Schools).
The following terms have been broadly agreed upon 1. The First Party is into providing consultancy and effective functioning of
schools.
2. The second party has approched the first party to revamp the entire
functioning of ________________________ and make it profitable in the next
six years.
3. It shall be the responsibility of the first party to develop and smoothly run
both the school as may be described in a schedule.
4. The first party ensures to take up all liabilities of the trust such as
outstanding loan of _____ and all annual expenses required for functioning
and running the day to day affairs of the schools.
5. The MOU arrangement is for 6 financial years( ie from 01-04-____ to 31-03____)
6. Within these years,the first party ensures to clear liabilities and generate

8. To review and monitor the progress of the School, the first party will
ensure maintenance of all records,documentation,proper SOPs and will be
following and implementing all CBSE norms.

12.The broad obligations of first Party and Second party have been outlined in

13.This arrangement is based on mutual trust and confidence. Both parties
agree to carry their respective responsibilities in good faith.

SCHEDULE 1

Obligations of First Party(_____):

The first party shall provide guidance to the second party for the purpose of
better management, running an operations of the abovestated schools and the
scope of services of the first party is limited to the following:
Education Services

Will facilitate in development of the curriculum and ensure its

Implementation by and through the staff of second party.
Shall provide guidance regarding Instructional Tools
Shall facilitate Co scholastic activities and Event organisation
Shall provide guidelines for Assessment and Evaluation of the students

Human Resource

Shall facilitate Manpower Plan and Recruitments

Shall provide Guidance on Payroll, Appraisals and leave policies . The
payrolls will be prepared by the staff of the second party.
Shall provide Training of the staff of second party

Administration

On basis of inputs given by second party shall prepare the Budgets.

Shall prepare Maintenance and Repair policies and will ensure the same is
regularly done by and through the staff of second party.
Shall provide regular guidelines to second party regarding compliance of
all statutory norms of state and CBSE
Shall facilitate the Admission Process
Shall facilitate in Framing the policies and SOPs for smooth functioning of
the school.

The finacial cost of performance of all the abovestaed services by the first party
shall be borne by the second party.
Expenses
_________ will bear the day-to-day expenses of small repairs and maintenance of
the school
The First party shall be solely responsible for the safety and well being of the
children of the school, staff, buildings , school vehicles etc.
The first party shall comply with all applicable laws, rules and regulations
applicable for the establishment , running and operation of the said school and
shall
keep the second party
indemnified against all non-compliances
attributable to the first party

Obligations of Second Party(TRUST):

1. To pay for all Capital Expenses(CAPEX) ie

Air Conditioners

Land

Building

Paint

Transport Vehicles

All fixed Assets

Furnitures & Fixtures

Major repairs and maintenance works

All expenses of the above will be informed 3 months in advance

2. The Trust will ensure that timely funds are allocated for expansion of
capacity of various schools
